Ahwatukee Custom Estates is a standard single-family HOA in Phoenix, AZ. This document contains the association's bylaws (including amendments), which define how the board operates, meetings are conducted, and members vote. It does not contain specific homeowner rules like leasing, pets, or architectural review; those would be in the Declaration of Covenants, Conditions and Restrictions (CC&Rs).
- Meetings & quorum: Annual meetings are held no earlier than 11 months nor more than 13 months after the previous meeting. Quorum was reduced from 33-1/3% to 5% of votes of each membership class. If quorum is not met, a subsequent meeting can be called with a quorum of half the required quorum of the preceding meeting.
- Board of Directors: The board has 3 to 9 directors (must be odd). Directors serve staggered 3-year terms after the initial period. The board may declare a director's office vacant if absent from 3 consecutive regular board meetings. Directors can be removed with or without cause by majority vote of the entire membership.
- Membership & voting: There are two classes of voting membership: Class A (all owners except Declarant, 1 vote per lot) and Class B (Declarant, 3 votes per lot). Class B membership converts to Class A when total class A votes equal class B votes, or on March 1, 1985, whichever first occurs. Proxies are limited to spouse, joint owner, secretary, or another member.
- Amending the bylaws: Bylaws may be amended by a majority vote of members present or by proxy at a meeting with a quorum, or by unanimous vote of the full board. Amendments cannot conflict with the Articles of Incorporation or the Declaration.
- What this document doesn't cover: This document does not include rules on homeowner obligations like architectural review, leasing restrictions, pet limits, parking, or assessments. Those are governed by the Declaration and separate rules.
