La Joya Verde Homeowners' Association is a standard HOA for a subdivision of 75 single-family lots and two common areas in Green Valley, AZ. This document is the Articles of Incorporation, which establishes the association's corporate structure; the actual rules and restrictions are in a separate Declaration of Covenants, Conditions, and Restrictions (CC&Rs).
- Membership & voting classes: Every owner of a lot (fee or undivided fee) is a member. There are two classes: Class A (all owners except the Declarant, with 1 vote per lot owned) and Class B (the Declarant, with 3 votes per Class A lot). Class B membership ends per the Declaration.
- Board of directors: The association's affairs are managed by a board of three directors, who need not be members. Directors serve staggered three-year terms; initially one director for one year, one for two years, one for three years; thereafter elected annually for three-year terms.
- Amendment of articles: Amending the Articles requires approval of 51% of the entire membership eligible to vote. As long as a Class B member exists, the Declarant's written consent is also required.
- Dissolution: The association may be dissolved with written consent of at least two-thirds of members entitled to vote. Assets must be dedicated to a similar public or nonprofit purpose.
- Governing document hierarchy: If any part of these Articles conflicts with the Declaration (CC&Rs), the Declaration prevails. The association cannot take action inconsistent with the Declaration.
