Las Montanas is a single-family homeowners association (HOA) in Tucson, AZ governed by these Bylaws. The Bylaws define membership rights, board structure, and association operations – they apply to all lot owners and supplement the recorded Declaration and Articles of Incorporation.
- Membership & voting: Two membership classes: Class A (every lot owner, one vote per lot) and Class B (Developer, three votes per lot until at least 75% of lots sold or three years after first lot sale, whichever comes first).
- Meetings & quorum: Annual meeting set by Board; special meetings called by Board or by members holding at least 1/10 of votes. Quorum is presence (in person or proxy) of 1/10 of votes of each class. Proxies allowed, revocable upon sale of lot.
- Board of Directors: Board manages association; initial board of 3 members. Board has power to adopt rules, suspend member rights (voting and common area use) for assessment nonpayment or rule violations (max 60 days), and employ a manager. Directors serve staggered 3-year terms after Class B membership ends.
- Assessments & liens: President fixes annual assessments per lot and sends notice at least 30 days in advance. Association may enforce lien for unpaid assessments (no less than 30 days after due date). First mortgagees must be notified of liens.
- Officers & duties: Officers (President, Vice-President, Secretary, Treasurer) elected annually by Board. President oversees assessment setting and lien enforcement; Treasurer handles funds, budget, and annual audit.
- Architectural review committee: Board must appoint an Architectural Review committee as provided in the Declaration (details not in these Bylaws).
- Books & records inspection: Association books available for inspection by any member during reasonable business hours; Declaration, Articles, and Bylaws can be purchased at reasonable cost.
- Amendment process: Board of Directors may alter or repeal Bylaws, subject to shareholder action. While Class B membership exists, FHA or VA has veto power over amendments.
