What Carefree Cave Creek HOA's governing documents say
This document is the amended and restated bylaws of the Carefree Cave Creek Chamber of Commerce, an Arizona nonprofit corporation (IRC §501(c)(6)). It governs the chamber's membership classes, board of directors, officers, meetings, and conflict-of-interest policies. It is not a residential community association's governing document.
- Membership: Open to any person or business in the Desert Foothills region (north to Anthem, west to I-17, south to 101, east to Pima Road). Active, Booster, Affiliate, and Community member classes exist; only Active and Affiliate members may vote. Dues are set by the board and paid annually.
- Board of Directors: 13 voting directors (plus up to 4 non-voting ex-officio). Directors serve staggered 3-year terms, max two consecutive terms. Nominations by committee, election by board. Removal requires two-thirds vote of board present at a special meeting.
- Officers & Executive Committee: Officers: Chair (2-year term), Chair-Elect (1-year), Immediate Past Chair (2-year), Secretary, Treasurer. The Executive Committee manages business between board meetings. The President/CEO is hired by the board.
- Meetings & Voting: Board meetings require 14-day notice; special meetings 48-hour notice. Quorum is majority of authorized directors. Members may not vote for board; only board votes. Board meetings are closed to members.
- Conflict of Interest: Directors must disclose financial interests, recuse from votes on direct payments, and abstain from voting on personal interest matters. Minutes must document disclosures and recusals.
- Dues & Delinquency: Dues are annual and set by the board. Members delinquent over 30 days lose voting rights; after 90 days, they may be removed from membership roll.
- What this document doesn't cover: This is a chamber of commerce bylaw, not a community association declaration or covenant. It does not cover property use rules, assessments on homes, pet restrictions, leasing, architectural review, or any residential living requirements.
