Prairie Creek is a single-family-home homeowners association (HOA) in St. Augustine, Florida. If you buy a lot here, you automatically become a member and must follow the association's governing documents.
- Who runs the HOA: A five-member Board of Directors manages the association. Each director must be a lot owner or a representative of an owner entity. Directors serve staggered two-year terms and are elected by written ballot at the annual meeting.
- Meetings & member participation: The annual meeting must be held every 11–13 months to elect directors. Special meetings can be called by the president, a majority of the board, or by a petition from 20% of voting interests. Board meetings are open to members, with 48-hour notice required (14 days for non-emergency special assessments or rule changes). A 30% quorum is needed for member meetings.
- Voting: Each lot gets one vote. If a lot has multiple owners, they must file a certificate naming who votes. Proxies are allowed but only for a specific meeting and expire after 90 days.
- Assessments & finances: Assessments are set annually by the board in a proposed budget. Members get a copy of the budget or notice it's available. The board can amend the budget. Two signatures are required for checks or withdrawals of $1,000 or more.
- Fines & enforcement: The HOA can fine up to $100 per day per violation, with a $5,000 cap for continuing violations. A fine of $1,000 or more can become a lien on the lot. The board must give 14 days' notice and a hearing before imposing a fine (except for nonpayment). The hearing is held by a committee of non-board members.
- Suspensions: The HOA can suspend use of common areas and facilities for violations or if a member is over 90 days delinquent. But it cannot block vehicular or pedestrian access to the lot or the right to park. Suspensions for nonpayment don't require a hearing.
- Insurance & indemnification: The HOA must carry general liability insurance ($1 million minimum), fidelity bonds, and directors & officers liability coverage ($1 million minimum). It can also get property insurance. The HOA will indemnify directors and officers for acts done in good faith, but not for criminal violations or improper personal benefit.
- Amending the bylaws: Amendments can be proposed by the board or by a petition of 20% of members. If members propose an amendment, the HOA must call a meeting within 60 days. Approval requires a majority of votes cast at a meeting with a quorum.
