This is the Bylaws of the Green Valley Desert Hills III West, Inc. Homeowners Association (HOA), a standard single-family residential community in Pima County, Arizona. The document governs the internal operations of the HOA, including board elections, meetings, assessments, committees, and traffic rules. It does not include the full Declaration of Covenants, Conditions, and Restrictions (CC&Rs), which contain additional use restrictions.
- Board of Directors & Elections: The Board has five Directors, each serving a three-year term. Directors must be members of the HOA and are elected by written ballot at the Annual Meeting. Each member gets one vote per lot owned, and cumulative voting is not allowed. Absentee directors may be removed after five consecutive unexcused absences.
- Assessments & Late Fees: Annual assessments are set by the Board after presenting a budget to homeowners. Assessments are due within 30 days of mailing/distribution; delinquent payments incur a penalty of the greater of $15 or 10% of the unpaid assessment. The Board may file a lien for nonpayment.
- Architectural Control: The Architectural Control Committee must approve or disapprove plans for any exterior change that affects appearance, structural safety, or security. The committee also monitors activities that could reduce property values. Detailed guidelines and appeal procedures are in the CC&Rs.
- Traffic & Parking: Traffic flow within the association is regulated: residents south of Placita Apache use De Nada or W. Calle Pueblo for access; north of Placita Apache use Camino Tolteca. Removal of certain curbs is prohibited for safety reasons. The traffic rules were later deleted by a 1998 amendment.
- Meetings & Voting: Annual Meetings are held in February. Special meetings can be called by the President, Vice President, two Board members, or upon request of 10% of members. Notice must be given at least 30 days in advance. Members may vote in person or by proxy, with one vote per lot. Proxies are valid for up to 12 months.
- Committees: Standing committees include Nominations, Maintenance, Audit, Elections, Architectural Control, Security & Safety, Neighborhood Watch, and Neighbor Care. Each committee has a chairperson appointed by the Board, and most chairs must be Board members.
- Records & Inspection: All HOA books, records, and papers are available for inspection by any member in good standing during reasonable hours and by appointment. Removal of records from the custody of the officer is prohibited unless approved by a majority of the Board.
