Tuckerman Station is a standard single-family homeowners association (HOA) in Rockville, Maryland. These Bylaws, along with the Declaration and Articles of Incorporation, govern how the HOA is run — meetings, elections, board powers, assessments, and committees. They apply to lot owners (homeowners) in the community.
- Governance & meetings: The Association is managed by a Board of Directors (3–5 members). Annual member meetings are required; special meetings can be called by the President, Board, or 1/4 of Class A members. Quorum is 1/10 of each class's votes. Meetings are generally open to owners, with specific exceptions for closed sessions.
- Voting & elections: Each Class A member (homeowner) gets one vote per lot owned. Class B members (Declarant) get three votes per membership. A 51% vote of members present decides most questions. Directors are elected by secret ballot; cumulative voting is not allowed. Members more than 60 days delinquent on assessments cannot vote.
- Assessments & liens: Annual and special assessments are levied per the Declaration and are secured by a lien on each lot. Unpaid assessments become delinquent, bear interest from 30 days after due date, and the Association can sue or foreclose — adding interest, costs, and reasonable attorney's fees.
- Committees: The Board appoints an Architectural Control Committee (per the Declaration) and may create other committees. A separate Resolution (2003) details committee rules: membership is volunteer, optimal size 5–7, written recommendations go to the Board for final approval, and proxy votes are not counted.
- Board & officer rules: After the Class B membership lapses, all Directors must be Association members. Directors serve staggered terms (1–3 years initially, then 3-year terms unless members resolve for 1-year terms). Officers are elected annually by the Board. No Director receives compensation, but can be reimbursed for expenses.
- Insurance & indemnification: The Board must maintain liability and hazard insurance on common property, and can buy other insurance (workers' comp, D&O, fidelity bonds). Officers and Directors are indemnified for good-faith actions (with conditions), and the Association may purchase insurance for them.
- Books, records & audits: The Association keeps books under GAAP, conducts an annual audit by an independent public accountant, and provides financial statements to members within 90 days of fiscal year end. Books are available for inspection by members and first mortgage holders during normal business hours.
- Amendments: Bylaws can be amended by a majority of a quorum of members present (in person or by proxy) at a regular or special meeting. The 2005 Amendment changed several provisions, including removing the requirement that a majority of the Board be members (now all must be), and updating the nomination process to use mailed nomination applications.
