This is a declaration of covenants for the Shinn Creek Boat Owners Association, a small unincorporated nonprofit association that manages a dock with five boat slips on a 1.13-acre tract in Wilmington, NC. It governs the rights and responsibilities of the boat slip owners (Members), not a residential community. The document is relevant to current and future boat slip assignees who own lots in Shinn Point Subdivision.
- Membership & voting: The Association has four Members initially: Declarant (owns Slips #1 and #5, one vote) and three other slip assignees (one vote each). If Slips #1 and #5 are ever separately owned, there become five Members, each with one vote. Decisions are by majority vote, but Declarant must agree to any change altering the Boat Dock Facilities or directly affecting the Property.
- Boat slip ownership & transfer: Boat Slips 2, 3, and 4 may only be assigned to an owner of a lot in Shinn Point Subdivision. If a slip owner no longer owns such a lot and does not convey the slip to another lot owner, the slip reverts to Declarant. Declarant may assign Slips 1 and 5 without restriction. All assignments must be recorded.
- Maintenance & costs: The Association is responsible for general maintenance of the dock and slips. Costs are shared equally among Members (initially 1/4 each; 1/5 if five Members). A majority must approve work before it is performed. If a Member or their guest causes damage, that Member bears the repair cost. If a Member fails to pay approved costs within 60 days of written notice, the Association may terminate the slip assignment by majority vote.
- Access easement: Each Boat Slip Assignee and their accompanied guests have a pedestrian easement over the Access Walkway and Dock to reach their slip. This easement is non-transferable and limited to the parties and their guests.
- Leasing & rentals: If a Member rents out their home in Shinn Point Subdivision, they may grant their tenant the right to use the Member's boat slip.
- Insurance: The Association may vote to insure the Boat Dock Facility; if so, each Member pays an equal share of the insurance costs.
- Amendments: The Declaration may be amended by a majority vote of the Members.
