This is the Bylaws of Woodhill Homeowners Association, a standard single-family HOA in Payson, Arizona. It governs the internal operations of the association — membership, meetings, board elections, officers, and amendment procedures. - Who is bound: All present and future owners, occupants, and their licensees, invitees, and employees are subject to the Bylaws. Ownership or occupancy creates a conclusive presumption of acceptance.
- Membership & voting: Each lot owner automatically becomes a Class A member with one vote per lot. Joint owners must designate one voter; otherwise the board may designate or suspend the vote. Voting may be suspended for nonpayment of assessments. Owner voting rights can be assigned to a lessee or buyer under an executory sale agreement. Proxies expire after 25 months.
- Annual & special meetings: Annual meetings are held in Payson during the second week of December. Special meetings may be called by the president, a majority of the board, the Declarant (if owning ≥25% of lots), or 25% of Class A members. Written notice must be given 10–50 days in advance. Quorum is 50% of all votes present in person or by proxy.
- Board of Directors: The board manages association affairs. As amended in 2005, the board consists of five directors serving staggered two-year terms (two elected one year, three the next). Directors serve without compensation but may be reimbursed for expenses. A majority constitutes a quorum; acts require a majority of those present.
- Officers: Officers (President, Secretary, Treasurer, and optionally Vice Presidents) are elected by the board. The President and Secretary cannot be the same person. Officers serve without compensation but may be reimbursed. They may be removed with or without cause.
- Assessments: Each member must pay assessments as more fully described in the Declaration. Assessments are secured by a continuing lien on the lot. The board fixes the amount, maintains an operating fund, and may suspend voting rights for nonpayment.
- Amendments: The Bylaws may be amended by written consent of the board or by members holding at least two-thirds of all votes. Certain provisions may require a higher percentage as set forth in the Declaration.
