What The Cobblestone Homeowners Association, Inc.'s governing documents say
These are the Amended and Restated Bylaws of The Cobblestone Homeowners Association, Inc., a standard Arizona HOA. They govern the internal operations of the association—board elections, member meetings, voting, and officer duties—but do not contain the actual use restrictions (like pets, rentals, or architectural standards) that would be in the Declaration of Covenants or separate Rules.
- Membership & voting: Every lot owner is a mandatory member. Each lot gets one vote; joint owners must agree or lose the vote. Quorum for member meetings is 10% of eligible votes (5% if adjourned). Absentee ballots are allowed but must be filed 24 hours before the meeting and cannot be revoked.
- Board of Directors: The board has 3–7 members (preferably 5), elected by members for two-year terms. No director may serve more than three consecutive terms unless no other candidates. Directors can be removed with or without cause by a member vote or by board vote (with possible reinstatement by members).
- Meetings & open access: Board meetings must be open to members under Arizona law, but the board may suspend a member’s attendance for violations of governing documents or meeting rules. The board must hold at least eight regular meetings per year.
- Suspension of rights: Voting and membership rights (including common area use) may be suspended if an owner is more than 30 days delinquent on assessments, until all amounts are current. The association must follow Arizona notice and hearing procedures.
- Rule-making power: The board may adopt and enforce rules and regulations governing common area use and personal conduct of members, guests, and tenants, and set penalties for violations.
- Security disclaimer: The association is not liable for security failures, even if it installs security measures. Members assume all risk for loss or damage, and the association is not considered an insurer or guarantor of security.
- What this document doesn't cover: These bylaws do not contain specific restrictions on pets, leasing, architectural changes, parking, or age. Those rules, if any, would be in the Declaration of Covenants or separate community rules.
