What Bedford Stonecourt Homeowner's governing documents say
This document is the Certificate of Formation and Bylaws for Bedford StoneCourt Homeowners Association, Inc., the governing corporate entity for the StoneCourt single-family home subdivision (146 lots) in Euless, TX. It establishes the HOA as a non-profit corporation, defines membership (all lot owners), and sets rules for board elections, meetings, and operations. Separate CC&Rs (not included here) contain the actual use restrictions and covenants.
- Membership & voting: Every lot owner automatically becomes a member with votes as set in the Declaration. Voting may be in person, by proxy, absentee ballot, or electronic ballot. A 10% quorum is required for member meetings (5% for reconvened meetings).
- Board of Directors: The board has 5 directors (minimum 3) elected by members for staggered two-year terms. Directors must be members; felons within 20 years cannot serve. The board manages the association, sets budgets, collects assessments, enforces rules, and may delegate management.
- Meetings & notice: Annual member meetings are held as determined by the board; special meetings may be called by the president or upon request of 1/3 of members. Notice must be given 10–45 days in advance. Board meetings require 72-hour notice, are open to members, and may include executive sessions.
- Officers: Officers (President, Vice-President, Secretary, Treasurer) are elected annually by the board. The President presides and appoints committees; the Secretary keeps minutes and membership lists; the Treasurer handles funds.
- Amendments: The bylaws may be amended by a majority of the board after 10 days' notice to members, or by majority vote of members if the board delegates that power. The Declaration controls over the bylaws; the Certificate of Formation controls over both.
- What this document doesn't cover: This document does not contain the actual use restrictions, architectural guidelines, pet rules, leasing limits, assessment amounts, or other covenant details that govern homeowners—those are in the separate Declaration of Covenants, Conditions and Restrictions (CC&Rs).
