Clements Ranch is a single-family homeowners association (HOA) in Dallas, TX, governed by a Declaration of Covenants, Conditions & Restrictions and these Bylaws. The Bylaws establish the association's structure, board powers, membership voting, and enforcement rules. This document is the association's Bylaws, not the full set of property restrictions; the Declaration contains the actual use and maintenance rules.
- Who the rules bind: All present or future owners of lots in Clements Ranch, and any person who uses or occupies any portion of the property, must comply with the Bylaws, the Declaration, and any rules adopted by the Board.
- Board of Directors & governance: The association is managed by a Board of at least 3 directors. During the development period, the developer (Declarant) controls the board; after that, owners elect directors. Board meetings must be open to members, with notice requirements, and minutes are kept.
- Membership & voting: Every lot owner is automatically a member. Each lot gets one vote (Class A), but the Declarant holds 15 votes per lot until conversion. Quorum for regular meetings is 10% of members; special meetings require 30%. Voting can be by proxy, absentee ballot, or electronic ballot.
- Fines & enforcement: The Board can fine owners for violations. Fines start at $50 for a repeat violation and increase for continued violations. Owners get notice and a chance to cure curable violations, and can request a hearing. Un-curable violations (e.g., fireworks, noise, property damage) can be fined without a cure period.
- Resale certificates & transfer fees: When selling a home, the owner must obtain a resale certificate from the association, which may charge a reasonable fee. The association may also charge transfer fees as allowed by the Declaration.
- Records & inspections: Owners have the right to inspect and copy association records (financial books, minutes, etc.) under Texas law, subject to a records production and copying policy. Certain records, like attorney files, may be withheld.
- What this document doesn't cover: These Bylaws do not contain the specific property use restrictions (e.g., architectural standards, pet rules, leasing limits, parking). Those are in the Declaration of Covenants, Conditions & Restrictions, which is a separate document.
