This is the Bylaws of Midway Medical Center Owners Association, Inc., a condominium community in Collin County, Texas. It governs the internal operations of the association—membership, voting, board structure, meetings, and officers—rather than day-to-day resident rules. It is relevant to unit owners and the board, not to renters or prospective buyers looking for use restrictions.
- Membership & voting: Every unit owner is automatically a member. Voting rights are tied to units, with the Declarant (developer) holding five votes per owned unit until it transfers all its interests. Members must be in good standing (no unpaid assessments or violations) to vote or hold office.
- Board of directors: The board has 3–5 directors, elected annually by members. Directors need not be owners or Texas residents. The board manages the association, sets assessments, adopts rules, and approves alterations. Directors serve without pay but may be reimbursed for expenses.
- Meetings & elections: Annual member meetings are held the first Thursday of May at 7:30 p.m. A quorum is 25% of votes of each class. Directors are elected by plurality secret ballot; cumulative voting is prohibited. Proxies are valid up to 11 months.
- Assessments & financials: The board levies assessments per the Declaration, and unpaid assessments become a lien on the unit. The treasurer prepares an annual budget and income statement for members.
- Common elements & use rights: Members may use common elements per the Declaration and may delegate use rights to tenants/occupants, but must notify the secretary in writing. The board can suspend rights of members not in good standing.
- Amendments: Bylaws can be amended by a vote of owners representing at least 67% of votes, subject to the Declaration and Texas Condominium Act.
