What Spring Meadow Homeowners Association, Inc.'s governing documents say
Spring Meadow is a planned community of single-family lots in Linn County, Oregon, governed by a homeowners association. These bylaws apply to all owners, tenants, and occupants, and they establish how the association is run, how meetings and voting work, and the board's powers. This document is the association's rulebook for governance, not a full set of community restrictions.
- Who the rules bind: All present or future owners, tenants, occupants, and their employees are subject to the bylaws. Membership in the association is mandatory for every lot owner and automatically transfers with ownership.
- Voting & meetings: Each lot gets one vote (except the developer had three votes per lot until February 1, 2010). Annual meetings are held in July; special meetings can be called by the president, a majority of the board, or a petition of 30% of votes. A quorum is 20% of votes, and most actions pass by a majority of those present.
- Board of Directors: The board has 5 to 11 members, elected by the membership at the turnover meeting, with staggered two-year terms. Directors serve without pay (except out-of-pocket expenses). Board meetings are open to members, with notice posted at least three days in advance.
- Assessments & fines: The board sets annual assessments and must give at least 30 days' notice before they are due. Owners who are delinquent over 30 days can lose voting rights and common-area privileges. The board can fine $50 per day per violation, and unpaid assessments become liens on the lot.
- Insurance & maintenance: The association must carry liability insurance of at least $1,000,000 per occurrence and maintain common property. The board is responsible for procuring and reviewing insurance annually.
- Amendments: Bylaws can be amended by a 60% vote of members, but until certain events in the Declaration occur, the developer's approval is required. The developer can also amend to comply with government or mortgage agency requirements.
