STATE OF TEXAS COUNTY OF BEXAR KNOW ALL MEN BY THESE PRESENTS: Pursuant to the authority granted in Section 22.102(c), Texas Business Organizations Code, to the Board of Directors of a non-profit corporation to amend Bylaws, the following amendment to the Bylaws of Canyons at Stone Oak Home Owners Association, Inc. is hereby adopted: I.
Article ll, Section 3 of the Bylaws is hereby adopted, to read as follows: 3.
Quorum. The presence, in person, by proxy, or by absentee or electronic ballot, of members entitled to cast ten percent (10%) of the votes of the Association shall constitute a quorum for any annual or special meeting, except as may be otherwise provided in the Texas Business Organizations Code, Articles of Incorporation, Bylaws or Declaration of Covenants, Conditions and Restrictions for Canyons at Stone Oak Subdivision. If, however, there shall be less than a quorum present at any meeting, then at each subsequent reconvening of that meeting adjourned due to lack of a quorum, the quorum requirement for such reconvened meeting shall be half of what it was at the immediately preceding meeting.
Thus adopted by the Board of Directors at a duly-called meeting at which a majority of Directors was present, as certified by the signatures of the President and Secretary of the Association below.
