0) HO 1-2010008 FIRST AMENDMENT TO BYLAWS OF CHURCHILL FOREST HOMEOWNERS ASSOCIATION, INC.

PERTAINING TO QUORUMS FOR ASSOCIATION MEETINGS STATE OF TEXAS § SCANIvc-~ § | KNOW ALL MEN BY THESE PRESENTS: COUNTY OF BEXAR § WHEREAS, CHURCHILL FOREST HOMEOWNERS ASSOCIATION. INC. is a Texas non-profit corporation organized under the laws of the State of Texas and Bylaws adopted by the Board of Directors; and, WHEREAS, the Bylaws of CHURCHILL FOREST HOMEOWNERS ASSOCIATION.

INC., provide, in Article VI, Section 2, for a quorum requirement for Association meetings of at least seventy-five (75) active resident members, or one-fourth (1/4) of the active resident membership of all the votes entitled to be cast by the Members of the Association: and.

WHEREAS, the Board of Directors of CHURCHILL FOREST HOMEOWNERS ASSOCIATION, INC., has determined that it would be in the best interest of the Association's business and more helpful to an orderly administration of the affairs of the Association to change the quorum requirement for membership items for a vote to require attendance in person or by proxy of one-tenth (1/10) of all the votes entitled to be cast by the Members of the Association except as otherwise provided by the Articles of Incorporation, the Declaration or Bylaws: and.

WHEREAS, the Board is also of the opinion that the order of business for membership meetings as stated in Article VI, Section 2 of the Bylaws needs to be modified to provide for more efficient use of time; and, WHEREAS, the Board has the legal authority to amend the Bylaws pursuant to Article X of the Bylaws; NOW, THEREFORE, by their signatures below, the President and Secretary of CHURCHILL FOREST HOMEOWNERS ASSOCIATION, INC. certify that the Board of

amend the Bylaws pursuant to Article X of the Bylaws; NOW, THEREFORE, by their signatures below, the President and Secretary of CHURCHILL FOREST HOMEOWNERS ASSOCIATION, INC. certify that the Board of Directors has voted in favor of amending Article VI, Section 2 of the Bylaws of CHURCHILL FOREST HOMEOWNERS ASSOCIATION, INC., at a duly-called meeting of the Board or by signed, unanimous written consent in lieu of a meeting, and that the following provision has been adopted to replace Article VI, Section 2, in the original Bylaws: Section 2. Special meetings of members may be called by the Board of Directors at any time for the transaction of business and must be called by the Board of Directors upon written request of twenty-five (25) or more active resident members. Notice of the time and place of such special meetings, as well as the nature of the business to come before them, must be posted on the corporation's bulletin board at least five (5) days prior to the date of such meeting.

uN One tenth (1/10") of the active resident membership shall constitute a quorum at any meeting and all matters shall be declared by a majority of the members present. If there shall not be a quorum present at any meeting, the members present may adjourn and reconvene without any further notice other than announcement to those present. At any reconvened meeting following adjournment due to lack of a quorum the quorum requirement shall be half of what it was at the previous meeting. By their signatures below the President and Secretary of CHURCHILL FOREST HOMEOWNERS ASSOCIATION, INC., certify the foregoing First Amendment of the Bylaws of CHURCHILL FOREST HOMEOWNERS ASSOCIATION, INC., was validly adopted at a meeting of the Board of Directors at which a quorum was established, or by unanimous written consent in lieu of a meeting.
