WITN ESSETH: WHEREAS, Declarant, istheownerofthatcertainrealproperty plattedasCUSTER HILL ESTATES PHASE A,asapproved bytheCityofAllenandfiledofrecordasinstrument number96 94004oftheRealProperty Records ofCollinCounty Texas,saidsubdivision referred toasthe "Development", andsuchplat,asmaybeamended orreplatted, beingreferred toasthe"Plat"allof saidrealproperty beingmorespecifically described onthePlatoftheDevelopment whichare incorporated hereinandmadeaparthereofforallpurposes (the"Property").
NOW,THEREFORE, Declarant herebydeclares thatalloftheProperty shallbeheld,sold andconveyed subjecttothefollowing easements, restrictions, covenants andconditions, allofwhich areforthepurpose ofenhancing andprotecting thevalue,desirability andattractiveness ofthe Property. Theseeasements, covenants, restrictions andconditions shallrunwiththeProperty andbe bindingonallpartieshavingoracquiring anyright,titleorinterestinthe Property oranypartthereof, theirheirs,successors andassigns,andshallinsuretothebenefitofDeclarant andeachownerthereof.

ARTICLE I ADDITIONAL DEFINITIONS 1.1Association. "Association" shallmeanandrefertoCusterHillEstates(Allen) Homeowners' Association, Inc.,aTexasnon-profit corporation, itssuccessors andassigns..
1.2AreasofCommon Responsibility. "AreasofCommon Responsibility" shallmean thoseareaslistedbelowinwhichtheAssociation shallmaintain, upkeepandrepair: (a)AllOpenSpaces(ashereinafter defined) (including alllandscaping andimprovements thereon) asmaybedesignated onthePlat.
(b)Anyscreening wall,fenceand'.ltherimprovement benefitting theDevelopment, including butnotlimitedtothescreening wallorfencealongthewesternedgeofthe Declaration ofCovenants, Conditions andRestrictions (CusterHillEstatesPhaseA) PageIof20 Development whichabutsCusterRoad(alsoknownasF.M.Highway 2478).
(c)Amenities and/orparkareasplusimprovements therein.
1.3Declarant. Theterm"Declarant" shallmeanCUSTERIHEDGECOXE L.L.C.,a Texaslimitedliabilitycompany andanypartytowhomitshallexpressly assigninwriting,itsrights, powers,privileges andprerogatives hereunder.
1.4City."City"shallmeantheCityofAllen,Texas.
1.5Home."Home"shallmeanasingle-family residential unitconstructed onaLotbeing apartoftheProperty, including theparkinggarageutilizedinconnection therewith andtheLotupon whichtheHomeislocated.
1.6Lienholder. "Lienholder" or"Mortgagee" shallmeantheholderofafirstmortgage lien,eitheronanyHomeand/oranyLot.
1.7Lot."Lot"or"Lots"shallmeanandrefertoaportionoftheProperty designated as aLotonthePlatoftheProperty, excluding OpenSpace,streets,alleysandanyAreaofCommon

1.9OpenSpaces. "OpenSpaces" shallmeantheareasoflandwhichshallbeownedby theAssociation andasaredesignated ontherecorded PlatoftheProperty.
1.10Owner. "Owner" shallmeanandrefertotherecordOwner,otherthanDeclarant whether oneormorepersonsorentities,ofafeesimpletitletoanyLotandshallincludeany homebuilder, butshallexcludethosehavingsuchinterestmerelyassecurity fortheperformance of anobligation. However, theterm"Owner" shallincludeanyLienholder orMortgagee whoacquires feesimpletitletoanyLotwhichisapartoftheProperty~ throughdeedinlieuofforeclosure or throughjudicialornonjudicial foreclosure.
1.11Builder. "Builder" isany'company, entityorpersonthatpurchases Lot(s)fromthe Declarant fortheexpresspurposeoftheconstruction andsaleofnewsinglefamilyresidence(s) withintheDevelopment.
1.12Contractor. "Contractor" isanyindependent contractor oremployee ofaBuilderor Decfarant whoispresentontheProperty toconstruct, assemble, fabricate, installorerectany improvements fortheDeclarant orBuilder.

Upon thehappening ofeitheroftheeventssetforthinSection3.2(b)hereunder oratanytime atDeclarant's solediscretion, theAssociation willbesolelyobligated tomaintain and improve theOpenSpaceareasandAreasofCommon Responsibility inaprudentmannertoenhance thesafety,security andoverallappearance oftheDevelopment. TheAssociation, subjecttoHUD approval andaslongasthereareClassAandClassBmembers intheAssociation, shallhavethe following rightswithregardtotheOpenSpaces: (i)therighttodedicate ortransferallofanypartoftheOpenSpacestoanypublicagency orauthority subjecttosuchconditions asmaybeagreedtobytheMembers. Nosuchdedication or transfershallbeeffective unless(a)aninstrument ofagreement tosuchdedication ortransfer, signed bytwo-thirds (2/3)ofallmembers entitled tovote(determined pursuant toSection 3.2hereof)is properly recorded, intheDeedRecords ofCollinCounty, Texas,(b)awrittennoticeofproposed actionunderthisSectionissenttoeveryOwner(including Lienholder orMortgagees) notlessthan thirty(30)days,normorethansixty(60)daysinadvanceofsaidaction,and(c)theanypublicagency orauthority receiving thededication ortransferconsents inwritingtothededication ortransfer; (ii)therighttoborrowmoneytobesecured byalienagainsttheOpenSpaces; however, ,.therightsundersuchimprovement mortgage shallbesubordinate andinferior totherightsofthe Owners hereunder; and (iii)therighttoenteruponandmakerulesandregulations relating totheuseoftheOpen Spaces.

2.2TitletoOpenSpaces. Immediately upontherecordation ofthisDeclaration, the Declarant shalldedicate andconveytotheAssociation byseparate deed,without consideration, the feesimpletitletotheOpenSpacesownedbyDeclarant freeandclearofmonetary liensand encumbrances otherthanthosecreatedinorsubordinate tothisDeclaration.
ARTICLE III ASSOCIA TIONMEMBERSHIP ANDVOTING RIGHTS 3.1Membership. Declarant, duringthetimeitownsanyLots,andeachpersonorentity whoisarecordOwnerofafeeorundivided feeinterestinanyLotshallbeaMember ofthe Association. Theforegoing isnotintended toincludepersonsorentitieswhoholdaninterestmerely assecurity fortheperformance ofanobligation. Membership shallbeappurtenant toandmaynot beseparated fromanyownership ofanyLotwhichissubjecttoassessment bytheAssociation.
Transfer ofownership, eithervoluntarily orbyoperation oflaw,shallterminate suchOwner's membership intheAssociation, andmembership shallbevestedinthetransferee; provided, however, thatnosuchtransfershallrelieveorreleasesuchOwnerfromanypersonal obligation withrespectto assessments whichhaveaccrued priortosuchtransfer.
3.2VotingRights. TheAssociation shallhavetwoclassesofvotingmembership.
(a)Class"A".TheClass"A"Members shallbeallOwners. Whenmorethanonepersonholdsan interestinanyLot,allsuchpersonsshallbeMembers. ThevoleforsuchLotshallbcexercised as theyamongthemselves determine, butinnoeventshallmorethanonevotebecastwithrespectto anyLot.

(b)Class"B".TheClassliB"Member shallbeDeclarant. TheDeclarant shallbe entitledtotenvotesforeachLotitowns;provided however thatDeclarant shallceasetobeaClass liB"Member andshallbecomeaClass"A"Member entitledtoonevoteperLotonthehappening of eitherofthefollowing events: (i)whenthetotalvotesoutstanding intheClass"A"membership equalsthetotal votesoutstanding intheClass"B"membership, or (ii)theexpiration oftwenty(20)yearsfromtherecording dateofthisinstrument in theRealProperty RecordsofCollinCounty, Texas.
3.3NoCumalative Voting. Atallmeetings oftheHomeowners' Association, thereshall benocumulative voting. Priortoallmeetings, theBoardofDirectors shalldetermine thetotal numberofvotesoutstanding andentitledtovotebytheMembers.
3.4Association's Powers. InadditiontotherightsoftheAssociation setforthinother sectionsofthisDeclaration, theAssociation shallhavethedutytoenforcethecovenants underthis Declaration andmaintain allAreasofCommon Responsibility andshallhavetheright,power,and authority todoanyactwhichisconsistent withorrequired bytheprovisions ofthisDeclaration or theBylaws, whether thesamebeexpressed orimplied, including butnotlimitedtothefollowing: (a)ThepowertolevyandcollectAssessments (ashereinafter defined), ofwhatever nature forthemaintenance, repairorreplacement oftheAreasofCommon Responsibility existingontheProperty andforsuchotherpurposes asarehereinprovided; (b)Thepowertokeepaccounting recordswithrespecttotheAssociatio"n's activities (c)Thepowertocontract withandemployother'Sformaintenance andrepair;and

ARTICLE IV ASSESSMENTS MAINTENANCE FUNDANDASSESSMENT LIENS 4.1Creation oftheLienandPersonal Obligation ofAssessments. EachOwnerofany Lotbyacceptance ofadeedthereforcovenants andagreestopaytotheAssociation: (i)annual assessments orcharges, and(ii)specialassessments forcapitalimprovements. Suchassessments (collectively, the"Assessments") aretobefixed,established andcollected asprovided herein.
Assessments, together withsuchinterestthereonandcostsofcollection thereof, ashereinafter provided, shallbeachargeontheLotandshallbesecuredbyacontinuing lienwhichishereby createdandimpressed forthebenefitoftheA'~sociation upontheLotagainstwhicheachsuch Assessment ismade.EachsuchAssessment, togetherwithsuchinterestcostsandreasonable attorney's Declaration ofCovenants. Conditions andRestrictions (CusterlIillEstatesPIlaseA)Page-I(1f20 lCesshallalsoconstitute apersonal obligation orthepetsonorentitywhowastherecordOwnerof suchLotatthetimeoftheAssessment. Thepersonal obligation fordelinquent Assessments shallnot passtosuccessors intitleunlessexpressly assumed bysuchsuccessors; however, thelienuponthe Lotshallcontinue untilpaid.
4.2Purpose ofAssessments. TheAssessments leviedbytheAssociation shallbeused exclusively forthepurposeofpromoting therecreation, health,safetyandwelfareoftheOwnersof theLots,theimprovement andmaintenance oftheAreasofCommon Responsibility andanyother property ownedbytheAssociation, andtheperformance and/orexerciseoftherightsandobligations
etyandwelfareoftheOwnersof theLots,theimprovement andmaintenance oftheAreasofCommon Responsibility andanyother property ownedbytheAssociation, andtheperformance and/orexerciseoftherightsandobligations oftheAssociation arisinghereunder. Assessments shallinclude, butnotbelinlitedto,fundstocover actualAssociation costs(including reasonable reserves) foralltaxes,insurance, repair,replacement, maintenance andotheractivities asmayfromtimetotimebeauthorized bytheBoardofDirectors', legalandaccounting fees,andanyfeesformanagement services; expenses incurred incomplying with anylaws,ordinances orgovernmental requirements applicable totheAssociation ortheProperty; reasonable replacement reserves andthecostofotherfacilities andserviceactivities, including, but notlimitedto,mowing grass,grounds care,sprinkler system,landscaping, andothercharges required orcontemplated bythisDeclaration and/orthatwhichtheBoardofDirectors oftheAssociation shall determine tobenecessary tomeettheprimarypurposeoftheAssociation, including theestablishment' andmaintenance ofareserveforrepair,maintenance, taxesandothercharges asspecified herein.
4.3BasisandMaximum ofAnnual Assessments.
(a)Commencing January 1,1997,theregularmaximum annualAssessment shallbean amount nottoexceed$360.00 perLotperyearpaidinadvance.
(b)FromandafterJanuary 1,1998,themaximum regularannualassessment maybe increased byanamount uptotwentyfivepercent(25%)overthepreceding year'sregularannual assessment solelybytheBoardofDirectors. Anyincrease overandabove25%oftheprevious year's regularannualassessment shallbedoneonlybythepriorwrittenapproval oftwo-thirds (2/3)ofthe outstanding votes(determined pursuant toSection3.2hereof)heldbytheMembers atameeting at whichaquorum ispresent.

4.4Special Assessments. Inaddition totheregularannualAssessment authorized above, theAssociation maylevy,inanyassessment year,aSpecialAssessment applicable tothatyearonly, forthepurposeofdefraying, inwholeorinpart,thecostsincurred bytheAssociation pursuant tothe provisions ofthisDeclaration, provided thatanysuchAssessment shallhavethepriorwrittenapproval oftwo-thirds (2/3)oftheoutstanding votes(determined pursuant toSection3.2hereof)heldbythe Members atameeting atwhichaquorumispresent.AnySpecialAssessments shallbeprorated based ont~eperiodoftimetheOwnerownstheLotduringsuchyear.
4.5NoticeandQuorum foranyActionAuthorized UnderSections 4.3and4.4.
Written noticeofanymeeting calledforthepurposeoftakinganyactionauthorized underSections 4.3and4.4hereunder shallbegiventoallMembers notlessthanten(10)daysnormorethantwenty (20)daysinadvance ofsuchmeeting. Atsuchmeeting, thepresence ofMembers orofwritten proxiesentitledtocastfiftypercent (SO°tla)ofallthevotesentitledtobecastbytheMembers ofthe Association shallconstitute aquorum. IfthereCiuired quorum isnotpresent, another meetingn:ay becalledsubjecttothesamenoticerequirements andtherequired quorum atthesubsequent meetIng Dec/aration ofCovenants, Conditions andRestrictions (CusterHillEstatesPhaseA)Page5of20 shallbeone-half (1/2)oftherequired quorumatthepreceding meeting. SolongasDeclarant andthe theMembers mayparticipate Inameeting bymeansofteleconference orslmllarcommunications by

4.6Uniform RateofAssessment. BoththeregularannualandSpecialAssessments shall befixedatauniform rateforallLots,andshallcommence andbedueinaccordance withthe provisions ofSection 4.7hereof. EachOwnershallpayonehundred percent (100%)ofthe established Assessment foreachLotheoritowns.
4.7DateofCommencement ofAnnual Assessments; DueDates.
(a)Theobligation topayregularannualassessments provided forhereinshallcommence noearlierthanJanuary 1,1997.TheAssessments shallthenbedueonsuchpayment datesasmay beestablished bytheAssociation. Assessments shallbedueandpayable onanannualbasisunless otherwise designated bytheAssociation.
(b)AslongasDeclarant isaClassliBIIMember pursuant toSection3.2hereof,Declarant .:shallpaythedeficiency resulting intheeventthecostofmaintenance exceeds theamountofthe Assessments received fromtheOwners; provided, however, insuchevent,Declarant shallnot otherwise berequired topayAssessments withrespecttoportionsoftheProperty ownedbyDeclarant; andfurther,provided, however, innoeventshallDeclarant berequired topayanamountwhichisin excessofonehundred percent(100%)oftheestablished Assessment foreachLotitowns.Whenthe Declarant isconverted toaClass"A"Member, theDeclarant (i)shallnolongerberesponsible for contributing shortfalls outlined inthepreceding sentence butrather,(ii)shallcommence making regularannualandSpecialAssessments pursuant toSections 4.3and4.4hereofcalculated onthe numberofLotsDeclarant thenowns.

(c)TheannualAssessments forthefirstAssessment year shallbefixedbytheAssociation priortothesaleofthefirstLottoanOwner. ExceptforthefirstAssessment year,theAssociation shallfixtheamountoftheannualAssessment atleastthirtydaysinadvanceofeachAssessment year, whichshallbethecalendar year;provided, however, thattheAssociation shallhavetherighttoadjust theregularannualAssessment uponthirtydayswrittennoticegiventoeachOwner, aslongasany suchadjustment doesnotexceedthemaximum permitted pursuant toSection4hereof.Writtennotice oftheregularannualAssessment shallbegivenassoonasispracticable toeveryOwnersubject thereto. TheAssociation shall,upondemand atanytime,furnishacertificate inwritingsignedeither bythePresident, VicePresident ortheTreasurer oftheAssociation settingforthwhether theannual andspecialAssessments onaspecified Lothavebeenpaidandtheamountofanydelinquency. A reasonable chargemaybemadebytheAssociation fortheissuance ofthesecertificates. Such certificates shallbeconclusive evidence ofpayment ofanyAssessment thereinstatedtohavebeen paid.
(d)NoOwnermayexempthimselffromliability forAssessments bywaiveroftheuscor enjoyment ofanyportionoftheDevelopment orOpenSpacesorbyabandonment ofhisHome.
4.8EffectofNon-P~lyment ofAssessments; Remedies oftheAssociation.

(b)AnyAssessment provided forinthisDeclaration whichisnotpaidwhendueshallbe delinquent. IfanysuchAssessment isnotpaidwithinthirty(30)daysafterthedateofdelinquency, untIlpaId,attherateoftenpercent(10%)perannumorthemaXImum rateallowed bylaw,whichever isthelesser.TheAssociation may,atitsoption,bringanactionatlawagainsttheOwnerpersonally obligated topaythesame,or,uponcompliance withthenoticeprovisions hereof,foreclose thelien againsttheLotasprovided inSubsection 4.8(d)hereof. Thereshallbeaddedtotheamountofsuch Assessment thecostsofpreparing andfilingtheconlplaint insuchaction,andintheeventajudgment isobtained, suchjudgment shallincludesaidinterestandareasonable attorney's fcc,together with thecostsofaction. (d)Anysuchsaleprovided foraboveistobeconducted inaccordance withtheprovisions applicable totheexercise ofpowersofsaleinmo"rtgages anddeedsoftrust,assetforthinSection 51.002oftheProperty CodeoftheStateofTexas(asitmaybeamended fromtimetotime),orin anyothermanner permitted bylaw.EachOwner, byaccepting adeedtoaLot,expressly grantsto theAssociation apowerofsaleassetforthinsaidSection51.002oftheProperty Code,inconnection withtheAssessment lien.TheAssociation, through dulyauthorized agents,shallhavcthepowerto bid~ntheLotatforeclosure saleandtoacquire andhold,lease,mortgage andconveythesame.
(e)Uponthetimelycuringofanydefaultforwhichanoticeofclaimoflienwasfiledby theAssociation, theofficersoftheAssociation areherebyauthorized tofileorrecord,asthecasemay be,anappropriate releaseofsuchnotice,uponpayment bythedefaulting Ownerofafee,tobe
