4. That the Board of Directors hereby certifies that it has verified that all ballote returned were duly and properly cast.
5. The Board finds that 329 votes were cast in favor of the adoption of the Amendment.
6- The Board of Directors hereby certifies that at least ?3 rds of the total votes entitled to be cast, voted in favor of the Amendment and the Amendment was adopted.
