BY-LAWS2Ci130052US 02/04/2013 RP2$52700 OF CYPRESSWOOD PLACE COMMUNITY IMPROVEMENT ASSOCIATION ARTICLE I NAME ANDLOCATION Thenameofthecorporation isCYPRESSWOOD PLACE COMMUNITY IMPROVEMENT ASSOCIATION, INC.,hereinafter referred toasthe"Association".

Theprincipal officerofthecorporation shallbetheoffice of theregistered agent aslistedwiththeSecretary ofState,butmeetings ofmembers anddirectors maybe held atsuchplaceswithintheStateofTexas,Countyof Harris, asmaybedesignated bytheBoardofDirectors.

ARTICLE II DEFINITIONS Section 1."Association" shallmeanandrefertoCypresswood Place Community Improvement Association, itssuccessors, andassigns.

Section 2."Properties" shallmeanandrefertothatcertainrealproperty described intheArticlesofIncorporation oftheAssociation, andsuchadditions thereto asmayhereafter bebroughtwithinthejurisdiction of theAssociation.

Section 3."Common Area"shallmeanallrealproperty ownedorleasedby theAssociation, ifany, for thecommon useandenjoyment oftheOwners.

Section 4."Lot"shallmeanandrefertoanyplot oflandshownuponany recorded subdivision mapoftheproperties withtheexception of theCommon Area.

Section 5."Owner" shallmeanandrefertotherecordowner,whether oneor morepersonsorentities,ofthe fee simple titleto any Lotwhich is part of theProperties, including contract sellers,butexcluding thosehavingsuchinterestmerelyasasecurity fortheperformance ofanobligation.

Section 6."Restrictions" shallmeanandrefertothatcertain instrument entitled "Declaration ofCovenants, Conditions, Restrictions andEasements ("Deed Restrictions") ofCypresswood Place,asubdivision in Harris County, Texas"filed of recordintheOfficialPublicRecords ofRealProperty ofHarrisCounty, Texasunder HarrisCountyClerk'sFile No. L800661 andFilmcodeNo.124-77-1523, etseq.,and anyamendments thereto.

Section 7."Member" shallmeanandrefertothosepersons entitled to membership intheAssociation asprovided intheArticles ofIncorporation ofthe Association andtheseBy-laws.

Section 8."Delinquent Assessments" shallmeanandrefertoany assessment, costs,orotherfeeduetotheAssociation pursuant tothetermsofthe Restrictions or bythelaws oftheStateofTexasandinagreement withtheDeed Restrictions, notpaidwithin thirty (30) daysoftheduedate.

ARTICLE III MEMBERSHIP Eachowner,whether oneormorepersons orentities, of a Lot in Cypresswood Place,uponandbyvirtueofbecoming anowner,automatically becomes andremains a member ofthecorporation untilhim/her/its ownership ceasesforanyreason,atwhich timehis/her/its membership inthecorporation shallautomatically cease.

ARTICLE IV VOTING RIGHTS Eachmember shallhaveone(1)voteperLotownedinCypresswood Place.In theeventthatownership interests in a Lotareownedbymorethanonemember ofthe corporation, suchmembers shallexercise theirright tovoteinsuchmannerastheymay amongthemselves determine, but in no eventshallmorethanonevotebecastforeach Lot.Thosemembers shallstillhaveonlyone(1)voteper"multiple parcel". All members ofthecorporation mayattendmeetings ofthecorporation andall voting members mayexercise theirvoteatsuchmeetings eitherinperson, byproxyor absentee ballot.

ARTICLE V MEETING OFMEMBERS Section 1.AnnualMeetings. Aregularannualmeeting ofthemembers shall beheld in May of eachyear.TheBoard of Directors shallsettheactualdate,time, and location ofthemeeting.

Section 3.NoticeofMeetings. Notice of eachmeeting ofthemembers shall be given by,or at the direction ofthe secretary orpersonauthorized to callthe meeting, by posting a copy of suchnotice to the community website, atleastten (10)days,but notmorethanfifty(50)daysbeforesuchmeeting, toeachmember, addressed tothe member's e-mailaddress lastappearing onthebooksoftheAssociation, orsupplied by suchmember totheAssociation forthepurpose ofnotice.Suchnoticeshallspecifythe place,day,andhourofthemeeting, and, inthecaseof aspecialmeeting, thepurpose ofthemeeting.

Section 4.Quorum. Thepresence attheMeeting ofMembers entitledto cast,or ofproxiesentitledtocast,orabsentee ballots,tenpercent(10%) of thevotes shallconstitute aquorumforanyactionexceptasotherwise provided intheArticles of Incorporation, theDeedRestrictions, ortheseBy-laws. If quorum is notpresentor represented atanymeeting, themembers areentitledtoadjournthemeeting from time totime,without noticeotherthanannouncement atthemeeting, until aquorumas aforesaid shallbepresentorberepresented.

Section 5.Proxies. Atallmeetings ofmembers, eachmember mayvotein personor by proxy. Allproxiesshallbeinwriting andfiled with theSecretary. Every proxyshallberevocable bythemember givingsameandshallautomatically cease uponconveyance bythemember of his Lot.

ARTICLE VI BOARD OFDIRECTORS -SELECTION -TERMOFOFFICE Section 1:Number. Theaffairs of theCorporation shallbemanaged by aBoard ofDirectors composed offive (5) members oftheAssociation. Eachdirectorshallserve atermof notlessthanthree(3)years.Elections for two (2) positions shallbeconducted eachyearfor two (2) years,withelectionfortheremaining positiontobeconducted in thethirdyear.

Section 2:TermofOffice.Eachdirectorelectedattheannualmeeting ofthegeneral members shallservefor atermofthree(3)years.

Section3:Removal. Any director may be removed fromthe Board, withorwithout cause, bya majorityvote ofthe members consisting offifty-onepercent(51%)ofthe Association. Notwithstanding the powerofthe members to remove a director, the Board of Directors itself also hasthe power to remove a director for the reason(s) listed in ArticleIX,SectionI(d) oftheseBy-Laws. Ifa director is removed, only the members maychoosehis/herreplacement atanelectioncalledforsuchpurpose. Intheeventof death,resignation, orremovalofadirector,his/hersuccessor shall beselectedbythe remaining members of the Board and shall servefor the unexpired term of his/her predecessor, afterwhichthe positionshall be filledbyelection ofthe members.

Section 4:Compensation. No director shall receivecompensation foranyservice he/shemayrendertotheAssociation. However, anydirectormaybereimbursed for his/heractualexpenses intheperformance ofhis/herduties.

Section 5:ActionTakenWithout aMeeting. Thedirectors shallhavetheright totake anyactionintheabsence of ameeting, viaphone,andelectronic transmission (aslong astheDirectors canhearandbeheardby allDirectors) withoutproviding noticetothe owners, whichtheycouldhavetakenatameeting. Anyactionsoapproved shallhave

ARTICLE VII NOMINATION ANDELECTION OFDIRECTORS Section 1:Nomination. Nomination forelection oftheBoardofDirectors shallbemade by aNominating Committee. Nominations mayalsobemadefromtheflooratthe annualmeeting. TheNominating Committee shallconsistof aChairperson, whoshall beamember oftheBoardofDirectors, andtwomembers oftheAssociation. The Nominating Committee shallbeappointed bytheBoardofDirectors prior to each annualmeeting. TheNominating Committee shallmakeasmanynominations for election totheBoardofDirectors asitshallin itsdiscretion determine, butnotlessthan thenumberofvacancies thataretobefilled.Suchnominations maybemadeonly from amongmembers orrepresentatives asprovided for inArticle VI, Section 1.

Section 2:Election. Election totheBoardofDirectors shallbebywrittenandsigned ballot. At suchelection, themembers ortheirproxiesmaycast,inrespect toeach vacancy, asmanyvotesastheyareentitledtoexercise undertheprovisions ofthese Bylaws.Absentee Ballotsshallbecountedasmarked afteracceptance bythevoting proctor. Thepersons receiving thelargestnumberofvotesshallbeelected. Cumulative votingisnotpermitted.

ARTICLE VIII MEETINGS OFDIRECTORS Section 1:Regular Meetings. Regularmeetings oftheBoardofDirectors shallbeheld with notice, atsuchplaceandhourasmaybefixed from time to time by resolution of theBoard.Shouldsaidmeeting falluponalegalholiday, thenthatmeeting shallbe heldatthesametimeonthenextdaywhichisnotalegalholiday. Meetings areopen totheOwners andthepublic. Owners maybeinvited to speakbytheBoardof

Section 3:Quorum. Amajority ofthenumberofdirectors shallconstitute aquorumfor thetransaction ofbusiness. Everyactordecision doneormadeby amajority ofthe Directors presentata dulyheldmeeting, atwhich a quorum oftheDirectors are present, shallberegarded asanactoftheBoard.

Section 4:Executive Session. TheAssociation maystillexclude allmembers from theExecutive Session todiscuss certainitems. Itemsthatmaybediscussed in Executive Session include: a.Actionsinvolving personnel b.Pending orthreatened litigation c.Contract negotiations d.Enforcement actions e.Confidential communications withtheAssociation attorney f.Mattersinvolving invasion ofprivacyofowners,and g.Othermattersthatareconfidential byrequestofanaffected partyandagreement oftheBoard.

Section 5:Meetings without NoticeofOwners. TheBoardispermitted tomeetby telephonic orelectronic transmission (aslongasallDirectors canhearandbeheardby allDirectors) withoutproviding noticetotheowners.

TheBoardispermitted totakeactionbymajority consent, withoutnoticetothe Owners, toconsider routineandadministrative matters orduetoanemergency or urgentnecessity thatrequires immediate Boardaction.AnyactionstakenbytheBoard withoutnoticetotheOwners mustbesummarized orally(including explanation ofany approved known,actualorestimated expenditures) andplacedintheminutes ofthe nextregularorspecialBoardmeeting.

TheBoardmaynotconsider orvoteonthefollowing matters, unlessproper NoticeoftheBoardmeeting hasbeenprovided totheOwners: a.Fines b.Damage assessments c.Initiation offoreclosure action d. Initiationof enforcement actions(notTRO'sorthreatstohealth/safety) e.Increase inassessments f. Levying of a specialassessment g. Appeal froma denialofan Architectural ControlCommittee application, and Section7:Reporting. Minutes of the Board meetings mustbemadeavailable to the Ownersaspart of the Books and Records. Anydecisions madeinexecutive session must be orallysummarized and placed inthe meeting minutes, in generalterms without violating privacy or privilege requirements, including ageneral explanation of expenditures approved inexecutive session.

ARTICLE IX POWERS ANDDUTIES OFTHEBOARD OFDIRECTORS Section 1:Powers. TheBoardofDirectors shallhavethepowerto: (a)Adoptandpublishrulesandregulations governing theuseoftheCommon Areasandfacilities, ifany, andthepersonal conduct ofthemembers andtheirguests thereon, andtoestablish penalties fortheinfraction thereof; (b)Suspend theright tousetherecreational facilities, ifany,afternoticeand hearing, for aperiodnot toexceedsixty (60) days,foranyinfraction ofpublished rules andregulations; (c)Exercise fortheAssociation allpowers,duties,andauthority vestedin or delegated to thisAssociation andnotreserved tothemembership byotherprovisions of theseBy-Laws, theArticlesofIncorporation, ortheDeedRestrictions; (d)Declare theofficeofamember oftheBoardofDirectors tobevacantin theeventthatthemember isabsentfromthree(3)consecutive regularmeetings ofthe

By-Laws, theArticlesofIncorporation, ortheDeedRestrictions; (d)Declare theofficeofamember oftheBoardofDirectors tobevacantin theeventthatthemember isabsentfromthree(3)consecutive regularmeetings ofthe BoardofDirectors; and (e)Employ amanager, anindependent contractor, orsuchotheremployees asdeemnecessary, andtoprescribe theirduties.

Section 2:Duties.ItshallbethedutyoftheBoardofDirectors to: (a)Causetobekeptacomplete recordof all its actsandcorporate affairs andtopresentastatement tothemembers attheannualmeeting ofthemembers; (b)Supervise allofficers, agents,andemployees ofthisAssociation, andto seethattheirdutiesareproperly performed; (c)Asmorefullyprovided intheDeedRestrictions, to: 1.Fixtheamount oftheannualassessment againsteachLotatleast thirty(30) daysinadvance ofeachannualassessment period; 2.Sendwrittennoticeofeachassessment toeveryOwnerreflected onthemembership rolls oftheAssociation atleastthirty (30) daysinadvance of eachannualassessment period; 3.Foreclose thelienagainstanyproperty forwhichassessments are notpaidortobringlegalanactionatlawagainsttheownerpersonally obligated topaythesame;and 4.Appropriate collection effortsasdeemed necessary bytheBoard ofDirectors.

(d)Procure andmaintain adequate liabilityandhazardinsurance onproperty ownedorunderthecontroloftheAssociation; (e)Causeallofficers andemployees havingfiscalresponsibilities tobe bonded,asitmaydeemappropriate; (f)CausetheCommon Area,ifany,tobemaintained; (g)Treattheresidents oftheproperties in a fairandequalmanner; (h)Require topromote therecreation, health,safety,andwelfare ofthe residents withinthesubdivision; (i)enforceDeedRestrictions; (j)TheAssociation shallpurchase andmaintain liabilityinsurance onbehalf ofanypersonwhoistheDirector oftheAssociation against anyliabilityasserted

ents withinthesubdivision; (i)enforceDeedRestrictions; (j)TheAssociation shallpurchase andmaintain liabilityinsurance onbehalf ofanypersonwhoistheDirector oftheAssociation against anyliabilityasserted againsthim/herandincurred by him/herinanysuchcapacity, orarisingoutofstatusas such,whether ornottheAssociation wouldhavethepowertoindemnify himorher against suchliabilityunderthepreceding provisions ofthisArticleorapplicable provisions of law.

ARTICLE X OFFICERS ANDTHEIR DUTIES Section 1:Enumeration ofOffices. Theofficers ofthisAssociation shallconsist ofat leastaPresident, VicePresident, Secretary, andaTreasurer, whoshall,atalltimes,be members oftheBoardofDirectors andsuchotherofficesasTheBoardmayfromtime totimebyresolution create.

Section 2:Election ofOfficers. Theelection ofofficers shalltakeplaceatthefirst meetingoftheBoard of Directors following eachannualmeetingofthemembers.

Section 3:Term.TheofficersofthisAssociation shallbeelectedannually bytheBoard andeachshallhold office for one(1)yearunlesstheyresignsooner, orshallbe removed, orotherwise disqualified toserve.

Section4:SpecialAppointments. The Board may electotherofficersastheaffairs of theAssociation mayrequire,eachofwhom shall hold office for suchperiod,havesuch authority andperformsuchdutiesattheBoard may, from time to time, determine.

Section 5:Resignation andRemoval. Any Board member mayberemoved from office for causeby majority vote. Any officer may resign at anytime giving written noticetotheBoard,thePresident ortheSecretary. Suchresignation shalltakeeffecton thedateofreceiptofsuchnotice or at any latertimespecified therein,andunless otherwise specified therein,theacceptance ofsuchresignation shallnotbenecessary tomakeiteffective.

Section 6:Vacancies. Avacancy inanyofficemaybefilled by appointment bythe

specified therein,andunless otherwise specified therein,theacceptance ofsuchresignation shallnotbenecessary tomakeiteffective.

Section 7:Multiple Offices. Theoffices of Secretary andTreasurer maybeheld bythe sameperson.Nopersonshallsimultaneously holdmorethanoneofanyoftheother officesexceptinthecaseofspecialofficescreatedpursuant toSection4 ofthis Article.

Section 8:Duties. Thedutiesoftheofficers areasfollows: President: (a)ThePresident shallpresideat allmeetings oftheBoard of Directors; shall see thatordersandresolutions oftheBoardarecarriedout;shallsignallleases, mortgages, deeds,andotherwritteninstruments andco-signallchecksand promissory notes.

VicePresident: (b)TheVicePresident shallactintheplaceandsteadofthePresident inthe eventofhis/herabsence, inability orrefusalto act,shallexercise and discharge suchotherdutiesasmay be required of him/her by theBoard.

Secretary: (c)TheSecretary shallrecordthevotesandkeeptheminutes of allmeetings andproceedings oftheBoardandofthemembers; servenoticeofmeetings oftheBoardandofthemembers; keepappropriate currentrecords showing themembers oftheAssociation together withtheiraddresses; andshall performsuchotherdutiesasrequired bytheBoard.

Treasurer: (d)TheTreasurer shallreceiveanddeposit inappropriate bankaccounts all monies oftheAssociation andshalldisburse suchfundsasdirected by resolution oftheBoardofDirectors; shallsignallchecksandpromissory notesoftheAssociation; keepproperbooksofaccount;; prepare andhave available atanymeeting ofthemembers a listing of all members; andshall prepareanannualbudgetandastatement ofincomeandexpenditures tobe

ARTICLE XI COMMITTEES TheAssociation shallappointanArchitectural ControlCommittee, asprovided in theRestrictions, andaNominating Committee, asprovided intheseBy-laws. In addition, theBoardofDirectors shallappointothercommittees asdeemed appropriate incarrying outitspurpose. AllCommittee members shallserveatthediscretion ofthe BoardofDirectors.

ARTICLE XII BOOKS ANDRECORDS Uponwritten request statingthepurposes thereof, anyMember ofthe Association orbyhis/herdulyappointed representative, shallbeentitled tomakea reasonable examination ofthebooksandrecords oftheAssociation duringnormal business hoursandfor aproperpurpose reasonably relatedtotheirinterestasa Member attheofficeoftheAssociation oratsuchotherplaceinHarrisCounty, Texas, astheBoardofDirectors shallprescribe.

NOMember shallremoveanybooksandrecordsfromthepossession ofthe Association foranyreason, but aMember mayrequestcopiesofbooksandrecords uponwrittenrequest statingthespecific booksandrecords desired andaproper purpose fortherequest, provided suchMember shallpayallreasonable costsof providing therequested copiespriortoobtaining same.

Notwithstanding theforegoing, nomember shallbeentitled toexamine any documents unlesstheproperform is filled outandsubmitted totheBoardofDirectors andtheAssociation shallhavea privilege to refusetodisclose anyconfidential communications regarding 0 9 0 h 8 Sa. Any confidential communications byandbetween pastorcurrent legal

Anyconfidential communications asdetermined bytheBoard of Directors whichmayincludemattersdiscussed inExecutive Session, withtheattorney, andsuchothermatters astheBoardshalldeemthebestinterests ofthe Association requirebekeptconfidential, including withoutlimitation protection oftheprivacyrightsof individual members, competitive bidsuntil a final bid is accepted, andmatterswhereanobviousconflict of interestexistsbetween a member andtheAssociation anddisclosure woulddetrimentally affectthe interests oftheAssociation c. Anycommunications privileged undertheTexasRulesofCivilor Criminal Procedures, theTexasRulesof CivilorCriminal Evidence, andanyother applicable statuteor law of theStateofTexas.

ARTICLE XIII ASSESSMENTS Asmorefullyprovided intheRestrictions, eachMember isobligated topaytothe Association annualandSpecialAssessments whicharesecured by acontinuing Lien upontheproperty againstwhichtheassessment ismade.

ARTICLE XIV AMENDMENTS Section 1.TheseBy-laws maybeamended atregularorspecialmeetings of theMembers, by avoteinperson, proxyorabsentee ballotof51%ofMembers.

Section 2.Inthecaseofanyconflictbetween theArticlesofIncorporation and theseBy-laws, theArticles shall control. Inthecaseofanyconflictbetween theDeed Restrictions andtheseBy-laws, theDeedRestrictions shall control.
