DOC #2021070685 Pages 4 FIRST AMENDMENT TO THE BYLAWS OF FOREST CROSSING PROPERTY OWNERS ASSOCIATION THE STATE OF TEXAS § § KNOW ALL MEN BY THESE PRESENTS: COUNTY OF MONTGOMERY § WHEREAS, the Bylaws for Forest Crossing Property Owners Association (the “Association”) was recorded in the Montgomery County Real Property Records under File No.

2013042785 on April 29, 2013 (the “Bylaws”); WHEREAS, Article 16, Section 16.01 of the Association’s Bylaws authorizes the Board of Directors to alter, amend, or repeal the Bylaws or to adopt new Bylaws of the Association; WHEREAS, Section 209.00593(b) of the Texas Property Code authorizes the Association’s Board of Directors to amend the Association’s Bylaws to provide for elections to be conducted in accordance with Section 209.00593(a); NOW THEREFORE, the Association’s Bylaws are hereby amended as follows: 1. Article 4, Section 4.06 is hereby amended in its entirety: 4.06. Quorum. The quorum required for any action authorized to be taken by the Association shall be as follows: (a) (b) (c) Quorum in General: The presence at annual or special meetings of members, either in person or by proxy, or absentee ballot, entitled to cast ten percent (10%) of all the votes of the members of the Association, shall constitute a quorum for all purposes at any meeting of the Members, EXCEPT as otherwise provided in the Declaration AND except if a greater quorum or vote of the members is required by law, the Articles of Incorporation, or elsewhere in the Declaration, or these Bylaws.

If Quorum Not Met - for Association Business OTHER than Board of Director Elections: If at any meeting of Members, the required quorum is not present, another meeting may be called subject to the same notice requirement, and the

ciation Business OTHER than Board of Director Elections: If at any meeting of Members, the required quorum is not present, another meeting may be called subject to the same notice requirement, and the required quorum at the subsequent meeting shall be one-half (1/2) of the required quorum at the preceding meeting. No subsequent meeting shall be held more than sixty (60) days following the preceding meeting.

If Quorum Not Met for Board of Director Elections Only: If quorum is not present or represented, the meeting shall be adjourned without notice other than announcement at the meeting, and immediately reconvened for the sole purpose of election of directors. At the reconvened meeting, quorum shall be all those members counted as present whether in person or by proxy, absentee ballot, electronic ballot, or any other method of representative or delegated voting. Directors shall be elected by a majority of those votes.

2. Article 5, Section 5.01 is hereby amended in its entirety: 5.01. Annual Meetings. The annual meeting of the Members of the Association shall be held at the day, time and location as designated by the Association’s Board of Directors.

3. Article 6, Section 6.02 is hereby amended in its entirety: 6.02. Term. Each Member serving on the Board of Directors shall serve until the annual meeting of Members of the Association, or until their successors are elected, their resignation or removal from the Board of Directors. Board Members shall serve for a term period of three (3) years. Board Members shail serve in staggered terms as to prevent all Board Member positions being up for election in one year. In order to obtain staggered terms, a Board Members’ term may be reduced to less than three (3) years to ensure that at least one, but no

all Board Member positions being up for election in one year. In order to obtain staggered terms, a Board Members’ term may be reduced to less than three (3) years to ensure that at least one, but no more than three Board Members’, depending on the number on the Board of Directors, term is up for election in any given year. In order to obtain staggered terms, the Board Member who received the least amount of votes shall have their term reduced accordingly.

4. Article 6, Section 6.07(g) is hereby amended as follows: g. cause the streets in the Subdivision to be maintained; Nothing herein is intended to alter, modify or amend the Bylaws except as specifically provided hereinabove.

CERTIFICATION I, the undersigned, am the duly elected and acting President of FOREST CROSSING PROPERTY OWNERS ASSOCIATION, a Texas non-profit corporation, and I do hereby certify: That the within and foregoing Amendment to the Bylaws, was properly adopted as of the G@ day of /“Zz/ , 2021, by a vote of at least a majority of the Board of Directors.
