Mou 10011 Na 55-1 FIRST AMENDMENT TO THE AMENDED AND RESTATED BYLAWS OF GARDENS AT BROOKHOLLOW HOMEOWNERS ASSOCIATION, INC.

STATE OF TEXAS § § | KNOWALL MEN BY THESE PRESENTS: COUNTY OF BEXAR § WHEREAS, GARDENS AT BROOKHOLLOW HOMEOWNERS ASSOCIATION, INC, (hereinafter the "Association") is a Texas non-profit corporation governed by the Amended and Restated Bylaws of Gardens at Brookhollow Homeowners Association, Inc. (hereinafter the “Bylaws"), and, WHEREAS, the Board of Directors of the Association has the legal authority and ability to amend the Bylaws of the Association pursuant to Section 22.102(c), Texas Business Organizations Code; and, WHEREAS, the Board of Directors has voted at a duly-called meeting, or by unanimous, signed written consent in licu of a meeting, to amend the Bylaws to lower the quorum requirement for membership meetings and change the date for the annual meeting of the Association; NOW, THEREFORE, be it known that Article II, Section 2.4 and Article III, Section 3.3 of the Bylaws are amended as set forth below.

~14549-1 Article II, Section 2.4 of the Bylaws is amended to state: 2.4 Quorum. Except as otherwise provided in these Bylaws, the presence in person or by proxy of ten percent (10%) of the voting Owners shail constitute a quorum. In the event a quorum is not present, then the meeting called shall be adjourned, and notice of a new meeting for the same purpose within two (2) to four (4) weeks shall be sent by mail, at which meeting the number of Owners represented in person or by proxy shall be sufficient to constitute a quorum, An affirmative vote of a majority of the Owners present, either in person or by proxy, shall be reqnilred to transact the business of the meeting.

Ih Article Ill, Section 3.3 of the Bylaws is amended to state:

Ih Article Ill, Section 3.3 of the Bylaws is amended to state: 3.3 Annual Meeting. The annual meeting of the Association shall be held on or before ninety (90) days after the expiration of the prior fiscal year. At such meetings there shall be elected by ballot of the Owners a Board of Directors in accordance with the requirements of Section 4.5 of these Bylaws. The Owners may also transact such other business of the Association as may properly come before them.
