WHEREAS, the Board of Directors (the “Board”) of High Star Homeowners Association, Inc.

(the “Association”) h as approved the amendment to the Bylaws provided below; and WHEREAS , the Board previously adopted and executed that certain document titled By-Laws of High Star Homeowners Association, Inc. , as amended ; and WHEREAS, the Board noted the increasing problem of apathy within the membership of the High Star community and the difficulty in acquiring the necessary votes to establish a quorum for the annual meeting of the Members sufficient to allow the community’s b usiness, including the election of directors , to be conducted; and WHEREAS, the Board also noted that the Texas Property Code , Section 209.005 93, provides , in part, “[n]otwithstanding any provision in a dedicatory instrument, any board member whose term has expired must be elected by owners who are members of the property owners’ association … The board of a property owners’ association may amend the bylaws of the propert y owners’ association to provide for elections to be held ”; and WHEREAS, during the course of business, a vote of the Board was taken to amend the Association’s Bylaws , pursuant to Section 209.00593 of the Texas Property Code and the Bylaws, in order to ensure that the election of Directors will occur during a meeting of the members at which quorum is present .

NOW THEREFORE, BE IT FURTHER RESOLVED THAT the By-Laws shall be amended as follows: ARTIC LE III Meeting of Members Section 4. Quorum . The pre sence at any meeting of Members entitled to cast, or proxies entitled

BE IT FURTHER RESOLVED THAT the By-Laws shall be amended as follows: ARTIC LE III Meeting of Members Section 4. Quorum . The pre sence at any meeting of Members entitled to cast, or proxies entitled to cast, one-tenth (1/10) of the votes in the Association shall constitute a quorum for any action except as otherwise provided in the Articles of Incorporation, the Declaration, or these By -Laws . If the required quorum is not present or represented at any meeting, another meeting may be called subject to the sa me notice requirement and the required quorum at the subsequent meeting shall be one -half (1/2) of the required quorum at the previous meeting. No subsequent meeting shall be held more than sixty (60) days following the preceding meeting. Notwithstanding a nything contained herein to the contrary, the quorum requirement for a meeting of the Members, as such meeting pertains to the election of Directors, shall be those Members present, in person or by proxy, absentee ballot, electronic ballot or any other met hod of representative or delegated voting approved by the Board of Directors of the Association (the "Board"), at such meeting.
