Book 17398 Page 1564 22pgs Doc# 20150150640 MEMORANDUM OF AGREEMENT MILLER RANCH [SOUTH] This Memorandum of Agreement (“Memorandum”), dated to be effective as of August MW 2015 (“Effective Date”), is entered into by and between KB HOMES LONE STAR, INC,, a Texas corporation (“KB Homes”), and SIVAGE COMMUNITY DEVELOPMENT, INC., a Texas corporation (“Sivage”). Collectively, KB Homes and Sivage shall be known as the “Parties”.

1. Agreement. KB Homes owns that certain real property more particularly described on Exhibit A, attached and incorporated herewith (the "KB Homes Property").

Sivage, along with Sivage Investments, Ltd., a Texas limited partnership, owns that certain real property near or adjacent to the KB Homes Property which is more particularly described on Exhibit B, attached and incorporated herewith (the "Sivage Property”). The KB Homes Property and the Sivage Property are both encumbered by the Declaration of Covenants, Conditions, and Restrictions for Miller Ranch [South] (the "Declaration"). Sivage and KB Homes have entered into an agreement (the “Agreement”) with respect to certain matters set forth in the Declaration. Specifically, the Agreement limits certain rights held by KB Homes and Sivage as Declarants under the Declaration as such rights pertain to the other party's property.

2 Purpose. This Memorandum is being recorded to provide record notice that the rights and obligations under the Agreement will be binding on the successors and assigns of KB Homes and Sivage. This Memorandum is prepared for the purpose of recordation only, and it in no way modifies the provisions of the Agreement. In the event of any inconsistency between the provisions of this Memorandum and the Agreement, the provisions of the Agreement shall control.

3. Counterpart Execution. This Memorandum may be executed in any number of counterparts, including execution by facsimile, with the same effect as if all parties hereto had signed the same document, and all counterparts, either original and/or facsimile, will constitute one and the same agreement.

4, Miscellaneous. The parties have executed this Memorandum as of the date first set forth above on the dates and at the places indicated in their acknowledgments below.
