9 ©160191044SCANNED FIFTH AMENDED BY-LAWS OF NORTHERN HILLS COUNTRY VILLAGE OWNERS ASSOCIATION STATE OF TEXAS § § KNOW ALL MEN BY THESE PRESENTS: COUNTY OF BEXAR § The amendment to the By-Laws of Northern Hills Country Village Owners Association, which is located in the City of San Antonio, Texas, is made and executed by Northern Hills Country Village Owners Association (hereinafter referred to as “Association”). It is made with reference to the following facts: 1. The Association, whose principal office is at 99 Suncrest Lane, San Antonio, Texas 78217, operates a condominium regime for the property described in Exhibit “A” of the Declaration-The Northern Hills Country Village Condominium, filed in Volume 8, Page 711 et seg., Condominium Records of Bexar County, Texas; as annexed by the Annexation Declaration for the Northern Hills Country Village Condominium, filed in Volume 8, Page 745, et seq., Condominium Records of Bexar County, Texas; and as annexed by the Annexation Declaration for the Northern Hills Country Village Condominium, filed in Volume 2977, Page 1784 et seq., Official Public Records of Real Property of Bexar County, Texas. This regime was established under the Condominium Act of the State of Texas, formerly Article 1301a, Revised Civil Statutes of Texas, now codified as V.T.C.A., Property Code § 81.002 et seq.
By The By-Laws of Northern Hill Country Village Owners Association are recorded in Volume 8, Page 699, et seq., Condominium Records of Bexar County, Texas; as amended by a document entitled First Amended By-Laws of the Northern Hills Country Village Owners Association, Inc., which is recorded in Volume 4300, Page 696, et seq., Official Public Records of Real Property of Bexar County, Texas; as amended by a document entitled Second Amended
Village Owners Association, Inc., which is recorded in Volume 4300, Page 696, et seq., Official Public Records of Real Property of Bexar County, Texas; as amended by a document entitled Second Amended By-Laws of the Northern Hills Country Village Owners Association, Inc., which is recorded in Volume 4440, Page 1326 et seq., Official Public Records of Real Property of Bexar County, Texas; as amended by a document entitled Third Amended By-Laws of the Northern Hills Country Village Owners Association, Inc., which is recorded in Volume 8238 Pages 351 et seq., Official Public Records of Real Property of Bexar County, Texas; and as amended by a document entitled Fourth Amended By-Laws of the Northern Hills County Village Owners Association, Inc., which is recorded in Volume 9903, Page 799, et seq., Official Public Records of Real Property of Bexar County, Texas.
3 The Association desires to, and does hereby, amend the By-Laws of Northern Hills Country Village Owners Association under the powers reserved to the Association in Paragraph 9, entitled AMENDMENT OF BY-LAWS, of the Association’s By-Laws. At the time this amendment was passed, the membership of the Association owned 100% of the Units, as defined in the Condominium Declaration and Annexation Declarations referenced above. The vote was taken at the annual general meeting of the membership on the 19" day of December, 2015.
Book 18113 Page 272 4pes Present at the meeting, in person or by proxy, were 64% of the qualified voters. After discussion 100% of the votes were cast in favor of the amendment. Hence the amendment passed.

NOW THEREFORE, the Association hereby amends the By-Laws of Northern Hills Country Village Owners Association as follows (the amendments to be effective immediately upon recording of this document): Article 2, entitled MEETINGS OF THE ASSOCIATION, Section 2.1 is amended to read as follows: 2.1 “The first regular meeting of the Association shall be held within 120 days after the expiration of the development period or at such earlier date as may be provided by the declaration.
Thereafter there shall be an annual meeting of the Association on a date set and to be determined during the month of December of each year at 6:00 P.M. at the Property or at such other reasonable place or time not more than sixty days before or after such date as may be designated by written notice of the Board of Directors of the Association (hereinafter referred to as “Board’) delivered to the apartment owners not more than sixty days, nor less than thirty days, prior to the date set for said meeting. At or prior to each annual meeting, the Board shall furnish to the apartment owners a list of names of the nominees for the positions on the Board to be filled at the meeting.
Article 3, entitled BOARD OF DIRECTORS, Section 3.12 is amended to read as follows: 3.12 “The fiscal year of the Association shall be from the first day of July in the current year to the last day of June in the following year unless otherwise determined by the Board.”
Article 5, entitled COMMON EXPENSES: ASSESSMENTS, Section 5.2 is amended to read as follows: 5.2 “Within thirty days prior to the end of the fiscal year of the Association, the Board shall estimate the common expenses and capital contributions for the coming fiscal year. Subject to the

The estimated capital contributions and common expenses shall be presented thirty days prior to the end of the fiscal year and thereafter shall be assessed on a monthly basis to all apartment owners in proportion to their percentage of undivided interest in the common elements as set forth in Exhibit “C” of the Declaration as such interest may be adjusted upon annexation of additional apartments pursuant to Section 29 of the Declaration. If the estimated common expenses prove inadequate for any reason, including nonpayment of any apartment owner’s assessments, the Board may, by resolution duly adopted, make additional assessments, which shall be assessed to the apartment owners in the same manner as the estimated common expenses. Each apartment owner shall be obligated to pay the assessments made pursuant to this paragraph on or before the first day of each month, or in such other reasonable manner as the Board shall designate. The funds received by the Association from assessments for common expenses and capital contributions shall be kept in either capital accounts or in the common expense fund and shall be expended only in accordance with the provisions of the Act, the Declaration and these Bylaws.”

All other provisions of the By-Laws of Northern Hill Country Village Owners Association are hereby restated and reaffirmed.
