DOC #2023088897 Pages 43 SECOND AMENDMENT to DECLARATION OF COVENANTS, CONDITIONS, RESTRICTIONS AND EASEMENTS for PIPER TRACE TOWNHOMES THE WOODLANDS, TEXAS THE STATE OF TEXAS § § COUNTY OF MONTGOMERY § WHEREAS, The Ryland Group, Inc., a Maryland corporation, as Declarant, caused the “Declaration of Covenants, Conditions, Restrictions and Easements for Piper Trace Townhomes The Woodlands, Texas” (the “Declaration’”) to be recorded in the Official Public Records of Real Property of Montgomery County, Texas under Clerk’s File No. 9709556, which instrument imposes various covenants, conditions, restrictions easements, liens and charges on the following real property: The Woodlands, Village of Indian Springs, Section 11, a subdivision in Montgomery County, Texas according to the map or plat thereof recorded in Cabinet I, Sheet 142 of the Map Records of Montgomery County, Texas (the “Property”) WHEREAS, the Declaration was amended by instrument entitled “First Amendment to Declaration of Covenants, Conditions, Restrictions and Easements Piper Trace Townhomes The Woodlands, Texas” recorded in the Official Public Records of Real Property of Montgomery County, Texas under Clerk’s File No. 9876036 (the Declaration as amended hereinafter still referred to as “Declaration’”); and WHEREAS, Article XII, Section 12.1, of the Declaration, entitled “Amendment by Owners” provides the Declaration may be amended by Owners representing at least sixty-seven percent (67%) of the Lots within the Property and the approval of Mortgagees as required by Section 11.5.

o person shall be charged with notice of or inquiry with respect to any amendment until and unless it has been recorded in the Official Public Records of Real Property of Montgomery County, Texas; and WHEREAS, Owners representing not less than sixty-seven percent (67%) of the total votes entitled to be cast desire to amend the Declaration; and WHERES, the Association has not received a written request from any Eligible Mortgagee requesting that the Association notify the Eligible Mortgagee of this action; NOW, THEREFORE, the following provisions of the Declaration are amended as set forth below: Second Amendment to Declaration for Piper Trace Townhomes Page 1 of 8 1. Article IV, Section 4.1, of the Declaration, entitled “Insurance”, is amended and restated to read as follows: Section 4.1. Insurance.

(a) Owner’s Insurance. With the exception of insurance for hazards covered by the National Flood Insurance Program (“NFIP”), each Owner shall obtain and maintain in force at all times insurance covering the Owner's Unit and all insurable improvements that the Owner has the obligation to maintain, repair, or replace as provided in this Declaration.

Such insurance shall include coverage for loss or damage by fire, storm, windstorm, hail, and/or any other hazards or casualty, and shall be in an amount sufficient to cover the full replacement cost, without depreciation [or such other lesser amount as determined in the sole and absolute discretion of the Board but in no event less than eighty percent (80%) of the full replacement cost without depreciation], of any repair or reconstruction in the event of damage or destruction from any such hazard or casualty. Each Owner shall also maintain a general liability policy covering the Owner's Lot and Unit with, at a minimum, coverage

ruction in the event of damage or destruction from any such hazard or casualty. Each Owner shall also maintain a general liability policy covering the Owner's Lot and Unit with, at a minimum, coverage limits of one hundred thousand and 00/100 dollars ($100,000.00.) The insurance coverage(s) required by this Section 4.1(a) are required to include and shall include coverage for damage to, or the destruction of, a Unit's party wall, if any.

It is highly recommended that each Owner obtain insurance coverage from the NFIP and, if available, insurance to cover the deductible amount(s) on other insurance policies.

The Board of Directors may: (i) establish, in a separate document, the amounts and specifics of the required insurance [and increase or decrease any required coverage amount(s) included in this provision] in its sole and absolute discretion and/or (ii) adopt additional insurance guidelines to further change, clarify, define, and interpret any term and/or provision in this Article IV. Any such guidelines adopted by the Board of Directors shall have the same force and effect as if stated in this Declaration.

On or before January 31 of each year, or within ten (10) business days of the date a written demand is sent by the Association at any other time, each Owner shall provide the Board of Directors with written proof of the insurance required in this Article IV in the form of documentation issued by the Owner's insurer(s). If an Owner fails to provide such documentation, the Association, acting through the Board of Directors, shall have the right, but not the obligation, to obtain the required insurance coverage (or insurance coverage in an amount to be determined in the sole and absolute discretion of the Board of Directors) on the Lot

right, but not the obligation, to obtain the required insurance coverage (or insurance coverage in an amount to be determined in the sole and absolute discretion of the Board of Directors) on the Lot and Unit on behalf of the Owner and charge all related costs for such insurance to the Owner as a Reimbursement Assessment, which Second Amendment to Declaration for Piper Trace Townhomes Page 2 of 8 Reimbursement Assessment shall be secured by a continuing lien on the Lot as described in Article IX, Section 9.1 of this Declaration and may be collected in the same manger as a General Assessment as described in Article IX, Section 9.10 of this Declaration. Any such insurance costs shall also be the personal obligation of the Owner. In the event that the Association obtains such insurance coverage, the term of the insurance coverage obtained by the Association on behalf of the Owner shall be in the sole and absolute discretion of the Board, however, in no event shall the term of insurance coverage be longer than twelve (12) months. If the Owner obtains the required insurance coverage subsequent to the Association obtaining same: (a) the Association shall not be required to cancel any insurance coverage it obtained under this provision; and (b) the Owner and the Lot shall still be assessed and will be responsible for the full cost of any insurance coverage(s) obtained by the Board.

The Association, acting through the Board of Directors in its sole and absolute discretion, shall have the right, but not the obligation, to exercise exclusive authority to adjust losses under the insurance coverage(s) and policies obtained by an Owner or the Association under this Article IV and, if the Board exercises this right, the authority shall be vested in the

In the event that the Association exercises such right, each Owner, by acceptance of a deed to a Lot, shall be deemed to have irrevocably appointed the Association or its designated representative as the Owner's attorney-in-fact for the purposes of: (a) adjusting, collecting and disbursing the insurance claim and/or insurance proceeds on the insurance coverage(s) and policies obtained by the Owners; (b) negotiating the losses and execution of releases of liability; and (c) executing any and all relevant documents and performing any and all other acts necessary to accomplish such purposes. The Association shall exercise its rights under this provision by notifying the Owner in writing of its decision to exercise the authority contemplated by this provision within fourteen (14) business days of the date (the “Notice Date”) the Association learns of a loss or damages covered by an Owner's insurance coverage(s) contemplated by this Section 4.1(a). The Notice Date shall be the date the Association informs an Owner in writing that it has learned of such loss or damages.

Notwithstanding any language to the contrary herein, neither the Association, the Association’s Board of Directors, or the Association’s management company (including the management company’s individual

(b) Association Insurance. The Board of Directors or its duly authorized agent shall have the authority to obtain insurance for all insurable improvements the Association has the obligation to maintain, repair, or replace as provided in this Declaration. Such insurance may cover loss or damage by fire or other hazard or casualty, including extended coverage, vandalism, and malicious mischief and shall be in an amount sufficient to cover the full replacement cost of any repair or reconstruction in the event of damage or destruction from any such hazard or casualty. The Board shall obtain a general liability policy covering the Association for all damage or injury caused by the negligence of the Association or any of its directors or agents, and, if reasonably available, directors’ and officers’ liability insurance. The Association is not required or obligated to carry NFIP coverage for any Lot, Unit and/or any other property owned by an Owner.

Premiums for all insurance which it is the obligation of the Association to provide shall be common expenses of the Association. The policies may contain a reasonable deductible, and the amount thereof shall be added to the face amount of the policy in determining whether the insurance at least equals the full replacement cost.

In addition to the other insurance required by this section, the Board of Directors shall obtain, if and to the extent necessary, a fidelity bond or bonds on directors, officers, employees, and other persons handling or responsible for the Association's funds. The amount of fidelity coverage shall be determined in the directors’ best business judgment. Bonds shall contain a waiver of all defenses based upon the exclusion of persons serving without compensation and may not be cancelled or substantially modified without at least ten (10) days’ prior written notice to the Association.

Notwithstanding any language to the contrary in this Section 4.1(b), or in any other term or provision of this Declaration, the Association shall not be responsible for maintaining, or obligated to maintain, any insurance coverage on any Lot or Unit, or any part thereof, for which the Owner is required to maintain coverage under Section 4.1(a).

2. Article IV, Section 4.2, of the Declaration, entitled “Damage or Destruction”, is amended and restated to read as follows: Second Amendment to Declaration for Piper Trace Townhomes Page 4 of 8 Section 4.2. | Damage or Destruction.

Immediately after the damage or destruction by fire or other casualty to all or any improvement covered by insurance written in the name of the Association, the Board or its duly authorized agent shall proceed with the filing and adjustment of all claims arising under such insurance and obtain reliable and detailed estimates of the cost of repair or reconstruction of the damaged or destroyed property. Repair or reconstruction, as used in this paragraph, means repairing or restoring the property to substantially the same condition and location that existed prior to the fire or other casualty.

(b) Repair and Reconstruction. If the damage or destruction for which the Association’s insurance proceeds are paid is to be repaired or reconstructed and such proceeds are not sufficient to defray the cost thereof, the Board of Directors may, without the necessity of a vote of the Association’s members, levy a special assessment against all Owners for the deficiency. Additional Assessments may be made in like manner at any time during or following the completion of any repair or reconstruction. If the funds available from the Association’s insurance exceed the costs of repair or reconstruction or if the improvements are not repaired or reconstructed, such excess shall be deposited to the benefit of the Association. Any special assessment levied under this provision shall be a uniform sum for each Lot, and shall be due and payable on the date or dates and in the manger determined by the Board and specified in a statement mailed to the Members.

(c) Duty to Rebuild. It is the Owner’s obligation to have repaired or

due and payable on the date or dates and in the manger determined by the Board and specified in a statement mailed to the Members.

(c) Duty to Rebuild. It is the Owner’s obligation to have repaired or reconstructed any damage or destruction to the Owner’s Unit, landscaping, or improvements. If a Unit, landscaping, or improvement located on a Lot is damaged by fire, storm, windstorm, hail, or other hazard or casualty, the Owner shall bring the affected Lot, Unit, and all other improvements thereon, as applicable, into compliance with this Declaration within the time period set by the Association on a case-bycase basis, pursuant to the architectural requirements and approval process set forth in this Declaration. Regarding a Unit that is totally destroyed due to casualty, the Owner(s) of the Unit must have the Unit or damaged portions of the Unit razed within the time period established by the Association on a case-by-case basis and replaced within the time frame established by the Association on a case-by-case basis, with such replacement subject to prior written approval by the Development Standards Committee and the Board. Repair or reconstruction of a damaged or destroyed Unit, landscaping, or any improvement on a Lot shall be to substantially the same condition to which the Unit, landscaping, or improvement existed prior to the damage. Upon damage to or destruction of a Unit, the Owner shall submit a claim to the Owner's insurer(s) within seven (7) business days of the event or such other Second Amendment to Declaration for Piper Trace Townhomes Page 5 of 8 timeframe agreed upon by the Board of Directors.

To the extent any landscaping is the obligation of the Association to restore or replace for any reason or casualty, the Association is only

The Association is not obligated to restore or replace any landscaping or landscaping features added to a Lot by an Owner.

(d) Owner's Liability. Each Owner shall be liable to the Association for all costs incurred by the Association if such loss was caused by the negligent or intentional acts of the Owner and/or the Owner’s tenants, guests, or invitees.

3. Article VI, Section 6.3, of the Declaration, entitled “Association Maintenance, is amended to add the following language: Notwithstanding any language to the contrary in this Section 6.3 or in any other term or provision of this Declaration, the Association shall not be responsible for, or obligated to provide, any maintenance or repair to the exterior of or to the interior of a Unit arising from a casualty or hazard or casualty contemplated by Article IV, Section 4.1(a) whether or not the Owner maintains the insurance coverage required by said provision.

4. Article VII, Section 7.3, of the Declaration, entitled “Destruction by Fire or Other Casualty”, is amended and restated to read as follows: Section 7.3. Destruction by Fire or Other Casualty. If a party wall is destroyed or damaged by fire, storm, windstorm, hail, and/or any other hazard or casualty, any Owner who has used or benefits from the wall shall restore it, and if other Owners share, make use of, or benefit from the wall,

fire, storm, windstorm, hail, and/or any other hazard or casualty, any Owner who has used or benefits from the wall shall restore it, and if other Owners share, make use of, or benefit from the wall, they shall contribute to the cost of restoration thereof in proportion to such use without prejudice subject to the right of any such Owner(s) to call fora larger contribution from the others under any rule of law regarding liability for negligent or willful acts or omission.

In the event of a casualty and a party wall(s) is damaged or destroyed and the Owners thereof are unable to agree to the terms of repair or reconstruction of such party wall(s) within thirty (30) days following such casualty, then the Association shall have the right, but not the obligation, to negotiate the repair or reconstruction thereof with the applicable insurance company(s) and/or contractors and all Owners shall be bound by the decision of the Association. In the event that the Association exercises its right under this Section 7.3, each affected Owner shall: (a) provide the contact information for the Owner(s)’ insurance adjuster and/or insurance Second Amendment to Declaration for Piper Trace Townhomes Page 6 of 8 broker and all other relevant insurance documentation within five (5) business days of the date the Association demands same in writing; and/or (b) shall be responsible to pay the Owner's proportionate share of the repair as determined by the Association’s Board of Directors in its sole and absolute discretion.

Except as amended herein, all provisions in the Declaration, as previously amended, remain in full force and effect.
