Copy OCIATION Held September 14, 2010) The name of the Association organized under the nonprofit corporation laws of the State of Texas is and shall be SADDLE CLUB ESTATES HOMEOWNERS ASS JATION. The principal office of the Association shall be located in Midland, Midland County, Texas.

The business and affairs of the Association shall be managed by the Board, who may exercise all such powers of the Association and do all such lawful acts and things as are directed or required to be done or exercised by the Members not in conflict with statute, the Articles of Incorporation, the Covenants or these By-Laws.

Article II.

Section 2.07. "Member or "Members" when used herein shall mean and refer to a person or persons entitled to membership in Saddle Club Estates Homeowners Association in accordance with the Covenants.

MEETINGS OF MEMBERS Section 3.01. Annual meetings. An Annual Meeting of the Members shall be held each year in the month of January. The date, time, and place of the Meeting shall be determined by the Board of Directors.

Section 3.02. Special Meetings. Special meetings of the Members may be called at any time by the President or by the Board or upon written request of the s who are entitled to vote one-fourth (1/4) of all votes.

Section 3.03. Notice of Meetings. Nominations for election Directors to the Board of Directors (the "Board") shall be made by the Nominating Committee at the annual meeting of the Members. Other regular meetings of the Board shall be held monthly at such place and hour as may be fixed by the President. POWERS AND DUTIES OF THE BOARD Section 6.01. Powers. The Board shall have the power to: (a) adopt and publish rules and regulations governing the use of the Common Area and facilities thereon as well as the personal conduct of the Members and their guests thereon, and to establish penalties for the infraction of such rules and regulations, which penalties shall include suspension, after due notice and hearing, of the voting rights of a Member as well as his right and the rights of his family and guests to use the Common Areas.

Section 11.08. Telephone and Similar Meetings.
