NOVEMBER WITNESSETH: WHEREAS, Sowell Property Partners-Frisco, L.P., a Texas limited partnership (the "Declarant") prepared and recorded an instrument entitled "Declaration of Covenants, Conditions & Restrictions for Stewart Creek Estates" at Volume 4548, Page 1167 et seq. of the Real Property Records, Denton County, Texas (the "Declaration"); and WHEREAS, the Association is the property owners' association created by the Declarant

tes" at Volume 4548, Page 1167 et seq. of the Real Property Records, Denton County, Texas (the "Declaration"); and WHEREAS, the Association is the property owners' association created by the Declarant to manage or regulate the planned developments subject to the Declaration which development is more particularly described in the Declaration; and WHEREAS, Section 202.006 of the Texas Property Code provides that a property owners' association must file each dedicatory instrument governing the association that has not been previously recorded in the real property records of the county in which the planned development is located; and WHEREAS, on November 1, 2007, the Association recorded a Notice of Filing of Dedicatory Instruments for Stewart Creek Estates, as Document No.2007-129103 in the Real Property Records of Denton County, Texas (the "Notice"); and WHEREAS, on December 23, 2008, the Association recorded a First Supplement to the Notice of Filing of Dedicatory Instruments for Stewart Creek Estates, as Document No.2008135161 in the Real Property Records of Denton County, Texas (the "First Supplement"); and WHEREAS, on February 21, 2012, the Association recorded a Second Supplement to the Notice of Filing of Dedicatory Instruments for Stewart Creek Estates, as Document No.201216964 in the Real Property Records of Denton County, Texas (the "Second Supplement"); and WHEREAS, the Association desires to record the Third Amendment to Bylaws attached hereto as Exhibit "A" in the Real Property Records of Denton County, Texas pursuant to and in accordance with Section 202.006 of the Texas Property Code.

STATE OF TEXAS COUNTY OF DENTON KNOW ALL MEN BY THESE PRESENTS: This THIRD AMENDMENT TO THE BYLAWS OF STEWART CREEK ESTATES HOMEOWNER ASSOCIATION. (this "Third Amendment") is adopted by the Board of Directors of Stewart Creek Estates Homeowner Association, Inc., a Texas non-profit corporation (the "Association") as of the (4TH day of NOVEMBER 2012.

WITNESSETH: WHEREAS, Sowell Property Partners-Frisco, L.P., a Texas limited partnership (the "Declarant") prepared and recorded an instrument entitled “Declaration of Covenants, Conditions & Restrictions for Stewart Creek Estates" at Volume 4548, Page 1167 et seq. of the Real Property Records, Denton County, Texas (the "Declaration"); and WHEREAS, the Bylaws of Stewart Creek Estates Homeowner Association, Inc. (the "Bylaws") were approved and ratified by the Board of Directors to assist in the governance of the Association on or about May 11, 2000 and recorded on November 1, 2007 under Instrument Number 2007-129103 of the Real Property Records, Denton County, Texas; and WHEREAS, the First Amendment to the Bylaws of Stewart Creek Estates Homeowner Association, Inc. (the "First Amendment") were approved and adopted by the Board of Directors on or about May 11, 2000 and recorded on November 1, 2007 under Instrument Number 2007129103 of the Real Property Records, Denton County, Texas; and

(the "Second Amendment") were approved and adopted by the Board of Directors on or about September 10, 2008 and November 7, 2008 and recorded on December 23, 2008 under Instrument Number 2008-135161 of the Real Property Records, Denton County, Texas; and WHEREAS, Section 10 of the Bylaws provides for amendment of that instrument by the vote of a majority of the Board of Directors; and WHEREAS, the following amendment to the Bylaws was approved by the Board of Directors on NOVEMBER 14, 2012 in accordance with Section 10 of the Bylaws.

Section 5.5 of the Bylaws is amended by deleting that section in its entirety and replacing it with the following: effect.

Notice and Quorum. Written notice of any meeting called for the purpose of taking any action authorized herein shall be given to all members who, at the time of the giving of the notice, would be entitled to vote at such meeting, not less than ten (10) days nor more than sixty (60) days in advance of the meeting and shall set forth the purpose of such meeting (except to the extent that a different notice period is provided for in the Declaration, in which case the notice period provided for in the Declaration shall govern). At any such meeting called, the presence of Members or of proxies or voting representatives holding ten percent (10%) of all

which case the notice period provided for in the Declaration shall govern). At any such meeting called, the presence of Members or of proxies or voting representatives holding ten percent (10%) of all the eligible votes of the Association, regardless of class, shall constitute a quorum. If the required quorum is not present, another meeting may be called subject to the same notice requirements, and the required quorum at such subsequent meeting shall be one-half (1/2) of the quorum requirement for such prior meeting. The Association may call as many subsequent meetings as may be required to achieve a quorum (the quorum requirement being reduced for each such meeting). No such subsequent meeting shall be held more than sixty (60) days following the preceding meeting.
