Declarant istheowner ofcertain realproperty inTarrant County, Texas, which ismore particularly described onExhibit "A"attached hereto andmade aparthereof.

Declarant intends todevelop onlands, including, butnotlimited to,therealproperty described above, adevelopment tobeknown asWHITESTONE RANCH, PHASE 1(hereinafter referred toasthe"Development"). Declarant intends bythisDeclaration toimpose mutually beneficial restrictions under ageneral planofimprovement forthebenefit ofallowners ofresidential property within theDevelopment bytherecording ofthisDeclaration andamendments thereto.

Declarant desires toprovide aflexible andreasonable procedure fortheoverall development ofthe Development. Declarant alsodesires toestablish amethod fortheadministration, maintenance, preservation, usesandenjoyment oftheproperty thatisnoworhereafter subjected tothis Declaration andcertain otherproperties described inthisDeclaration.

Declarant hascaused theAssociation tobeformed. asaTexas non~profit corporation to perform certain functions forthecommon goodandgeneral welfare oftheOwners (ashereinafter defined).

Declarant hereby declares thatallofthe realproperty described above shallbeheld,soldand conveyed subject tothisDeclaration, which isforthepurpose ofenhancing andprotecting thevalue, desirability andattractiveness oftheProperty (ashereinafter defined). TheCovenants, Restrictions

TheCovenants, Restrictions andEasements setforthherein shallrunwiththeProperty, andshallbebinding onallparties having oracquiring anyright, titleorinterest intheProperty oranypartthereof, andshall, subject tothe limitations herein provided, inuretothebenefit ofeachOwner, hisheirs, grantees, distributes, legal representatives, successors, andassigns, andtothebenefit oftheAssociation.

ARTICLE I DEFINITIONS 1.01 Association." Association" means Whitestone Ranch Homeowners Association, Inc., aTexas non-profit corporation organized under theTexas Non-Profit Corporation Act,itssuccessors andassigns.

1.04 Commencement Date. "Commencement Date" means thedateonwhich thefirst Residence (ashereinafter defined) issoldtoathirdpartyotherthanDeclarant orthebuilder ofsuch Residence.

1.05 Common Property. "Common Property" means allrealproperty (together withany andallimprovements noworhereafter located thereon) owned bytheAssociation orincertain instances overwhich theAssociation hasbeengranted permanent easements, forthecommon use andenjoyment oftheOwners, assetoutinArticle IIherein.

1.06 Declarant. "Declarant" means SRJRIDGEHA VEN PARTNERS, LTD., aTexas limited partnership qualified todobusiness intheStateofTexas, anditssuccessors andassigns, provided anysuchsuccessors orassigns shallacquire forthepurpose ofdevelopment orsaleallor anyportion oftheremaining undeveloped orunsold portions oftherealproperty described in Exhibit "A",ortherealproperty which isintended tobecome partofthe Development, andprovided further, intheinstrument ofconveyance toanysuchsuccessor orassign, suchsuccessor orassign

operty described in Exhibit "A",ortherealproperty which isintended tobecome partofthe Development, andprovided further, intheinstrument ofconveyance toanysuchsuccessor orassign, suchsuccessor orassign isdesignated asthe"Declarant" hereunder bythegrantor ofsuchconveyance, which grantor shall bethe"Declarant" hereunder atthetime ofsuch conveyance; provided, further, upon such designation ofsuccessor Declarant, allrights andobligations ofthe former Declarant inandtosuch status as"Declarant" hereunder shallcease, itbeing understood thatastoalloftheproperty described inExhibit "A"attached hereto, andwhich isnoworhereafter subjected tothisDeclaration, there shallbeonlyoneperson orlegalentity entitled toexercise therights andpowers ofthe "Declarant" hereunder atanyone time.

1.07. Development-Wide Standard. "Development-Wide Standard" shall mean the standard ofconduct, maintenance orotheractivity generally prevailing intheDevelopment. Such standard maybemorespecifically determined bytheBoard andbycommittees required orpermitted tobeestablished pursuant totheDeclaration andBylaws. Suchdetermination, however, mustbe consistent withtheDevelopment-Wide Standard originally established bytheDeclarant.

1.08 Lot."Lot" means anyparcel oflandshown uponasubdivision platrecorded inthe PlatRecords ofTarrant County, Texas, covering anyportion oftheProperty; provided, however, that noportion oftheCommon Property shalleverbeaLotexcept asprovided inSection 2.05.

1.10Membership. "Membership" means thecollective totalofallMembers ofthe Association.

1.11 Occupant. "Occupant" shallmean anyperson occupying alloranyportion ofa Residence located within theDevelopment foranyperiod oftime, regardless ofwhether suchPerson isatenant, guest, ortheOwner oftheResidence.

1,12. Owner. "Owner" means therecord owner (including Declarant), whether oneormore persons orentities, offeesimple titletoanyLot;provided, however, thatwhere feesimple titlehas beentransferred andisbeing heldmerely assecurity fortherepayment ofaloan,theperson orentity whowould owntheLotinfeesimple ifsuchloanwerepaidinfullshallbeconsidered theOwner.

1.13. Parcel. "Parcel" shallmean andrefertoseparately designated residential areas comprised ofvarious types ofhousing initially orbyannexation made subject tothisDeclaration.

Forexample, andbywayofillustration andnotlimitation, acondominium development, a townhouse development, anapartment complex, andasingle family detached home subdivision may allbedesignated asseparate Parcels. Ifseparate Parcel status isdesired foragiven residential area, theDeclarant shalldesignate suchareaasaParcel inanamendment tothisDeclaration. Inthe absence ofspecific designation ofseparate Parcel status, allproperty made subject tothis Declaration shallbeconsidered apartofthesameParcel. TheBoard mayalsogrant Parcel status toanyareaifsorequested inwriting bytheOwners holding atleastseventy-five percent (75%) of thetotalvotes entitled tovotethereon insucharea.

1.14. Property. "Property" means thatcertain realproperty described onExhibit "A" attached hereto together withsuchadditional realproperty asmaybesubjected totheprovisions of thisDeclaration inaccordance withtheprovisions ofArticle Xhereof.

1.15 Residence. "Residence" shallmean aStructure situated upon aLotintended for

Astructure situated onaLotshall notbecome aResidence untilacertificate ofoccupancy shallhavebeenissued bytheappropriate governmental authorities asaprerequisite totheoccupancy ofsuchResidence anduntiltheLotand structure located thereon shallhavebeenconveyed toathirdparty other thanthebuilder thereof unless thebuilder intends tousethestructure a?hisorherprimary residence. TheOwner ofa Residence shallnotify theAssociation orits.designee immediately uponissuance ofacertificate of occupancy fortheResidence.

1.16. Restrictions. "Restrictions" means allcovenants, restrictions, easements, charges, liensandother obligations created orimposed bythisDeclaration.

(a)anything orobject theplacement ofwhich upon anyLotmayaffect the appearance ofsuchLot,including bywayofillustration andnotlimitation, any building orpartthereof, garage, porch, shed,greenhouse orbathhouse, cooporcage, covered oruncovered patio, swimming pool,dock, fence, curbing, paving, wall,tree, shrub (andallotherforms oflandscaping), sign,signboard, temporary orpermanent living quarters (including anyhouse trailer) oranyother temporary orpermanent improvement tosuchLot; (b)anyexcavation, grading, fill,ditch, diversion damorotherthingordevice which affects oralters thenatural flowofsurface waters from, uponoracross any Lot,orwhich affects oralters theflowofanywaters inanynatural orartificial creek, stream, wash ordrainage cham1el from, uponoracross anyLot;and (c)anychange inthegrade atanypointonaLotofmorethan six(6)inches,

ARTICLE II COMMON PROPERTY (a)TheDeclarant mayfromtimetotimeconvey totheAssociation orgrant easements totheAssociation, atnoexpense totheAssociation andinaccordance withthisSection, realandpersonal property forthecommon useandenjoyment of theOwners ofResidence (such realandpersonal property ishereinafter collectively referred toas"Common Property") and,totheextent setforthinthisDeclaration, the general public. TheAssociation hereby covenants and.agrees toaccept fromthe Declarant allsuchconveyances ofCommon Property.

(b)Itiscontemplated bytheDeclarant thattheDeclarant willconvey tothe Association Common Property foraccess, ingress andegress ofbothvehicular traffic andpedestrians, aswellasforlandscaping andsecurity purposes. TheDeclarant may, atDeclarant's solediscretion, modify, alter, increase, reduce andotherwise change theCommon Property (ortheusetobemade thereof) contemplated tobe conveyed totheAssociation inaccordance withthissubsection (b)ofthisSection 2.01atanytimepriortoconveyance ofsuchCommon Property totheAssociation.

(c)Inaddition totheproperty described insubsection (b)ofthisSection2.0l, suchotherrealandpersonal property astheDeclarant maydetermine tobenecessary orproper forthecompletion oftheDevelopment.

(d)Notwithstanding anylegalpresumption tothecontrary, thefeetitleto,and allrights inanyportion oftheProperty owned bytheDeclarant anddesignated as Common Property ordesignated forpublic useshallbereserved totheDeclarant

anylegalpresumption tothecontrary, thefeetitleto,and allrights inanyportion oftheProperty owned bytheDeclarant anddesignated as Common Property ordesignated forpublic useshallbereserved totheDeclarant until suchtime asthesame shall beconveyed totheAssociation ortoany municipality orother governmental body, agency orauthority.

2.02 Right ofEnjoyment. Every Owner ofaResidence shallhavearightandeasement tousetheCommon Property, which rightshallbeappurtenant toandshallpasswiththetitletoevery Lotupontransfer; provided, however, thatnoOwner shalldoanyactwhich interferes withthefree useandenjoyment oftheCommon Property byallother Owners. TheAssociation maypermit persons whoarenotOwners ofResidences tousepartofalloftheCommon Property subject tosuch limitations, anduponsuchterms andconditions, asitmayfromtimetotimeestablish. Therightand easement ofenjoyment granted orpermitted bythisSection 2.02issubject tosuspension bythe Association asprovided inSections 2.03(e) and3.05.

2.03. Rights ofTheAssociation. Therights andprivileges conferred inSection 2.02hereof shallbesubject totheright, andwhere applicable, theobligation, oftheAssociation acting through theBoard to: (a)promulgate rules andregulations relating totheuse,operation and maintenance oftheCommon Property; (b)borrow money forthepurpose ofcarrying outtheactivities ofthe Association, including theacquisition, construction, improvements, equipping and maintenance ofCommon Property, andinaidthereof toencumber bydeedoftrust, mortgage orothersecurity interest anyoralloftheAssociation's property including Common Property andrevenues fromassessments, userfeesandothersources; and provided, however, that,during theperiod when theDeclarant hastheright to appoint members oftheBoard, theAssociation shallnotgrantorconvey toanyone

(e)suspend, pursuant toSection 3.05,thevoting rights ofanyMember and therightofenjoyment granted orpermitted bySection 2.02; (f)sell,leaseorotherwise convey alloranypartofitsproperties andinterests therein; (g)enforce allapplicable provisions ofvalidagreements oftheAssociation relating totheCommon Property oranypartthereof; (h)maintain anyandalllandscaping treatments previously installed bythe

s therein; (g)enforce allapplicable provisions ofvalidagreements oftheAssociation relating totheCommon Property oranypartthereof; (h)maintain anyandalllandscaping treatments previously installed bythe Declarant, totheextent thatsuchlandscaping isnototherwise maintained bythe appropriate county and/or municipal entity having jurisdiction overtheroads for Tarrant County, Texas; (i)contract onbehalf ofallLotsforgarbage andrubbish ..pickup,.and to charge theOwner ofeachLotforhisprorata share ofthecostthereof, suchprorata sharetobedetermined bydividing thenumber ofLotsbeing served intothetotalcost ofproviding suchgarbage andrubbish pickup. IftheAssociation soelects, the charge toeachOwner forgarbage andrubbish pickup shallbeinaddition tothe Assessments described inArticle IVhereof; and U)contract onbehalf ofallLotsforsecurity and/or emergency medical ambulance services, andtocharge theOwner ofeachLotforhisprorata shareofthe costthereof, suchprorata share tobedetermined bydividing thenumber ofLots being served intothetotalcostofproviding suchsecurity and/or emergency medical ambulance service. IftheAssociation soelects, thecharge toeachOwner for security and/or emergency medical ambulance service shallbeinaddition tothe Assessments described inArticle IVhereof.

2.04. Conveyance ofCommon Property byDeclarant toAssociation. TheDeclarant may transfer orconvey totheAssociation anypersonal property andanyimproved orunimproved property, leasehold, easement orotherproperty interest which isormaybesubjected totheterms ofthisDeclaration. Suchconveyance shallbeaccepted bytheAssociation, andtheproperty shall thereafter beCommon Property tobemaintained bytheAssociation forthebenefit ofallofits Members.

2.05. Types ofCommon Property. Atthetimeoftheconveyance ofanyrealproperty or

2.06. Delegation ofUse. AnyOwner maydelegate tothemembers ofhisfamily orhis tenants whoreside onaLot,inaccordance withtheBylaws, hisrighttouseandenjoy theCommon Property.

2.07. Maintenance andOther Common Expenses. TheAssociation shallmaintain andkeep ingood repair theCommon Property including, without limitations, alllandscaping and improvements situated ontheCommon Property. Inaddition tothemaintenance oftheCommon Property, theAssociation shallhavetheobligation tomaintain, repair, andreplace, subject toany insurance thenineffect, allprivate drives (asidentified byrecorded platorotherwise) andnot reserved fortheexclusive useofeachindividual Owner, including, without limitation, allgrass, trees, shrubbery orotherplantings, sidewalks, fences, walls, streetlights, benches, trashreceptacles, sprinkler systems, informational anddirectional streetsignage installed byDeclarant, security gates, andanyother landscaping orimprovements located along orwithin suchprivate drives, andany

ceptacles, sprinkler systems, informational anddirectional streetsignage installed byDeclarant, security gates, andanyother landscaping orimprovements located along orwithin suchprivate drives, andany otherproperty Declarant designates asamaintenance obligation oftheAssociation byanamendment tothisDeclaration. Inaddition, theAssociation shallmaintain, repair andreplace, totheextent permitted bytheapplicable governmental authority, subject toanyinsurance thenineffect, allgrass, trees, shrubbery orotherplantings, sidewalks, fences,_walls, streetlights, benches, trashreceptacles, sprinkler systems, information anddirectional signage, security gates, traffic signals andanyother landscaping orimprovements located along orindedicated rights ofwayandwhich wereinstalled byDeclarant. Theforegoing maintenance shallbeperformed inamanner consistent withthe Development- Wide Standard. Further, theAssociation shallbeartheresponsibility forallutility charges incurred because ofstreet lights, security gates, andsprinkler systems which areinstalled onorabout theCommon Property, andshallpayallinsurance premiums attributable toorconnected withanyportion oftheCommon Property. TheAssociation shallalsohavetheright, butnotthe obligation, tomaintain andprovide services forother property notowned bytheAssociation, whether located within orwithout theboundaries oftheDevelopment, andtoenterintoeasements andcovenants tosharecostagreements regarding suchproperty where theBoard hasdetermined that thiswould benefit Owners.

ARTICLE III WHITESTONE RANCH HOMEOWNERS ASSOCIATION 3.01 Purposes, Powers andDuties ofTheAssociation. TheAssociation shallbeformed asanon-profit corporation forthesolepurpose ofperforming certain functions forthecommon good

TheAssociation shallbeformed asanon-profit corporation forthesolepurpose ofperforming certain functions forthecommon good andgeneral welfare oftheresidents oftheDevelopment. TheAssociation shallhavenopower or dutytodoorperform anyactorthing otherthanthose actsandthings which willpromote insome waythecommon goodandgeneral welfare oftheMembers. Totheextent, andonlytotheextent, necessary tocarryoutsuchpurpose, theAssociation (a)shallhaveallofthe powers ofaTexas nonprofit corporation organized under theTexas Non-Profit Corporation Act,and(b)shallhavethe power anddutytoexercise alloftherights, powers andprivileges andtoperform alloftheduties andobligations oftheAssociation assetforthinthisDeclaration.

3.02 Membership intheAssociation. Every Owner shallautomatically beamember of theAssociation andsuchmembership shallterminate onlyasprovided inthisDeclaration. For purposes ofvoting, thereshallbetwo(2)classes ofMembers assetforthinSection 3.03.

(a)EachOwner ofaResidence, withtheexception ofDeclarant, shallbea Class AMember andshallbeentitled toone(1)Class AvoteperResidence. Where suchOwner isagroup orentity otherthanoneindividual person, thevoteonbehalf ofsuchOwner shallbeexercised onlybysuchindividual person asshall be designated inaproxy instrument dulyexecuted byoronbehalf ofsuchgroup or entity anddelivered tothesecretary ofthe Association.

(b)TheDeclarant shallbethesoleClass BMember andshallbeentitled to nine(9)votesforeachLotorResidence owned; provided, however, innoevent shall theClass BMember havelessthanthetotalnumber ofClass Avotes plusone(1).

TheClass BMembership shallcease andbeconverted toClass AMembership at suchtimeasDeclarant nolonger retains therighttoappoint andremove members of

TheClass BMembership shallcease andbeconverted toClass AMembership at suchtimeasDeclarant nolonger retains therighttoappoint andremove members of theBoard andofficers oftheAssociation pursuant toSection 3.08below.

containing unequal numbers ofLots. Eachsuchphase willbeplatted ofrecord inthe Office oftheClerk ofTarrant County, Texas, inaccordance withArticle Xofthis Declaration. TheDeclarant shallnotify theAssociation inwriting when thefinal phase oftheDevelopment hasbeensoplatted ofrecord. Byacceptance ofadeed conveying aLot,eachOwner acknowledges that,uponthefiling byDeclarant ofthe subdivision platscovering suchphases, thetotalvotesoutstanding intheAssociation willautomatically increase based uponthenumber ofLotsinthephases added and inaccordance withtheformula setforthinsubsection (b)ofthisSection 3.03andin noevent shallClass BMembership cease andbeconverted toClass AMembership [asprovided insubsection (b)ofthisSection 3.03] untilaftertheAssociation receives thewritten notice provided forinthepreceding sentence; provided, however, nothing contained herein shallobligate theDeclarant todevelop any proposed phase oftheDevelopment unless such phase issubjected tothis Declaration.

3.04 Board ofDirectors. Theaffairs oftheAssociation shallbemanaged byaBoard of Directors. Thenumber ofDirectors andthemethod ofelection ofDirectors shallbeassetforthin theBylaws oftheAssociation.

3.05 Suspension ofMembership Rights; TheBoard maysuspend thevoting rights ofany Member andtherightofenjoyment oftheCommon Property ofanyperson who: (a)shallbesubject totheRight ofAbatement, asdefined inSection 8.02,by

fMembership Rights; TheBoard maysuspend thevoting rights ofany Member andtherightofenjoyment oftheCommon Property ofanyperson who: (a)shallbesubject totheRight ofAbatement, asdefined inSection 8.02,by reason ofhaving failed totakethereasonable stepstoremedy aviolation orbreach ofeither theRestrictions ortheDesign Standards (ashereinafter defined) ofthe ACC samepursuant totheprovisions ofSection 5.11,6.16 or8.02hereof; (b)shall bedelinquent inthepayment ofanyassessment levied bythe Association pursuant totheprovisions ofArticle IVhereof; or (c)shallbeinviolation oftherulesandregulations oftheAssociation relating totheuse,operation andmaintenance ofCommon Property.

Suchsuspension shallbeforthebalance oftheperiod inwhich saidMember orperson shall remain inviolation, breach ordefaUlt, asaforesaid, except thatinthecaseofaviolation described insubsection (c)ofthisSection 3.05,thesuspension maybeforaperiod nottoexceed 60daysafter thecureortermination ofsuchviolation. Nosuchsuspension shallprevent anOwner's ingress to oregress fromhisLot.

3.06 Termination ofMembership. Membership shallcease onlywhen aperson ceases to beanOwner.

3.07 Voting Procedures. Theprocedures fortheelection ofDirectors oftheAssociation andtheresolution ofsuchotherissues asmaybebrought before themembership ofthe Association shallbegoverned bythisDeclaration, theTexas Non-Profit Corporation Act,theArticles of Incorporation oftheAssociation, andtheBylaws oftheAssociation, as.each shallfromtimetotime beinforceandeffect.

(a)Notwithstanding anyotherlanguage orprovision tothecontrary inthis Declaration, intheArticles ofIncorporation, orintheBylaws oftheAssociation,

(a)Notwithstanding anyotherlanguage orprovision tothecontrary inthis Declaration, intheArticles ofIncorporation, orintheBylaws oftheAssociation, Declarant hereby retains therighttoappoint andremove anymember oftheBoard oftheAssociation andanyofficer orofficers oftheAssociation until15daysafter thefirstofthefollowing events shalloccur: (i)theexpiration oftwenty (20)years afterthedateoftherecording ofthisDeclaration, (ii)thedateuponwhich allofthe Lotsintended byDeclarant tobeapartoftheDevelopment havebeenconveyed by Declarant toOwners otherthanaperson orpersons constituting Declarant; or(iii)the surrender byDeclarant oftheauthority toappoint andremove directors andofficers byanexpress amendment tothisDeclaration executed andrecorded byDeclarant; provided, however, thattheOwners shallbeentitled toelectcertain members ofthe Board oftheAssociation inaccordance withtheterms oftheBylaws ofthe Association which shallnotberemovable bytheDeclarant acting alone.

(b)Upon theexpiration oftheperiod ofDeclarant's righttoappoint and remove directors andofficers oftheAssociation pursuant totheprovisions ofthis Section, suchrightshallautomatically passtotheOwners, including Declarant if Declarant thenowns oneormoreLots,andaspecial meeting ofthe Association shall becalled atsuchtime. Atsuchspecial meeting theOwners shallelectanewBoard ofDirectors which shallundertake theresponsibilities oftheBoard, andDeclarant shalldeliver thebooks, accounts, andrecords, ifany,which Declarant haskepton behalf ofthe .A~ssociation andany;;tgreementsoLcontracts executed byoronbehalf oftheAssociation during suchperiod which Declarant hasinitspossession. Each Owner, byacceptance ofadeedtoorotherconveyance ofaLotvestsinDeclarant

ARTICLE IV ASSESSMENTS 4.01 Covenant forAssessments andCreation ofLienandPersonal Obligation. Each Owner ofaResidence, jointly andseverally, forhimself, hisheirs, distributees, legalrepresentatives, successors andassigns, byacceptance ofadeedforaResidence, whether ornotthecovenants contained herein shallbeexpressed inanysuchdeed, hereby covenants andagrees asfollows: (a)totimely paytotheAssociation theannual assessments which mayor shallbelevied bytheAssociation pursuant tothisDeclaration against allResidences owned byhim; (b)totimely pay..totheAssociation anyspecial assessments forcapital improvements andother charges which mayor shallbelevied bytheAssociation pursuant tothisDeclaration against allResidences owned byhim; (c)thatthere ishereby created acontinuing charge andlienupon all Residences owned byhimagainst which allsuchassessments aremade tosecure payment ofsuchassessments andanyinterest thereon asprovided inSection 4.09 hereof andcostsofcollection including reasonable attorneys' fees; (d)thatsuchcontinuing charge andlienonsuchResidence binds such Residence inthehands ofthethenOwner, andtheOwner's heirs, devisees, legal representatives, successors andassigns. Suchcharge andlienissuperior toanyand

Aperson orentity acquiring alienor encumbrance onaResidence afterthisDeclaration isrecorded shallacknowledge, bytheactoffiling aninstrument creating suchlien,thatsuchlienorencumbrance isinferior tothecontinuing lienforthecharge andlienprovided forherein, whether ornotsuchacknowledgment isspecifically stated intheinstrument creating thelien orencumbrance, except asprovided bySubsections (i)and(ii)above; anyResidence fromliability foranyassessment thereafter assessed; (f)thatallannual, special andspecific assessments (together withinterest thereon asprovided inSection 4.09ofthisDeclaration andcosts ofcollection including reasonable attorneys' fees)levied against anyResidence owned byhim during theperiod thatheisanOwner shallbe[inaddition tobeing acontinuing charge andlienagainst suchResidence asprovided inSection 4.01(c) ofthis Declaration] apersonal obligation which willsurvive anysaleortransfer ofthe

4.02 Purpose ofAssessment. Theassessments levied bytheAssociation shallbeused exclusively forthepurpose ofproviding forthecommon goodandgeneral welfare oftheResidents oftheDevelopment, including, butnotlimited to,security, theacquisition, construction, improvement, maintenance, insuring, andequipping ofCommon Property, maintenance ofprivate -driveways orother improvements orlandscaping which aredesignated byDeclarant tobe maintenance obligations oftheAssociation, theenforcement oftheRestrictions contained inthis Declaration, theenforcement oftheDesign Standards oftheACC, thepayment ofoperating costs andexpenses oftheAssociation including, without limitation, anyadvalorem realandpersonal property taxes onanyrealandpersonal property owned bytheAssociation, andthepayment ofall principal andinterest when dueonalldebts owed bytheAssociation.

4.03 Accumulation ofFunds Permitted. TheAssociation shallnotbeobligated tospend inanycalendar yearallthesumscollected insuchyearbywayofannual assessments orotherwise, andmaycarry forward, assurplus, anybalances remaining, noRshalltheAssociation beobligated toapply suchsurplus tothereduction oftheamount oftheAnnual Assessments inanysucceeding

(a)Beginning ontheCommencement Dateandcontinuing thereafter until January 1ofthe yearimmediately following theCommencement Date, eachLotshall besubject toanAnnual Assessment ofTwoHundred andNoll00Dollars ($200.00) perResidence, provided, however, intheevent thattheCommencement Datefalls onadayotherthanJanuary 1,theAnnual Assessment forsuchyearshallbeprorated sothateachOwner paysanAnnual Assessment proportional tothenumber ofdays remaining inthecalendar year. Thewords "Assessment Year" asusedherein shall mean thecalendar year,withthefirstAssessment Yearcommencing onJanuary 1of theyearimmediately following theCommencement Date. ForsolongasDeclarant hastherighttoappoint andremove Directors andOfficers oftheAssociation, the consent ofDeclarant.

(b)Commencing withthefirstAssessment Yearandcontinuing thereafter, theannual assessment maybeincreased atanytimeandfromtimetotimeduring eachAssessment YearbyDeclarant, provided, however, suchincrease shallnotbe more thantwenty percent (20%) above theAnnual Assessment fortheprevious Assessment Yearwithout avoteoftheMembership.

Special Assessments exceeding saidamount shallrequire theapproval oftwo-thirds (2/3)oftheMembers whoarepresent inperson orby proxy atameeting ofMembers dulyheldinaccordance withtheprovisions ofthe Bylaws oftheAssociation andthisDeclaration.

TheBoard mayestablish reasonable payment procedures toallow orrequire payment oftheannual assessment ininstallments during theAssessment Year. TheBoard shallalsoestablish payment procedures forpayment ofanyspecial assessments forcapital improvements which maybelevied inaccordance withtheprovisions ofthisArticle IV.

(b)AllMembers oftheAssociation shallbegiven written notice bytheBoard notlessthanthirty (30)normorethansixty(60)daysinadvance ofanymeeting of

4.07 Uniform RateofAssessment. BothAnnual andSpecial Assessments mustbefixed atauniform rateforallResidences.

4.08 Contribution byDeclarant. ForsolongasDeclarant hastheauthority toappoint and remove Directors andOfficers oftheAssociation, Declarant shallnotbeliable forthispayment of anyassessments, provided, however, during saidperiod Declarant shalladvance funds tothe Association sufficient tosatisfy thedeficit, ifany,between theactual operating expenses ofthe Association (butspecifically notincluding anallocation forthereserve allowance), andthesumof Annual, Special andSpecific Assessments collected bytheAssociation inanyAssessment Year, andsuchadvances shallbeevidenced bypromissory notes fromtheAssociation toDeclarant.

4.09 Effect ofNon-payment ofAssessments. AnyAssessment which isnotpaidonor

Upon written demand byanOwner, theAssociation shall within areasonable period oftimeissueandfurnish tosuchOwner awritten certificate stating that allAssessments (including penalties, interest andcosts, ifany)havebeenpaidwithrespect toany Lotowned bysaidOwner asofthedateofsuchcertificate, orthatallAssessments, interest andcosts havenotbeenpaid,setting forththeamount thendueandpayable. TheAssociation maymake a reasonable charge fortheissuance ofsuchcertificate. Anysuchcertificate, when dulyissued as herein provided, shallbeconclusive andbinding withregard toanymatter therein stated asbetween

4.11 Approval byDeclarant. Notwithstanding anything tothecontrary contained herein, noSpecial Assessment shallbemade without theapproval ofDeclarant forsolongasDeclarant has therighttoappoint officers anddirectors oftheAssociation.

4.12 Specific Assessments. TheBoard shallhavethepower tospecifically assess any Owner pursuant tothisSection asinitsdiscretion itshalldeem appropriate. Failure oftheBoard toexercise itsauthority under thisSection shallnotbegrounds foranyaction against theAssociation ortheBoard andshallnotconstitute awaiver oftheBoard's rightto exercise itsauthority under this Section inthefuture withrespect toanyexpenses, including anexpense forwhich theBoard hasnot previously exercised itsauthority under thisSection. TheBoard mayspecifically assess Owners for thefollowing expenses, except forexpenses incurred formaintenance andrepair ofitems which are themaintenance responsibility oftheAssociation asprovided herein: (a)Expenses oftheAssociation which benefit lessthanalloftheResidences, which maybespecifically assessed equitably among alloftheResidences which are benefitted according tothebenefit received; (c)Reasonable finesasmaybeimposed inaccordance withtheterms ofthis Declaration andtheBylaws.

ARTICLE VI ARCHITECTURAL CONTROL (a)AnArchitectural Control Committee (the"ACC") shallbeestablished consisting ofnotlessthanthree (3)normore thanfive(5)individuals, provided, however, thattheACC shall always have anuneven number ofmembers.

Ifanyvacancy shalloccur inthemembership oftheACCbyreason ofdeath, incapacity, resignation, removal orotherwise, theremaining members oftheACC shallcontinue toactandsuchvacancy shall, subjecttotheprovisions of5.01(a),be filled bytheDeclarant (orBoard ifatthetimetheBoard hastherighttoappoint members oftheACC) attheearliest possible time. AnyACCmember mayresign atanytimebygiving written notice ofsuchresignation totheChairman oftheACC andsuchresignation shalltakeeffect onreceipt thereof bytheChairman. Any member oftheACC mayberemoved atanytimewithorwithout cause bythe Declarant (orBoard ifatthetimetheBoard hastherighttoappoint members ofthe ACC).

5.02 Purpose, Powers andDuties oftheACC. Thepurpose oftheACC istoassure that anyinstallation, construction oralteration ofanyStructure onanyLotshallbesubmitted totheACC forapproval (i)astowhether theproposed installation, construction oralteration isinconformity andharmony ofexternal design andgeneral quality withtheexisting standards oftheDevelopment

5.03 Officers, Subcommittees andCompensation. Themembers oftheACCshallappoint aChairman fromamong theirnumber andmayappoint fromamong theirnumber suchotherofficers andsubcommittees ofmembers oftheACC astheyshallfromtimetotimedetermine necessary.

Themembers oftheACC shallbereimbursed bytheAssociation fortraveling expenses andother reasonable out-of-pocket costsincurred intheperformance oftheirduties asmembers oftheACC.

(a)Meetings. TheACCshallholdregular meetings atleastonceevery three (3)months ormoreoftenasmaybeestablished bytheACC. Special meetings may becalled bytheChairman andshallbecalled bytheChairman upon thewritten request ofamajority ofthe members oftheACCtheninoffice. Regular andspecial meetings oftheACC shallbeheldatsuchtimeandatsuchplace astheACC shall specify. Notice ofeachregular orspecial meeting oftheACC shallbemailed to eachmember thereof athisresidence orathisusualplace ofbusiness atleastten(10) daysbefore thedaythemeeting istobeheld.Notice ofregular andspecial meetings

Except as otherwise provided herein, theactofamajority ofthemembers oftheACCpresent atanyregular orspecial meeting thereof atwhich aquorum ispresent shallconstitute theactoftheACC. Intheabsence ofaquorum, anymember oftheACCpresent at thetimeandplace ofthemeeting mayadjourn themeeting fromtimetotimeuntil aquorum shallbepresent. Atanyadjourned meeting atwhich aquorum ispresent, anybusiness maybetransacted which might havebeentransacted atthemeeting as originally called. TheACC shallmaintain botharecord ofvotes andminutes for eachofitsmeetings. TheACC shallmake suchrecords andminutes available at reasonable places andtimes forinspection byMembers oftheAssociation andbythe Association's Secretary. Anyaction required tobetaken atameeting oftheACC, oranyaction which maybetaken atameeting oftheACC, maybetaken without a meeting ifwritten consent, setting f011htheaction sotaken, shallbesigned byallthe

(i)TheACC shall adopt andpromulgate theDesign Standards described inSection 5.05hereof andshall, asrequired, make findings, determinations, rulings andorders withrespect totheconformity withsaid Design Standards ofplans andspecifications submitted forapproval tothe ACC pursuant totheprovisions ofthisDeclaration. TheACC shall, as required, issue permits, authorizations orapprovals, which mayinclude specific requirements orconditions, pursuant totheprovisions ofthis Declaration.

(ii)Anytwo(2)ormoremembers oftheACCmaybeauthorized by theACCtoexercise thefullauthority ofthe ACCwithrespect toallmatters overwhich theACC hasauthority asmaybespecified byresolution ofthe ACC, except withrespect totheadoption orpromulgation oftheDesign Standards. Theunanimous action ofthetwo(2)ormore members with respect tothematters specified shallbefinalandbinding upontheACC and uponanyapplicant foranapproval, permit orauthorization, subject,however, toreview andmodification bytheACConitsownmotion orappeal bythe applicant totheACCasprovided inthisparagraph (ii).Written notice ofthe decision ofsuchtwo(2)ormoremembers shall,within five(5)working days thereof, begiven toanyapplicant foranapproval, permit orauthorization.

(a)TheACC shallfromtimetotimeadopt, promulgate, amend, revoke and enforce guidelines (the"Design Standards") forthepurposes of: (i)governing theformandcontent ofplans andspecifications tobe submitted totheACC forapproval pursuant totheprovisions ofthis Declaration; (ii)governing theprocedure forsuch submission ofplans and specifications; (iii)establishing guidelines with respect totheapproval and disapproval ofdesign features, architectural styles, exterior colors and materials, details ofconstruction, location andsizeofStructures andallother matters thatrequire approval bytheACCpursuant tothisDeclaration; and (iv)assuring .theconformity andharmony ofexternal design and general quality oftheDevelopment.

(b)TheACC shallmake apublished copyofitscurrent Design Standards readily available toMembers andprospective Members oftheAssociation andtoall applicants seeking theACC's approval.

5.06 Submission ofPlans andSpecifications. NoStructure shallbecommenced, erected, placed, moved ontoorpermitted toremain onanyLot,norshallanyexisting Structure uponanyLot bealtered inanywaywhich materially changes theexterior appearance oftheStructure orLot, unless plans andspecifications therefor shallbeinsuchformandshallcontain suchinformation as

Upon approval bytheACCofanyplans and specifications submitted pursuant tothisDeclaration, two(2)copies ofsuchplansandspecifications, asapproved, shallbedeposited forpermanent record withtheACC andacopyofsuchplans and specifications bearing suchapproval, inwriting, shallbereturned totheapplicant submitting the same. Approval foruseinconnection withanyLotorStructure ofanyplansandspecifications shall notbedeemed awaiver oftheACC's right, initsdiscretion, todisapprove similar plans and specifications oranyofthefeatures orelements included therein ifsuchplans, specifications, features orelements aresubsequently submitted foruseinconnection withanyother Lotor Structure. Approval ofanysuchplans andspecifications relating toanyLotorStructure, however, shallbefinalastothatLotorstructure andsuchapproval maynotberevoked orrescinded

connection withanyother Lotor Structure. Approval ofanysuchplans andspecifications relating toanyLotorStructure, however, shallbefinalastothatLotorstructure andsuchapproval maynotberevoked orrescinded thereafter, provided thatthere hasbeen adherence to,andcompliance with, suchplans and specifications, asapproved, andanyconditions attached toanysuchapproval.

5.08 Disapproval ofPlans andSpecifications. TheACCshallhavetherighttodisapprove anyplans andspecifications submitted pursuant tothisDeclaration because ofanyofthefollowing: (a)thefailure toinclude information insuchplans andspecifications asmay havebeenreasonably requested; (b)thefailure ofsuchplansorspecifications tocomply withthisDeclaration ortheDesign Standards; or (c)anyother matter which, inthejudgment oftheACC, would belikely to cause theproposed installation, construction oralteration ofaStructure (i)tofailto beinconformity andharmony ofexternal design andgeneral quality withthe standards fortheDevelopment assetforth intheDesign Standards orthe Development- Wide Standard, or(ii)astolocation tobeincompatible with topography, finished ground elevation andsurrounding Structures. Inanycasein which theACC shalldisapprove anyplans andspecifications submitted hereunder, orshallapprove thesame onlyasmodified orupon specified conditions, such disapproval orqualified approval shallbeaccompanied byastatement ofthe grounds uponwhich suchaction wasbased. InanysuchcasetheACC shall, ifrequested, make reasonable efforts toassistandadvise theapplicant inorderthatanacceptable proposal maybeprepared andsubmitted forapproval.

5.09 Obligation toAct. TheACC shalltakeaction onanyplans andspecifications submitted asherein provided within thirty (30)daysafterreceipt thereof. Approval bytheACC, if

5.11 Violations. IfanyStructure shallbeerected, placed, maintained oraltered uponany Lot,otherwise thaninaccordance withtheplans andspecifications approved bytheACCpursuant totheprovisions ofthis Article, sucherection, placement, maintenance oralteration shallbedeemed tohavebeenundertaken inviolation ofthisArticle andwithout theapproval required herein. Ifin theopinion ofthe ACCsuchviolation shallhaveoccurred, theACCshallnotify theAssociation and theBoard shalltakeappropriate measures tocorrect theviolation, theBoard shallprovide written notice totheOwner bycertified mail,setting forthinreasonable detail thenature oftheviolation and

A copy ofsaidCertificate shallbefiledforpermanent record withtheplans and specifications onfilewiththeACC.

(b)AnyCertificate ofCompliance issued inaccordance withtheprovisions ofthisSection shallbeprima facieevidence ofthefactstherein stated; andastoany purchaser orencumbrancer ingoodfaithandforvalue, orastoanytitleinsurer, such certificate shallbeconclusive evidence thatallStructures ontheLotcomply withall therequirements ofthisArticle, provided, however, thattheCertificate shallinrio waybeconstrued tocertify theacceptability, sufficiency orapproval bytheACCof theactual construction ofStructures oroftheworkmanship, ortorepresent or warrant toanyone thequality, function oroperation oftheStructures orofany construction, workmanship, engineering, materials orequipment.

5.14 Nondiscrimination byACC. TheACCshallnotdiscriminate against anyapplicant requesting itsapproval ofplans andspecifications because ofsuchapplicant's race, color, sex, religion, ageornational origin. Further, theACC intheexercise ofitspowers granted pursuant to thisDeclaration shallnottakeanyaction theintent oreffect ofwhich istodiscriminate against persons ofaparticular race,color, sex,religion, ageornational origin.

5.15 Disclaimer astoACC Approval. Plans andspecifications arenotreviewed forall systems, mechanical, plumbing, electrical, engineering, orstructural design orquality ofmaterials, andbyapproving suchplans andspecifications neither theACC, themembers thereof, northe Association assumes liability orresponsibility therefor, norforanydefect inanyStructure constructed fromsuchplans andspecifications. Neither Declarant, theAssociation, theACC, the Board, northeofficers, directors, members, employees, andagents ofanyofthemshallbeliable in damages toanyone submitting plansandspecifications toanyofthemforapproval, ortoanyOwner ofproperty affected bythese Restrictions, byreason ofmistake injudgment, negligence, or nonfeasance arising outoforinconnection withtheapproval ordisapproval orfailure toapprove

(a)TheACC shallestablish amodifications committee (the"Modifications Committee") toexercise exclusive jurisdiction overthemodifications, additions, or alterations made on,orto,existing Structures asprovided inSection 5.06hereof, and shallhavesuchotherresponsibilities asmaybedelegated toitbytheACe.

(b)TheModifications Committee willsetstandards, review andactuponall proposed modifications orimprovements tothose Lotswhere Residences havebeen constructed andsoldandareowned bysomeone other thantheDeclarant, its successors orassigns orabuilder. ThisCommittee willbecomprised ofnolessthan three (3)members withatleasttwo(2)members required tobemembers ofthe Association. TheModifications Committee willbegoverned bytheBoard andshall generally adhere toalltheprovisions setforth inthisDeclaration fortheACC pertaining toapproval ofplans andspecifications.

(c)TheModifications Committee shallpromulgate detailed standards and

(c)TheModifications Committee shallpromulgate detailed standards and procedures governing itsareaofresponsibility andpractice. Inaddition thereto, the following shallapply: plans andspecifications showing thenature, kind, shape, color, size,materials andlocation ofsuchmodifications, additions, oralterations, shallbesubmitted totheModifications Committee forapproval astoquality of andastolocation inrelation tosurrounding Structures, topography, andfinish grade elevation. Nothing contained herein shallbeconstrued tolimittheright ofthe Owner toremodel theinterior ofaStructure ortopainttheinterior ofaStructure any color desired.

ARTICLE VI GENERAL COVENANTS AND RESTRICTIONS 6.01 Application. Thecovenants andrestrictions contained inArticle VIshallpertain and apply toallLotsandtoallStructures erected orplaced thereon.

6.02 Restriction ofUse.Allbuildings, Residences, Structures, andother improvements erected, altered, orplaced onaLotshallbeofnewconstruction, andnostructure ofatemporary character, trailer, mobile home, tent,shack, garage, barn,oroutbuilding shallbeusedonaLotatany timeasaResidence, either temporarily orpermanently. NopartoftheProperty shalleverbeused orcaused tobeusedorallowed orauthorized inanyway,directly orindirectly, foranybusiness, commercial, manufacturing, mercantile, storing, vending, orother non-residential purposes. No duplexes orother attached housing formorethanonedwelling unitshallbeerected onanyLot.

6.03 Resubdivision ofProperty. NoLotmaybesplit,divided orsubdivided forsale, resale, gift,transfer, orotherwise, without thepriorwritten approval oftheACC ofplans and specifications forsuchsplit,division orsubdivision. Notwithstanding theforegoing, nothing herein shallprevent Declarant ortheOwners ofanyLotsfromcombining twoormore LotsintooneLot forconstruction ofasingle Residence thereon; provided, however, thatsuchcombined Lotmaynot besubdivided thereafter; andprovided further, thattheOwner oftheResidence onsuchLotshall beresponsible forannual andspecial assessments based uponthenumber ofLotscombined intoone Lot.

6.04 Erosion Control. Noactivity which maycreate erosion orsiltation problems shall beundertaken onanyLotwithout thepriorwritten approval oftheACC ofplans andspecifications fortheprevention andcontrol ofsucherosion orsiltation. TheACCmay,asacondition ofapproval ofsuchplans andspecifications, require theuseofcertain means ofpreventing andcontrolling such erosion orsiltation. Suchmeans mayinclude (bywayofexample andnotoflimitation) physical devices forcontrolling therun-off anddrainage ofwater, special precautions ingrading and otherwise changing thenatural landscape andrequired landscaping asprovided forinSection 6.05.

Awritten planoflandscaping mugbesubmitted totheACCprior toinstallation ofanymaterials; thisplanshallinclude adrawing toshow location anddescription ofall"hardscape" items suchasfences, walls, rocks andsoforth. Aminimum landscaping allowance of$1,500.00 perLotforthefrontyard, excluding sodandirrigation system, shallbe established forallnewconstruction. Thisallowance maybeincreased ordecreased atthediscretion oftheACe. Owner shallberequired tosodthefrontyardandallsideyards which arevisible from astreet withapermanent, heattolerant grass(i.e.Bermuda, St.Augustine, orothergrassapproved bytheACC). Ground cover composed ofliving material suchasivyorasiatic jasmine maybe allowed ifapproved bytheACC.

6.06 Existing Trees. Notreehaving adiameter ofthree(3)inches ormore[measured from apoint two(2)feetabove ground level] shallberemoved fromanyLotunless suchremoval isin conformity withapproved landscaping plans andspecifications submitted pursuant totheprovisions ofSection 6.05hereof.

6.07 Temporary Buildings. Notemporary building, trailer, garage orbuilding under construction shallbeused, temporarily orpermanently, asaresidence onanyLotexcept as temporary sleeping orliving quarters required ordesirable forsecurity purposes inaccordance with plans andspecifications therefor approved bytheACC. Temporary structures andmodel homes may beusedasbuilding offices pursuant totheprovisions ofSection 6.02.

6.08 Outbuildings. Nometal storage outbuildings shallbeerected, placed ormaintained uponanyLotintheProperty. Notreehouse orchildren's playhouse shallbepermitted onanyLot intheDevelopment without priorwritten approval oftheACC. Outbuildings orother structures, temporary orpermanent, other thantheResidence orgarage shallbelimited toeight feet(8')in

(d)Thenumber oftemporary signsmustbekepttoaminimum andmaybe putupnosooner than24hours inadvance ofasale. Signs must beremoved promptly afterasalehasended.

(e)Nosignmaybeplaced ontheCommon Property ortheentrance areasto theDevelopment without written approval oftheACC.

6.11 Setbacks. Building areasetbacks shallbewithin therecommended building lines indicated ontherecorded subdivision platsoftheProperty andasspecified intheCityofBenbrook setbacks belessthanthose required bytheSubdivision Ordinance unless avariance isgranted by theappropriate governmental authority andapproved bytheACC. Inapproving plans and specifications foranyproposed Structure, theACCmayrequire morerestrictive setbacks thanthe minimum specified intheSubdivision Ordinance forthelocation ofsuch Structure.

Notwithstanding thepreceding sentence, themaximum frontsetbackshallbethirty feet.Allsuch setbacks shallbeestablished suchthattheydonotviolate theprovisions ofapplicable ordinances, laws, rules, regulations ortheprovisions ofthe subdivision plates) establishing theDevelopment.

Nofence shallbeconstructed inviolation ofanyapplicable ordinances, laws, rules, regulations, ortheprovisions ofthesubdivision plates) establishing the Development.

Fences andscreening maybeusedwiththeProperty todefine private spaces orto attract ortodivert attention toorfromparticular views. Certain objects which maybefenced or screened include: (1)freestanding utility apparatus, e.g.transformers, switching equipment, etc.; (2)exterior, ground levelmachinery, e.g.heating andairconditioning equipment; (3)outside storage andservice areasforequipment andsupplies; and(4)refuse containers andrelated storage areas.

Acceptable methods ofscreening areasfollows: (l)Earth banks andberms which shallhaveamaximum slope of2:1andbecovered withplantmaterial asapproved bytheACC; (2) landscaping planting screens, hedges, etc.;(3)masomy walls orother materials which would be compatible withtheapproved retaining walls; (4)decorative ironasapproved bytheACC; or(5) fencing asapproved bytheACC. Allsuchfence plans mustbesubmitted toandapproved bythe ACCpriortoconstruction.

General guidelines forfences shallinclude: (l)nofence shallbeconstructed more than6'above grade inheight; (2)landscape planting asanintegral component; (3)nowoven metal

6.14 Antennae" Etc.Noantennae, satellite dish,orelectronic device ofanytypeshallbe placed onanyResidence, Structure orLot soastobe"visible fromastreet. Noantennae shallbe installed orusedforthepurpose oftransmitting ofelectronic signals.

6.15 Clotheslines, Garbage Cans, Etc. Allclothesline, equipment, garbage cansand woodpiles shallbekeptscreened byadequate planting orfencing soastoconceal themfromview byneighboring residences andstreets, andmaybemaintained intherearyardonaLotonly.

6.16 Maintenance. Theowner ofeachlotshallmaintain thesameandadjacentstreet rightof-way, andtheimprovements, sod,trees, hedges, andplantings thereon, inaneatandattractive

6.16 Maintenance. Theowner ofeachlotshallmaintain thesameandadjacentstreet rightof-way, andtheimprovements, sod,trees, hedges, andplantings thereon, inaneatandattractive condition. Suchmaintenance shallinclude regular mowing, edging ofturfareas, weeding ofplant beds, fertilizing, weed control andwatering oftheturfandlandscape areasoneachLot.Diseased ordeadplants ortreesmustberemoved andreplaced within areasonable timeframe. Onfront lawns andwherever visible fromanystreet, thereshallbenodecorative appurtenances placed, such assculptures, birdbaths, birdhouses, fountains orother decorative embellishments unless such specific item(s) hasbeenapproved inwriting bytheACC. TheAssociation orDeclarant shallhave theright, afterten(l0)days'notice totheOwner ofanyLotsetting forththeaction intended tobe taken bytheAssociation orDeclarant, provided attheendofsuchtimesuchaction hasnotalready beentaken bysuchOwner, (i)tomoworedgethegrassthereon, (ii)toremove anydebris therefrom, (iii)totrimorprune anytree,hedge, orplanting that,intheopinion oftheAssociation orDeclarant, byreason ofitslocation orheight orthemanner inwhich ithasbeen permitted togrow, is detrimental totheenjoyment ofadjoining property orisunattractive inappearance, (iv)torepair or stain/paint anyfence thereon thatisoutofrepair ornotinharmony, withrespecttQ color,with fencing onadjacent property, and(v)todoanyandallthings necessary ordesirable intheopinion ofthe Association orDeclarant toplace suchproperty inaneatandattractive condition consistent withtheintention ofthisDeclaration. Theperson whoistheOwner ofsuchproperty atthetime such work isperformed bytheAssociation shall bepersonally obligated toreimburse the

attractive condition consistent withtheintention ofthisDeclaration. Theperson whoistheOwner ofsuchproperty atthetime such work isperformed bytheAssociation shall bepersonally obligated toreimburse the Association forthecostofsuchworkwithin ten(10)daysafteritisperformed bytheAssociation, andifsuchamount isnotpaidwithin saidperiod oftime,suchOwner shallbeobligated thereafter topayinterest thereon atthemaximum rateallowable bylaw,andtopayattorneys' feesandcourt costsincurred bytheAssociation incollecting saidobligation, andallofthesame shallbesecured byalienonsuchOwner's property, subject toliensthenexisting thereon. Such lienshallbe enforceable asanyotherassessment lienasprovided inthisDeclaration.

6.17 Commercial andRecreational Vehicles andTrailers. Nocommercial vehicle, commercial usetruck, bus,trailer, mobile home, recreational vehicle, camper, truckwithcamper top, boat,boattrailer, self-propelled ortowable equipment ormachinery ofanysortoranyitemdeemes:} offensive byDeclarant, ACC, orAssociation orlikeequipment shallbepermitted onanyLotona permanent basis. Norshallanysuchequipment beallowed onanystreet right-of-way without movement foraperiod oftwenty-four (24)hours ormoreduring aperiod ofseven (7)consecutive days. Nojunkvehicles orvehicles indisrepair orneglect shallbestored, repaired ordisplayed on anyLot,street orotherwise intheDevelopment. Notwithstanding theforegoing, anysuchvehicles orequipment maybestored onaLot,provided suchvehicle orequipment iskeptinanenclosed space andisconcealed fromviewbyneighboring residences andstreets. During theconstruction ofimprovements onaLot,necessary construction vehicles maybeparked thereon forandduring thetimeofconstruction oftheResidence.

6.18 Recreational Equipment. Recreational andplayground equipment shallbeplaced or installed onlyupontherearofaLotasapproved bytheACe. Basketball goals maybeplaced adjacent tothedriveway ifthebackboards areinstalled behind thefront building lineandare constructed ofaclearplexiglass asapproved bytheACe. Noabove ground pools shallbeallowed.

6.19 Non-Discrimination. NoOwner orperson authorized toactforanOwner shallrefuse tosellorrent,afterreceiving abonafideoffer, orrefuse tonegotiate forthesaleorrental of,or otherwise make unavailable ordenythepurchase orrental ofanyLottoanypersons because ofrace, color, religion, sex,ageornational origin. Anything inthisDeclaration tothecontrary notwithstanding, thiscovenant shall runwiththelandandshallremain ineffect without any limitation intime.

6.20 Animals. Noagricultural animals maybe keptpn anyLotandnoanimals, including birds, insects, reptiles, sheep, goats, horses, cattle, poultry, dangerous animals (thedetermination as towhatisadangerous animal shallbeinthesolediscretion oftheAssociation's Board), livestock

NoStructure forthecare, housing orconfinement ofanyanimal shallbeconstructed, placed oraltered onanyLotunless plans andspecifications forsaidStructure havebeenapproved bytheACC.

6.21 Trash andRubbish Removal. Notrash, rubbish, garbage, manure, ordebris ofany kindshallbekeptorallowed toremain onanyLot.TheOwner ofeachLotshallremove such prohibited matter fromhisLotatregular intervals athisexpense, andpriortosuchremoval allsuch prohibited matter shallbeplaced insanitary refuse containers withtightfitting lidsinanarea adequately screened byplanting orfencing soasnottobeseenfromneighboring Lotsorpublic or private streets. Ifrubbish, garbage, oranyotherformofsolidwaste istobedisposed ofbybeing collected onaregular andrecurring basis, containers maybeplaced intheopenonanydaythata pick-up istobemade, inorder toprovide access topersons making suchpick-up. Except during

Nonuisance shalleverbeerected, placed, orsuffered to remain upon anyLotintheProperty andnoOwner of,orresident on,anyLotintheProperty shall usethesame soastoendanger thehealth ordisturb thereasonable enjoyment ofanyother Owner orresident. Nonoxious oroffensive activity shallbecarried onuponanyLot,norshallanything bedonethereof which maybeormaybecome anannoyance ornuisance tothecommunity. The Association's Board ishereby authorized todetermine whatconstitutes aviolation ofthisrestriction.

6.23 Chimney Stacks. Chimney stacks onfrontofResidences maynotbecantilevered and hangintheair.Theymustsitonfoundations veneered withbrick, stoneorotherapproved masomy material asapplicable toeachindividual Residence.

Allswimming pools andhottubsmustbefenced inaccordance with theapplicable CityofFortWorth Ordinance. Noabove-ground pools willbeapproved.

6.28 Mailboxes. Allmailboxes shallbeconstructed ofbrick, ornamental ironormasonry material tomatch orbecomparable withthestyleandmaterials ofthe Residence orcommunity box.

6.29 OilandMining Operations. Nooilornatural gasdrilling, oilornatural gas development, oroilrefining, quarrying, ormining operations ofanykind,nooil,natural gasorwater wells, tan1es, tunnels, mineral excavations orshafts, andnoderricks orother structures forusein boring foroil,natural gas,minerals orwater shallbeerected, maintained orpermitted inthe Development.

Without limiting thegenerality oftheforegoing, Declarant mayerect andmaintain suchsigns, temporary buildings, model homes, andother structures asDeclarant mayreasonably deem necessary orproper withthepromotion, development, andmarketing oflandwithin theProperty during theDevelopment Period.

Builder shallbegiven atleastten(10)daysnotice tocomply withany revocation ofapproval bytheACC.

6.34 Construction Work. Except inanemergency, orwhen otherunusual circumstances existasdetermined bytheBoard, outside construction workornoisy interior construction workshall bepermitted onlyafter6:00A.M. andbefore 9:00P.M.

6.35 Electrical, Telephone andOther Utility Lines. Allelectrical, telephone andother utility linesandfacilities which (i)arelocated onaLot,(ii)arenotwithin orpartofanyStructure, and(iii)arenotowned byagovernmental entity, apublic utility company, ortheAssociation, shall beinstalled inunderground conduits orother underground facilities. Lighting fixtures maybe installed above ground ifapproved inwriting bytheACC.

6.36 Window Coolers. Nowindow orwalltypeairconditioners orwater coolers shallbe permitted tobeused, erected, placed ormaintained on,orin,anyResidence onanypartoftheLot.

ARTICLE VII EASEMENTS, ZONING AND OTHER RESTRICTIONS (a)Declarant hereby expressly reserves totheDeclarant, itssuccessors and assigns forever, therighttocreate perpetual easements in,on,overandunder any partoftheProperty owned byDeclarant foranypurpose which Declarant deems necessary, including, bywayofexample, andnotlimitation, thefollowing: (i)theerection, installation, construction andmaintenances ofwires, lines, conduits andpoles andthenecessary orproper attachments in connection withthetransmission ofelectricity, telephone, cable television cables andotherutilities andsimilar facilities; (ii)theerection, installation, construction andmaintenance ofstormwater drains, landdrains, public andprivate sewers, irrigation systems, pipelines forsupplying gas,water andheat,andforanyotherpublic orquasipublic facility, serviQe .o.rfun~tion; (iii)slope control purposes, including therighttograde andplant slopes andprevent thedoing ofanyactivity which might interfere withslopes

(c)EachLotanditsOwner ishereby declared tohaveaneasement, andthe sameishereby granted toDeclarant, overalladjoining LotsandCommon Property forthepurpose ofaccommodating anyencroachment duetoengineering errors, errors inoriginal construction, settlement orshifting ofanyStructure, oranyother cause. There shallbeeasements forthemaintenance ofsaidenQroachment, settling orshifting, provided, however, thatinnoevent shallaneasement forencroachment becreated infavor ofanOwner orOwners ifsaidencroachment occurred duetothe willful misconduct ofsaidOwner orOwners. Intheevent aStructure onanyLotis partially ortotally destroyed andthenrepaired orrebuilt, theOwners ofeachLot agree thatminor encroachments overadjoining Lotsshallbepermitted andthere shallbeeasements forthemaintenance ofsaidencroachments solongastheyshall exist. Each oftheeasements hereinabove referred toshall bedeemed tobe established upontherecordation ofthisDeclaration andshallbeappurtenant tothe

(e)NoOwner shallhaveanyrighttouseanyeasement retained bythe Declarant orconveyed byDeclarant totheAssociation inamanner which is inconsistent orwhich interferes withtheintended useforsucheasement.

7.02 Easement Area. Thewords "Easement Area" asusedherein shallmean those areas onanyLotoranyother portion oftheProperty withrespect towhich easements areshown ona recorded deed, easement agreement oronanyfiledorrecorded maporplatrelating thereto.

7.03 Entry. TheDeclarant anditsemployees, agents, successors andassigns, shallhave therightatallreasonable times toenteruponallpartsofeachEasement Areaforanyofthepurposes forwhich suchEasement Areaisreserved, without being deemed tohavecommitted atrespass or wrongful actsolely byreason ofsuchentryandthecarrying outofsuchpurposes, provided thesame aredoneinaccordance withtheprovisions ofthis Section. TheDeclarant anditsemployees, agents, successors, andassigns shallberesponsible forleaving eachLotingood condition andrepair

7.04 Zoning andPrivate Restrictions. None ofthecovenants, restrictions oreasements created orimposed bythisDeclaration shallbeconstrued aspermitting anyaction prohibited bythe recorded subdivision platoftheDevelopment, applicable zoning laws, orbythelaws, rules or regulations ofanygovernmental body. Intheevent ofanyconflict between suchlaws, rulesor regulations andthecovenants, restrictions andeasements created orimposed bythisDeclaration, themostrestrictive provision shallgovern andcontrol.

AR-IICLE VIII ENFORCEMENT 8.01 Right ofEnforcement. ThisDeclaration andtheRestrictions contained herein shall inuretothebenefit ofandshallbeenforceable by(i)theDeclarant solongasitisanOwner, (ii)the Association, (iii)eachOwner, hislegalrepresentatives, heirs, successors andassigns.

(a)Except where different notice provisions areprovided inSections 5.11and 6.16, intheevent ofaviolation orbreach ofanyRestriction contained inthis Declaration, theAssociation shallgivewritten notice bycertified mailtotheOwner setting forth inreasonable detail thenature ofsuchviolation orbreach andthe specific action oractions needed tobetaken toremedy suchviolation orbreach. If theOwner shallfailtotakereasonable stepstoremedy suchviolation orbreaQP within thirty (30)daysafterthemailing ofsaidwritten notice, thentheAssociatia,ll shallhavetherightofabatement ("Right ofAbatement").

Suchlien shallbesuperior toanyandallcharges, liensorencumbrances which mayinany manner arisetobeimposed upontheLotaftersuchentry whether arising fromor imposed byjudgment ordecree orbyanagreement, contract, mortgage, deedto secure debt, orother instrument, excepting only(i)suchliens fortaxes orother public charges asarebyapplicable lawmade superior, (ii)thelienscreated byArticle IVhereof, and(iii)alldeeds oftrustormortgage given tosecure aloantheproceeds ofwhich areused(1)topurchase aLotorLots(together withanyandallStructures which mayfromtimetotimebeplaced orlocated thereon), or(2)tofinance the construction, repair oralteration ofStructures.

During anyperiod inwhich Declarant retains theright toappoint andremove anydirectors andofficers oftheAssociation, Declarant mayamend this Declaration byaninstrument inwriting filedandrecorded intheDeed Records ofTarrant County, Texas, without theapproval ofanyMember ormortgagee; provided, however, that(i)intheevent thatsuchamendment materially alters orchanges anyOwner's rights totheuseandenjoyment of suchOwner's LotoroftheCommon Property assetforthinthisDeclaration orifsuchamendment adversely affects thetitletoanyLot,suchamendment shallbevalidonlyuponthewritten consent thereto byamajority innumber ofthethenexisting Members affected thereby, or(ii)intheevent thatsuchamendment would materially andadversely affect thelienstatus, security andinterest of

Amendments tothisDeclaration, other thanthos.e authorized bySection 9.02hereof, shallbeproposed andadopted inthefollowing manner: (a)Notice ofthesubject matter oftheproposed amendment shallbeincluded inthenotice ofthemeeting oftheAssociation atwhich suchproposed amendment istobeconsidered andshallbedelivered toeachmember oftheAssociation; (b)Atsuchmeeting, aresolution adopting aproposed amendment maybe proposed byeither theBoard orbyMembers oftheAssociation. Suchamendment mustbeapproved byMembers holding atleasttwo-thirds (2/3rds) ofthetotalvotes intheAssociation provided, however, (i)thatanyamendment which materially and adversely affects thelienstatus, security andinterest ofanymortgagee must be right toappoint andremove officers anddirectors oftheAssociation, such amendment mustbeapproved byDeclarant; and (c)Theagreement oftherequired percentage oftheOwners and,where required, theDeclarant andanymortgagee, toanyamendment ofthisDeclaration shallbeevidenced bytheirexecution ofsuchamendment, or,inthealternative, and provided thatDeclarant doesnothavetherighttoapprove suchamendment, the sworn statement ofthePresident andanyVicePresident ortheSecretary ofthe Association attached toorincorporated intheamendment executed bythe Association, which sworn statement shallstateunequivocally thattheagreement of

ARTICLE X ANNEXATION AND FUTURE DEVELOPMENT 10.01 Annexation. ForsolongasDeclarant hasauthority toappoint andremove Directors andOfficers oftheAssociation, additional realproperty maybeannexed totheProperty bythe D~clarant without theconsent oftheClass AMembers. Suchannexation maybeaccomplished by (i)filing intheDeed Records ofTarrant County, Texas, anapproved subdivision platdescribing the realproperty tobeannexed totheProperty andbyincluding onsuchsubdivision platastatement thatexpressly setsforththeDeclarant's intention tomake suchannexed realproperty subject tothe provisions ofthisDeclaration; or(ii)filing anamendment totheDeclaration which hasbeen consented tobytheowners oftherealproperty tobeannexed ifsuchrealproperty isowned by someone other thanDeclarant; or(iii)amending theexisting subdivision plattoinclude thereal property tobeannexed. EachOwner, byacceptance ofadeedtohisorherLot,shallbedeemed to haveconsented toandapproved ofallsuchamendments totheDeclaration, amendments toany existing subdivision platsandnewsubdivision platsplaced ofrecord which aretobesubject tothe provisions ofthisDeclaration. Attheexpiration ofDeclarant's righttoappoint andremove Directors andOfficers oftheAssociation, norealproperty maybeannexed totheProperty unless such annexat'ion isapproved byatwo-thirds (2/3rds) voteoftheMembers oftheAssociation whoare

10.02 Future Development. Notwithstanding anyotherprovision contained herein tothe contrary, andsubject toapplicable zoning regulations, Declarant shallhavetheright, forsolongas Declarant hastheauthority toappoint andremove Directors andOfficers oftheAssociation, to annex realproperty according totheprocedure setforthinSection 10.01, which realproperty may bedeveloped asoffice, retail, commercial property, apartment complexes, condominimns, attached townhomes, orsingle family residences. Atthetimeofsuchannexation, Declarant shalldetermine, onanequitable basis, theproportional shareofthe Assessments payable byandthenumber ofvotes allocated tosuchproperty, which determination willbebased upon thedegree towhich the Occupants ofsaidproperty havetherighttouseandarebenefited bytheCommon Areas. Such determination shallbemade byamendment tothisDeclaration, which shallnotrequire theapproval property annexed pursuant tothisSection 10.02beentitled tomorethanone(1)voteper4apartment units, withrespect toanapartment complex.

ARTICLE XI MISCELLANEOUS 11.01 NoReverter. Norestriction herein isintended tobe,orshallbeconstrued as,a condition subsequent orascreating apossibility ofreverter.

11.06 NoLiability, Declarant has,using bestefforts andallduediligence, prepared arid recorded thisDeclaration sothateachandevery Owner shallhavetherightandthepower toenforce theterms andprovisions ofthisDeclaration against every otherOwner. However, intheevent that thisDeclaration is,foranyreason whatsoever, unenforceable byanOwner (oranyotherperson) in acourt oflaworotherwise, Declarant shallhavenoliability ofanykindasaresult ofsuch

(b)Immediately afterthedamage ordestruction byfireorothercasualty to alloranyportion ofanyimprovement covered byinsurance written inthename of theAssociation, theBoard oritsdulyauthorized agent shallproceed withthefiling andadjustment ofallclaims arising under suchinsurance andobtain reliable and detailed estimates ofthecosts ofrepair orreconstruction ofthedamaged or destroyed property. Repair orreconstruction, asusedinthisparagraph, means repairing orrestoring theproperty tosubstantially thesamecondition andlocation thatexisted priortothefireorothercasualty.

Anydamage ordestruction shallberepaired orreconstructed unless, within sixty(60)daysafterthecasualty, atleastseventy-five percent (75%) ofthetotal Association entitled tovotethereon, and,solongastheDeclarant hastherightto

NoMortgagee shallhaverighttoparticipate inthedetermination of whether damage ordestruction shallberepaired orreconstructed.

Ifthedamage ordestruction forwhich theinsurance proceeds arepaidisto berepaired orreconstructed andsuchproceeds arenotsufficient todefray thecost thereof, theBoard shall, without thenecessity ofavoteoftheAssociation's Members, levyaSpecial Assessment. Additional Assessments maybemade inlike manner atanytime during orfollowing thecompletion ofanyrepair or reconstruction. Ifthefunds available frominsurance exceed thecostsofrepair Qf reconstruction oriftheimprovements arenotrepaired orreconstructed, suchexcess shallbedeposited forthebenefit oftheAssociation.

Intheevent thatitshould bedetermined bytheAssociation inthemanner described above thatthedamage ordestruction shall notberepaired or reconstructed andnoalternative improvements areauthorized, theninthateventthe property shallberestored toitsnatural stateandmaintained asanundeveloped portion oftheDevelopment inaneatandattractive condition.

(c)Thedeductible foranycasualty insurance policy carried bythe

(c)Thedeductible foranycasualty insurance policy carried bythe Association shall, intheevent ofdamage ordestruction, beallocated among the persons whoareresponsible hereunder formaintenance ofthedamaged or destroyed property.

(d)Inaddition tothecoverage described hereinabove, theAssociation shall obtain suchadditional amounts andtypes ofinsurance asmayberequired from time totime, byeither theVeterans Administration orFederal Housing Administration, theirsuccessors andassigns, forsimilar typeresidential subdivision communities.

(a)TheAssociation shallindemnify everyofficer anddirector against anyand allexpenses, including counsel feesreasonably incurred byorimposed uponany officer ordirector inconnection withanyaction, suit,orother proceeding (including settlement ofanysuitorproceeding, ifapproved bythethenBoard of Directors) towhich heorshemaybeapartybyreason ofbeing, orhaving been, an officer ordirector. Theofficers anddirectors shallnotbeliable foranymistake of judgment, negligent orotherwise, except fortheir own individual willful misfeasance, malfeasance, misconduct orbadfaith. Theofficers anddirectors shall havenopersonal liability withrespect toanycontract orother commitment made bythem, ingoodfaith, onbehalf oftheAssociation (except totheextent thatsuch officers ordirectors mayalsobemembers oftheAssociation), andtheAssociation shallindemnify andforever holdeachsuchofficer anddirector freeandharmless against anyandallliability toothers onaccount ofanysuch contract or commitment. Anyright toindemnification provided forherein shall notbe exclusive ofanyotherrights towhich anyofficer ordirector, orformer officer or

llliability toothers onaccount ofanysuch contract or commitment. Anyright toindemnification provided forherein shall notbe exclusive ofanyotherrights towhich anyofficer ordirector, orformer officer or director, maybeentitled. TheAssociation shall, asacommon expense, maintain adequate general liability andofficers' anddirectors' liability insurance tofundthis obligation.

(b)Each Owner shallbeliable totheAssociation foranydamage tothe Common Property ofanytypeortoanyequipment thereon which maybesustained byreason ofthenegligence ofsaidOwner, histenants, employees, agents, customers, guests orinvitees, totheextent thatanysuchdamage shall notbe covered byinsurance. EachOwner doesfurther, bytheacceptance ofadeed, agree toindemnify eachandevery other Owner, andtoholdharmless eachandevet.y otherOwner, fromanyclaim ofanyperson forpersonal injuries orproperty damage occurring within oruponhisLot.

ARTICLE XII MORTGAGEE PROVISIONS Thefollowing provisions areforthebenefit ofholders offirstmortgages onResidences in theDevelopment. Theprovisions ofthisArticle apply toboththisDeclaration andtotheBylaws, notwithstanding anyotherprovisions contained therein.

12.01 Notices ofAction. Aninstitutional holder; insurer, orguarantor ofafirstmortgage, whoprovides written request totheAssociation (such request tostatethename andaddress ofsuch holder, insurer, guarantor andtheResidence number, therefore becoming an"eligible holder"), will beentitled totimely written notice of: (a)anycondemnation lossoranycasualty losswhich affects amaterial portion oftheDevelopment orwhich affects anyResidence onwhich thereisafirst mortgage held,insured, orguaranteed bysucheligible holder; (b)anydelinquency inthepayment ofAssessments orcharges owed byan

portion oftheDevelopment orwhich affects anyResidence onwhich thereisafirst mortgage held,insured, orguaranteed bysucheligible holder; (b)anydelinquency inthepayment ofAssessments orcharges owed byan Owner ofaResidence subject tothemortgage ofsucheligible holder where such delinquency hascontinued foraperiod ofsixty(60)days; provided, however, notwithstanding thisprovision, anyholder ofafirstmortgage, upon request, is entitled towritten notice fromtheAssociation ofanydefault intheperformance by anOwner ofaResidence ofanyobligation under theDeclaration orBylaws ofthe Association which isnotcured within sixty(60)days; or (c)anyproposed action which would require theconsent ofaspecified percentage ofeligible mortgagees.

12.02 Special FHLMC Provision. Solongasrequired bytheFederal Home Loan Mortgage Corporation, thefollowing provisions apply inaddition toandnotinlieuoftheforegoing.

Unless atleasttwo-thirds (2/3rds) ofthefirstmortgagees oratleasttwo-thirds (2/3rds) ofthetotal Members oftheAssociation entitled tovotethereon consent, theAssociation shallnot: (a)byactoromission seektoabandon, partition, subdivide, encumber, sell, ortransfer theCommon Property which theAssociation owns, directly orindirectly (thegranting ofeasements forpublic utilities orother similar purposes consistent withtheintended useoftheCommon Property shallnotbedeemed atransfer within themeaning ofthissubsection); (b)change themethod ofdetermining theobligations, assessments, dues, or other charges which maybelevied against anOwner ofaResidence; (c)byactoromission change, waive, orabandon anyscheme ofregulations orenforcement thereof pertaining tothearchitectural design ortheexterior appearance andmaintenance ofResidences andoftheCommon Property (the

Firstmortgagees may,jointlyor singly, paytaxesorothercharges which are indefault andwhich mayor havebecome acharge against theCommon Property andmaypayoverdue premiums oncasualty insurance policies orsecure new casualty insurance coverage upon thelapse ofanAssociation policy, andfirst mortgagees making suchpayments shallbeentitled toimmediate reimbursement fromtheAssociation.

12.03 NoPriority. Should theVeterans Administration, theFederal National Mortgage Association, ortheFederal Home LoanMortgage Corporation subsequently delete any oftheirrespective requirements which necessitate theprovisions ofthisArticle ormake anysuch requirements lessstringent, theBoard, without approval oftheOwners, maycause anamendment tothisArticle toberecorded toreflect suchchanges.

12.06 Veterans Administration Approval. Aslong astheDeclarant hasanoption unilaterally tosubject property tothisDeclaration asprovided inArticle X,thefollowing actions shall require theprior approval oftheVeterans Administration solong astheVeterans Administration isguaranteeing anymortgage intheDevelopment: annexation ofadditional property totheDevelopment, except forannexation byDeclarant inaccordance withArticle X,pursuant to aplanofannexation previously approved bytheVeterans Administration; dedication ofCommon Property toanypublic entity; andmaterial amendment oftheDeclaration, Bylaws orArticles of Incorporation.

12.07 Applicability ofArticle XII.Nothing contained inthisArticle shallbeconstrued toreduce thepercentage votethatmustotherwise beobtained under theDeclaration, Bylaws, or Texas lawforanyoftheactssetoutinthisArticle.

12.08 Failure ofMortgagee toRespond. Anymortgagee whoreceives awritten request fromtheBoard torespond toorconsent toanyaction shallbedeemed tohaveapproved suchactiQl1 iftheAssociation doesnotreceive awritten response fromtheMortgagee within thirty (30)daysofthedateoftheAssociation's request.

ARIICLEXIII CONDEMNATION 13.01 Condemnation orOther Governmental Taking. IfalloranypartoftheCommon Property istaken byanyauthority having thepower ofcondemnation oreminent domain, oris conveyed inlieuthereof bytheAssociation withtheapproval ofatleastseventy-five percent (75%) oftheClass AMembers andofDeclarant, aslongasDeclarant owns atleastone(1)Lotorhasthe righttoannex property totheDevelopment, theaward orproceeds made~orcollected forsuchtaking

Theassociation shalldisburse orholdsuch award orproceeds asfollows: (a)Ifthetaking orsaleinlieuthereof involves aportion oftheCommon Property onwhich improvements havebeenconstrued, then, unless within sixty (60)daysaftersuchtaking, Declarant, aslongasDeclarant owns atleastone(1) Lotorhastherighttoannex property totheDevelopment, together withatleast seventy-five percent (75%) oftheClass AMembers, decide otherwise, the Association shallrestore orreplace theimprovements totheextent practicable, on other existing Common Property, inaccordance withtheplans approved bythe Association, theACC, andbyDeclarant. Iftheawards orproceeds arenot sufficient todefray thecostofrepair andreplacement oftheimprovements and suchdeficiency cannot beappropriated fromareserve fundestablished forsuch purpose, theAssociation maylevyoneormoreSpecial Assessments, inanamount sufficient toprovide funds topaysuchexcess costofrepair orreconstruction. If suchimprovements arenotrepaired orrestored, theAssociation shallretain the award orproceeds forthebenefit oftheAssociation; (b)Ifthetaking orsaleinlieuthereof doesnotinvolve anyimprovements to theCommon Property, orifthereareexcess funds remaining afteranyrestoration orreplacement oftheimprovements, thentheAssociation shallretain theaward, proceeds, orexcess funds forthebenefit oftheAssociation; and (c)Ifthetaking orsaleinlieuthereof includes alloranypartofthe Common Property, thenacourt ofcompetent jurisdiction shallapportion suchaward or

ceeds, orexcess funds forthebenefit oftheAssociation; and (c)Ifthetaking orsaleinlieuthereof includes alloranypartofthe Common Property, thenacourt ofcompetent jurisdiction shallapportion suchaward or proceeds between theAssociation andtheOwners oftheotherproperty taken soas togivejustcompensation toeach. Inlieuofseeking judicial apportionment, (i)the Association, (ii)theOwners andtheirlenders ofallLotsandResidences wholly or partially taken, and(iii)Declarant, aslongasDeclarant owns atleastone(l)Lot orhastherighttoannex property totheDevelopment, maymutually agree onthe method ofapportionment.

(a)IfalloranypartofaLotistaken byanauthority having thepower of condemnation oreminent domain, orisconveyed inlieuthereof, andtheOwner elects nottorestore theremainder oftheLot,thentheOwner shallpromptly remove anyremaining improvements damaged ordestroyed bysuchtaking or conveyance andshallleavetheLotinaclean, orderly, safe,andsightly condition.

Inaddition, ifthesizeorconfiguration oftheLotremaining aftersuchtaking or conveyance isinsufficient topermit therestoration oftheremaining improvements thereon ortherein totheir condition prior tosuchtaking orconveyance in compliance withallapplicable standards, restrictions, andprovisions ofthis Declaration andallapplicable zoning, subdivision, building, andother governmental regulations, then theOwner, after removing allremaining improvements andplacing theLotinaclean, orderly, safe,andsightly condition, maydeedtheremaining portion oftheLotto theAssQciationas apart ofthe Common Property. Upon theconveyance byanOwner ofhisremaining portion of aLot,theOwner shallnotbeaMember.
