Los Portones is a master-planned community in Scottsdale, AZ, governed by a master association (Los Portones Community Association, Inc.) and potentially one or more subassociations. This Master Declaration sets the overarching rules for all owners and occupants of lots and parcels within the development. It establishes the association's powers, common area maintenance, architectural control, and use restrictions.
- Association structure & voting: The association has two classes of membership: Class A (all owners except Declarants) with one vote per lot or per 5,445 sq ft of land area per parcel, and Class B (Declarants) with three votes per lot or per 5,445 sq ft. Class B memberships convert to Class A upon sale of lots or after 10 years from first conveyance.
- Architectural review: No building, fence, wall, antenna, awning, sign, or other structure may be constructed, altered, or landscaped without prior written approval from the Architectural Committee. Plans must show nature, kind, color, shape, height, materials, and location. If the committee fails to act within 30 days after a meeting, approval is deemed granted.
- Use & occupancy restrictions: Lots may only be used as permitted by Scottsdale zoning. The board can prohibit motor vehicles that create loud noises or are unsightly. Spotlights and high-intensity lighting require board approval and must not shine onto common areas or other lots. No obstructions in drainage corridors.
- Common area assessments: Each owner pays a proportionate share of common expenses (maintenance, insurance, reserves, etc.) based on 'Assessment Units.' One Assessment Unit equals 0.000933114 of total land area (5,445 sq ft). The number of units per parcel is land area divided by 5,445 sq ft, rounded down for fractional remainders.
- Maintenance & access: The association maintains all common areas (private drives, landscaping, drainage and scenic corridors). Owners are liable for damage they cause; repair costs become a lien on their lot. The association has right of access to lots for maintenance of common elements.
- Insurance: The association must carry casualty insurance (100% replacement cost) on common areas and improvements, comprehensive liability insurance ($1M minimum per occurrence), workers' comp, and fidelity bonds. Insurance proceeds are paid to an escrow agent and used for restoration first, then distributed to owners or mortgagees.
- Amendment & duration: The declaration runs for 20 years from recording and automatically renews for 10-year periods. Amendments require written consent of owners holding at least 75% of votes. Certain actions may require higher percentages as specified.
