What Stowecroft Owners Association Inc's governing documents say
This is an amendment to the bylaws of Stowecroft Owners Association, Inc., a homeowners association in Raleigh, NC. It updates the association's legal name and modernizes rules for electronic communications, virtual meetings, and online voting. This document is a partial update, not the full set of community rules.
- Association name change: The association's legal name is now Stowecroft Owners Association, Inc., replacing all references to Stowecroft Homeowners Association, Inc.
- Electronic communications & virtual meetings: The bylaws now allow notices, proxies, ballots, and voting to be done electronically, and permit virtual board and member meetings, including virtual fine hearings, as long as participants can hear and see each other.
- Meeting notices: Member meeting notices must be given 10 to 60 days in advance, and board meeting notices 10 to 60 days before special meetings. Adjourned meetings of 30+ days require new notice.
- Proxies & voting: Members may vote by proxy, which is valid for up to 11 months (or longer if specified, but no more than 10 years). A majority of votes cast at a meeting with a quorum decides most matters.
- Board action without a meeting: The board can take action without a meeting if all directors consent in writing (including electronically) and the consent is filed with the minutes.
- What this document doesn't cover: This amendment does not cover property use restrictions, assessments, pet rules, leasing rules, or other day-to-day community rules—those are in the original Declaration and Bylaws.
