This is a set of Bylaws for the Barberry Woods Property Owners' Association, a homeowners' association (HOA) in Johns Island, SC. These Bylaws are a partial document — they govern how the association is run (meetings, board elections, officer duties, recordkeeping, and dispute resolution) but do not contain the actual community rules for residents (such as architectural standards, pet limits, parking, or rental restrictions). Owners and residents should refer to the separate Declaration of Covenants, Conditions, and Restrictions for those rules.
- Association governance & meetings: Annual member meetings are held in December; special meetings can be called by the board or by members with 5% of total voting power. Quorum is one-third of member votes. Board meetings are at least annually, with a quorum of a majority of directors (minimum 2). Meetings may be held by phone or in executive session for certain matters.
- Board of directors: The board manages the association. Initially the declarant appoints 3 directors. After the declarant control period ends, members elect 5 directors — the top 2 vote-getters serve 2 years, the next 3 serve 1 year, and then all terms become 2 years. Directors serve without pay but may be reimbursed for expenses.
- Member voting & proxies: Members can vote in person or by proxy. Voting by written ballot without a meeting is allowed. To be eligible, a member must be current on assessments (in 'good standing'). Owner voting rights attach to each lot, and a proxy expires after 11 months.
- Records & member rights: Members can inspect the membership register, books of account, and meeting minutes at reasonable times for a purpose related to their ownership. Board minutes must be available within 30 days. Directors have absolute inspection rights.
- Dispute resolution: Before suing, a claimant must first try to negotiate with the other party. If that fails, the dispute goes to binding arbitration (under American Arbitration Association rules) unless it's an exempt claim. The arbitrator cannot award punitive damages. The 'prevailing party' may recover costs and attorney fees, determined by comparing settlement offers to the award.
- What this document doesn't cover: These Bylaws are only the internal operating rules for the association. They do not contain the covenants, restrictions, or regulations that apply to homeowners and residents (such as architectural review, pet limits, parking, rental terms, or maintenance obligations).
