These bylaws govern the internal operations of the residential association, including board structure, meetings, and management, and they apply to all residence owners and occupants. This document is a partial rulebook—it focuses on governance, not on day-to-day resident rules like pets or leasing.
- Who the rules bind: All residence owners and any tenants or occupants are subject to these bylaws and the other governing documents; renting or occupying a unit means accepting and complying with them.
- Board structure & elections: The association is governed by a board of directors (initially seven members, each serving two-year terms). Directors must be owners or authorized representatives of entity owners, and they can be removed with or without cause by the members.
- Meetings & voting: Annual member meetings are held in January, with notice 10–40 days in advance. A quorum is 40% of votes entitled to be cast, and most actions require an affirmative vote of 51% of votes present or by proxy. Special meetings can be called by the president, a majority of directors, or a petition signed by owners holding at least 33% of votes.
- Assessments & budget: The board must prepare and distribute an annual budget at least 30 days before the fiscal year, and it maintains a reserve fund from monthly assessments. The board can collect delinquent assessments and enforce payment through legal action.
- Management & contracts: The board may hire a professional manager or management company, and if it does, it must record a management certificate in the county. The board can also enter into contracts for services and borrow money as needed.
- Open meetings & records: Board meetings are open to all members, though the board can close them for personnel, litigation, or contract negotiations. The association must keep detailed records and make them available for inspection during normal business hours.
- Indemnification of directors & officers: Directors and officers are indemnified by the association for actions taken in good faith and in the association's best interests, with limited exceptions for personal benefit or liability to the association. The association can also purchase insurance for these individuals.
