This document is the Bylaws of the Ridge Logistics Center South Dallas Property Owners Association, a homeowners association for a commercial/industrial development in Dallas County, Texas. It governs the internal operations of the association—not a residential community—and applies to owners of lots within the logistics center. The bylaws outline membership, voting, board structure, and meeting procedures but do not contain typical residential rules about leasing, pets, or architectural controls.
- Who is a member: Every record owner of a lot (as defined in the Declaration) is a member. Membership is appurtenant to the lot and automatically transfers with sale. There is only one membership per lot.
- Voting rights: Each lot gets one vote per full gross acre (exclusive of right-of-way). Lots under one acre still get one vote. Owners may delegate voting rights to tenants in writing. Voting rights can be suspended if assessments are unpaid.
- Board of Directors: The board has three directors, each must be a member and at least 18 years old. Initial board is appointed by Declarant; later boards are elected by members. Directors serve two-year terms (initial staggered terms: two for two years, one for one year).
- Meetings & quorum: Annual membership meeting is the first Monday of February. Special meetings can be called by the President, Board, or members holding 75% of total votes. Quorum is 25% of total votes present in person or by proxy. Board meetings require written notice 10–60 days in advance; quorum is a majority of directors then in office.
- Amendments: Bylaws can be amended by a majority vote of the Board, but any amendment affecting member rights must also be approved by a majority vote of members present at a meeting called for that purpose.
