What Vista Del Cielo Owners’ Association's governing documents say
This is the bylaws of Vista del Cielo Owners Association, a Texas nonprofit corporation governing a residential subdivision in Dallas, Texas. It establishes the rules for the association's board, officers, meetings, enforcement, and owner obligations. This document is the internal governance rulebook for the HOA, not the full set of covenants (which are in the Declaration).
- Board of Directors: The board has 3 directors serving staggered 2-year terms. Directors must be owners or authorized representatives, cannot be delinquent on assessments or have uncured violations, and cannot be adverse to the association in litigation. Members can remove directors with a two-thirds vote.
- Meetings & voting: Annual meetings are held, and special meetings can be called by the board or by a petition of at least 20% of lot owners. A quorum is 20% of lots present in person or by proxy. Owners who are more than 45 days delinquent on assessments may be barred from voting.
- Rules & enforcement: The board can adopt and amend rules for administration, maintenance, and resident welfare. Violations can lead to fines, self-help abatement, and legal action, but the association must give written notice and an opportunity for a hearing before imposing fines or filing suit (except for emergencies or certain self-evident violations).
- Owner obligations: Owners must pay assessments, notify the association of sales, provide contact and mortgagee information, and comply with all governing documents. Failure to maintain a current mailing address means notices go to the lot address.
- Association records & certificates: The association must keep books and records available for inspection per Texas law, and provide resale certificates and management certificates as required. It may charge reasonable fees for these.
- Amendments: Bylaws can be amended by a majority of votes present at a meeting with a quorum, but certain changes require approval of a majority of all lots and mortgagee approval. Amendments must be recorded.
- What this document doesn't cover: This document is only the bylaws; it does not contain the full covenants, conditions, and restrictions (CC&Rs), which are in the Declaration. It also does not specify assessment amounts, pet rules, leasing restrictions, or architectural guidelines—those are likely in the Declaration or separate rules.
