What Eagle Cove Estates Property Owners Association's governing documents say
This document is the Certificate of Formation (articles of incorporation) for Eagle Cove Property Owners Association, a Texas nonprofit corporation. It establishes the legal entity that will govern the Eagle Cove community in Denton, TX, but it is not the full set of community rules (CC&Rs). The actual homeowner obligations—such as assessments, architectural controls, and use restrictions—are in the separate Declaration of Covenants and Restrictions referenced in this document.
- Corporate purpose: The association is formed to provide an organization for owners of property in Eagle Cove as described in the Declaration of Covenants and Restrictions. It has broad powers to levy assessments, enforce rules, borrow money, and manage common property.
- Membership & voting: The association is a nonstock membership corporation; membership qualifications and voting rights are set by the Declaration and Bylaws. Cumulative voting is prohibited. A quorum is 51% of the voting interests. Absentee, proxy, and electronic ballots are allowed.
- Board of Directors: The board consists of three directors (initially Scott Sandlin, Terry Sandlin, and Matt Speight). Directors can act without a meeting by unanimous written consent.
- Director & officer liability: Directors and officers are not personally liable to the association or members except for breach of loyalty, bad faith, intentional misconduct, or improper benefit. The association may indemnify them as provided in the Bylaws.
- Dissolution: Upon dissolution, after paying debts, remaining assets are distributed to the members in proportion to their interests.
- What this document doesn't cover: This certificate does not contain the actual community rules (e.g., pet limits, lease restrictions, architectural standards, assessment amounts). Those are in the separate Declaration of Covenants and Restrictions for Eagle Cove, which is not included here.
