This document is a Third Amendment to the Bylaws of the Candle Meadow Public Improvement District / Homeowners Association (HOA) in DeSoto, TX. It updates rules for the Board of Directors only — it does not change homeowner rules like pets, rentals, or maintenance. Residents should refer to the full governing documents for those.
- Board qualifications & residency: Directors must be members of the Association and live in Candle Meadow during their entire term.
- Board size & terms: The Board has five directors serving two-year terms. A director who completes a two-year term cannot run again until the Annual Meeting at which that term expires.
- Alternate directors: If more candidates than open seats, the two with the most votes become Alternate Directors for a one-year term. Vacancies in the first year of a director's term are filled by the top Alternate Director; vacancies in the second year are filled by a Board vote.
- Executive sessions: The Board may hold closed executive sessions for sensitive matters (personnel, litigation, enforcement, etc.). Alternate Directors may not attend. Any decisions or expenditures from executive sessions must be summarized in the minutes.
- Open board meetings: Board meetings are open to all homeowners, except when the Board adjourns to an executive session.
- Officer removal: An officer can be removed if unable to serve or attend meetings without a reasonable excuse, or by a majority vote of the remaining Board members when in the Association's best interest.
- Community property return: All Association property (e.g., computers, cameras, furniture) used by the Board or committees must be returned after use or term.
