This is the Bylaws of the Chapel Hill II Phase II Homeowners' Association (HOA), a single-family home community in Desoto, TX. The document governs the internal operations of the HOA—member meetings, board elections, officers, and record-keeping—but does not contain the community's specific use restrictions (pets, rentals, architectural rules, etc.) which are found in the separate Declaration of Covenants, Conditions and Restrictions (CC&Rs).
- Membership meetings: Annual meetings are held; special meetings may be called by the President or upon petition of 25% of the total votes. Notice must be given 10–50 days before the meeting. A quorum is 10% of total votes, reduced to 5% if a meeting is adjourned and reconvened within 30 days.
- Voting & proxies: Each lot owner gets one vote per lot owned. Proxies must be written, signed, dated, and filed with the Secretary before the meeting; they expire after 11 months unless stated otherwise. Action without a meeting requires written consent signed by at least the number of votes needed to authorize the action at a meeting.
- Board of Directors: The Board has three directors, each elected for a one-year term (no term limits stated). Directors may be removed with or without cause by a majority of votes entitled to elect directors. A director may also be removed for three consecutive unexcused absences or being over 30 days delinquent in assessments. A majority of the Board constitutes a quorum.
- Officers: Officers include President, Vice President, Secretary, and Treasurer, elected by the Board. The President is the chief executive officer; the Treasurer prepares the initial budget. Officers can be removed by the Board. Compensation is limited as for directors.
- Records inspection: Members have the right to inspect the Declaration, Bylaws, and other association records at reasonable times, subject to rules on notice, hours, and copying costs. Directors have an absolute right to inspect all books, records, and physical properties at any reasonable time.
- Amendment: Bylaws may be amended by affirmative vote of a majority of the Board and a majority of Members. No amendment may remove or modify any right of the Declarant without its written consent.
- What this document doesn't cover: These Bylaws do not include use restrictions (pets, parking, rentals, architectural standards, etc.), assessment amounts, or any rules specific to lot use. Those are in the Declaration referenced as filed in the real property records of Dallas County.
