Vitano Townhomes is a townhome community in Dallas, Texas, governed by a homeowners association (HOA). The following are the community's bylaws, which establish how the HOA is run—board elections, meetings, voting, and enforcement—but do not contain the full rules for residents (those are in the Declaration and separate Rules). These bylaws apply to all owners, residents, and occupants.
- HOA governance & board: The HOA is run by a 3-person Board of Directors, each serving 2-year staggered terms. Board meetings are open to members but subject to rules; executive sessions are allowed for personnel, litigation, or sensitive matters.
- Meetings & voting: Annual meetings are held in March; special meetings may be called by the Board or by petition from 20% of lot owners. A quorum is 20% of lots represented in person or by proxy. A majority vote of those present generally decides matters.
- Eligibility & qualifications for board: A majority of directors must be owners or spouses. No one with unpaid assessments over 30 days, uncured violations, or pending litigation against the association may serve.
- Rules & enforcement: The Board may adopt and amend rules for administration, maintenance, and resident welfare. Violations may result in fines (with notice and hearing) or self-help abatement (entry to remedy). Fines cannot be foreclosed upon; no interest charged on fines.
- Owner obligations: Owners must comply with all governing documents, pay assessments, provide contact info & proof of ownership upon request, and notify the HOA at least 10 business days before selling (including buyer details and closing date).
- Records & resale certificates: The HOA keeps minutes, financial records, owner/mortgagee lists, and tax returns. Members may inspect records for a proper purpose. Resale certificates are available for a fee.
- Amendments: Bylaws may be amended by a majority vote of members present at a meeting with a quorum (unless requiring higher approval). Certain amendments affecting declarant rights require declarant consent.
