What Greenfields's governing documents say
Greenfields is a standard single-family home subdivision in Murphy, TX, governed by a homeowners' association (HOA). This document is a collection of the association's bylaws, articles of incorporation, and two resolutions (a payment plan policy and a records retention policy). It establishes the corporate structure and governance procedures but does not contain the community's use restrictions or design rules, which are in a separate Declaration of Covenants, Conditions, and Restrictions (CC&Rs) referenced but not fully included here.
- Membership & voting rights: Each lot owner automatically becomes a member of the HOA. Voting is one vote per lot (not per owner), regardless of the number of owners of a lot. Voting rights may be suspended for unpaid assessments or for infractions of rules (up to 60 days).
- Board of directors: The board manages the association, with powers to enforce rules, levy fines, and hire managers. Directors are elected by members at annual meetings. The initial board and vacancies are filled as specified. Board meetings are open to members but only directors may participate in discussions unless authorized.
- Assessments: The document does not specify assessment amounts but states that assessments are levied according to the Declaration. The board can suspend voting rights for non-payment and may establish fines as special individual assessments. A separate Resolution requires the association to offer a payment plan to delinquent owners.
- Meetings: Annual membership meetings must occur within 90 days after the fiscal year end. Special member meetings can be called by the Declarant, President, board, or by members holding 60% of votes. Quorum for member meetings is 60% of votes for the initial meeting, later reduced to a majority. Board meetings require a majority of directors as quorum.
- Amendments: Bylaws may be amended by member vote or written consent, but until the Declarant turns over control, amendment requires Declarant approval. The Declaration has its own amendment process, which is not detailed here.
- Architectural control: The board or Declarant shall appoint an Architectural Control Committee as provided in the Declaration, whose rights and duties are incorporated by reference. This document does not contain any specific architectural standards.
- Records & inspections: Members may inspect and copy association books and records (including financials, minutes, and contracts) within 10 business days of a request, subject to a fee schedule. A Resolution adopted detailed copying costs ($0.10 per page, $15/hour labor, etc.) and response procedures.
- What this document doesn't cover: This collection of documents includes only the corporate bylaws, articles, and administrative resolutions. It does not contain the actual use restrictions, such as rules on pets, leasing, parking, architectural approvals, or other typical HOA covenants. Those would be in the full Declaration (CC&Rs), which is referenced but not provided here.
