This document is the association's bylaws, which set out how the HOA is run—board elections, meetings, committees, and assessments—rather than the full set of rules for homeowners. It applies to all lot owners in the community.
- What this document covers: These are the bylaws of the Stoney Creek Master Homeowners Association, Inc., which define the internal governance structure: membership, board of directors, officers, committees, meetings, and assessments. - Who belongs to the HOA: Every person or entity that owns a fee interest in a lot in the community is a member, except the Declarant (developer) during the period of Declarant control. Owners who are delinquent on assessments lose voting rights and access to common areas until paid.
- Board of directors & elections: The board has at least three directors. During Declarant control, the Declarant appoints and removes directors. After control is turned over, Class A members elect three directors for three-year terms, with staggered terms possible. Directors may be removed with or without cause by a majority vote of Class A members.
- Assessments & fees: The HOA can levy annual maintenance assessments, initiation assessments, special maintenance assessments for capital improvements, and amenity center maintenance assessments. Special assessments require a two-thirds vote of members, but the board can levy them if required by the Declaration or Town Ordinance No. 403. Assessments are a lien on the property and the personal obligation of the owner at the time they fell due.
- Common areas & amenities: Members have rights to use the common areas, including amenity centers and master common maintenance areas. They can delegate use to family, tenants, or contract purchasers who reside on their lot, with written notice to the secretary. Use of master common maintenance areas is non-exclusive and open to all residents of the Town of Sunnyvale.
- Meetings & voting: Annual meetings are held within one year of formation and each year after. Special meetings can be called by the president, the board, or members holding one-fourth of all votes. A quorum is a majority of all votes, but if not met, subsequent meetings require two-thirds of the original quorum. Proxies are allowed and must be in writing.
