What Holland Intown's governing documents say
This is the Bylaws of the Holland InTown Homeowner Association, Inc., a townhome (shared-access) community in Rowlett, TX. These bylaws govern the internal operations of the HOA, including membership, board elections, meetings, and enforcement powers. They apply to all lot owners within the Holland Townhomes Subdivision.
- Membership & voting: The Association has two classes of membership: Class A (all owners other than Declarant) and Class B (Declarant). Each lot has one vote. Quorum for member meetings is 10% of total eligible votes. Voting may be in person, by proxy, mail ballot, or electronic means as authorized by the Board.
- Board of Directors: The Board consists of 3 to 7 directors. During the development period, the Declarant (Class B Member) appoints a majority of directors; after 75% of lots sold or 10 years from recording, one-third of directors must be elected by Class A members. Directors serve 3-year terms. A majority of the Board constitutes a quorum.
- Meetings & notice: Annual member meetings required. Board meetings must be open to members (except during executive session for personnel, litigation, etc.) after the development period. Notice to members: at least 72 hours for board meetings (posted on common area or website), and 10-60 days for member meetings.
- Powers of the Board: The Board has broad authority to: adopt budgets and set assessments; make and enforce rules and regulations; impose fines and suspend use of common areas (but not block ingress/egress); enter contracts; borrow money; and enforce the Declaration and Bylaws via self-help or legal action.
- Enforcement & fines: The Board may impose fines for violations after notice and hearing, which become a lien on the lot. It may suspend services for assessments delinquent over 30 days. Administrative fees, late fees, and collection costs (including attorney fees) can be added to the assessment.
- Developer control: The Declarant (Class B Member) retains the right to appoint all directors until certain milestones, and has a right to disapprove board actions during the development period. The Declarant may also appoint nominating committee members initially.
