What St Georges Homeowners Group's governing documents say
St. George's Homeowners Group is a standard single‑family homeowners association (HOA) in DeSoto, Texas, covering 14 lots. These bylaws and articles of incorporation govern how the HOA is run—board elections, meetings, assessments, and membership rights—but do not contain the specific property‑use rules (e.g., architectural standards, pet limits) which are set out in a separate Declaration of Covenants.
- Membership & voting: Every record owner of a lot (except lienholders) is a member. There are three voting classes: Class A (regular owners, 1 vote per lot), Class B (builders, 1 vote per lot, expires when Class A votes equal Class C or after 10 years), and Class C (Declarant, 3 votes per lot). Proxies allowed for up to 11 months.
- Board of directors: The board has 3 to 9 directors (initially 3, later 5 after full transition to Class A control). Directors serve 1‑year terms initially, then 2‑year terms. They may be removed with or without cause by a majority vote of members. Directors serve without pay but may be reimbursed for expenses.
- Meetings & quorum: Annual meeting on fourth Tuesday of April; special meetings called by President, Board, or by written request of 1/4 of members. Quorum is 1/10 of each class. Written notice 10‑50 days in advance. A majority of votes present decides issues unless a higher vote is required.
- Assessments: Members must pay annual and special assessments. Assessments become a lien on the lot as provided in the Declaration. The board fixes the amount and gives at least 30 days’ notice before each annual assessment period. Failure to pay can result in suspension of voting and common‑area use.
- Powers & duties of the board: The board can adopt rules for use of Association property, establish penalties, hire a manager, and fix assessments. Duties include keeping records, supervising officers, maintaining insurance, and maintaining common areas.
- Amendments & conflict: Bylaws may be amended by a majority vote of a quorum of members. Articles require 75% of entire membership. If the bylaws conflict with the Declaration or Articles, the Declaration or Articles control.
