What Springfield Commons Owners Association's governing documents say
Springfield Commons is a single-family homeowners association (HOA) in Rowlett, TX. These bylaws are the internal governance rules for the association, not the full set of community rules that affect homeowners. During the Declarant (builder) control period, some provisions are overridden by the Declaration. The bylaws focus on how the board is elected, how meetings are run, and how officers perform their duties—not on specific homeowner obligations like pets, leasing, or architectural standards.
- Board of Directors: The board has five directors serving staggered 2-year terms. Directors are elected by members at annual or special meetings, but during Declarant control the Declarant appoints the board. A person cannot serve more than six consecutive years. Directors may be removed by a two-thirds vote of members present or, for limited reasons (felony conviction, absence from three meetings in 12 months), by a majority of other directors.
- Meetings & Open Governance: Board meetings are open to members, with notice given to members. The board must meet at least once per calendar quarter. Owners may attend but cannot participate in board deliberations unless authorized. Executive sessions are allowed for limited purposes; decisions made in executive session must be summarized in open session and recorded in minutes.
- Officers: Principal officers are president, vice-president, secretary, and treasurer, elected annually by the board. The president and secretary must be directors. Officers can be removed with or without cause by a majority of the board. The president presides over meetings and oversees business; the secretary keeps minutes and records; the treasurer handles funds and budgets.
- Emergency Powers: In a public or private emergency (e.g., natural disaster, imminent threat to health/life/property), the board may hold emergency meetings with minimal notice and take any action deemed necessary to protect the community. Decisions made in good faith during an emergency cannot be used to impose liability on officers or directors.
- Committees: The board may create standing or ad hoc committees to assist with its functions. Committee members and chairs are appointed by the board; the chair must be an association member. Committees derive authority solely from the board and all actions are subject to board approval.
- Standards of Conduct & Liability: Officers and directors must act in good faith, with ordinary care, and in the best interest of the association. They are not personally liable for the association's contracts or torts merely because of their position. A director may rely on information from professionals (attorneys, accountants, etc.) if done in good faith.
