MOUL and wife, NANCY J. "Lot" or "Lots" shall mean those portions of the real property specifically allocated, platted and/or recorded as lots for sale and/or use as single family residences on any recorded map or maps of Tidal Reach Subdivision.

"Subdivision" and/or "Development" shall mean Tidal Reach all phases.

SINGLE-FAMILY RESIDENTIAL: This development shall contain only single-family "stick-built" residential dwellings. No mobile

3. ARCHITECTURAL CONTROL AND LANDSCAPE PLAN APPROVAL: (a) All building plans and specifications for any and all structures to be constructed in the Subdivision, including any and all exterior additions to or change or alteration thereto, shall be approved by the Developer prior to the beginning of construction accompanied by the Tidal Reach Construction Application form with the required fees to be held in an escrow account until final inspection by the Architectural Review Committee of the completed improvements. $1,000.00, building; $1,000.00, landscaping; $500.00, alterations. All review and approval authority reserved by the Developer herein shall also be exercisable and vested in an Architectural Review Committee which shall be comprised of members selected by the Board of Directors of the Association, or until such selection, shall consist of the Board of Directors the Association. 4. SQUARE FOOTAGE: Each dwelling constructed in Tidal Reach Subdivision must contain a minimum of 2,000 square feet of heated living space. It is expressly understood and agreed that all building lots shall comply to the following distribution of impervious surface allowances for structures and/or paved surfaces, including walkways or patios of brick, stone, slate or similar materials without written permission from the Developer: Lots 1-7, 4140 square feet; Lot 8, 5940 square feet; Lots 9-14, 3640 square feet. 5. GARAGES: Garage doors shall be placed so as not to open toward or face the street. All alley lots, same being Lots 9, 10, 11, 12, 13 and 14, shall have garage doors facing the alley. The only exceptions would be for garages setting behind main structures.

6. PIERS: No individual piers shall be constructed into the adjacent Tidal Reach Pond.

7. VEHICLES: No commercial vehicles, other than ½ ton pickup trucks, may be parked within the development for long than one (1) week. There shall not be allowed to remain on any lot, street, or any other area within the subdivision any vehicles of any sort that are not in working order and are currently licensed and insured in accordance with the laws of the State of North Carolina.

8. ANTENNAS. CLOTHESLINES: No outside radio, television antennas or satellite dish, or outside clotheslines shall be erected on any lot within the subdivision without the written consent by the Association.

9. DRIVEWAYS: Driveways must be paved, using either concrete, brick, or other paving materials approved by the Developer. No dirt driveways will be permitted.

No spot lights shall be directed towards any street, sidewalk or common area.

15. SIGNS: No advertising signs or billboards shall be erected on any lot or displayed to the public on any lot. No "For Sale" signs or any other signs shall be permitted on any lot or common areas or facilities. This covenant shall not apply to signs erected by the Owner/Developer used to identify and advertise the subdivision as a whole, by a building general contractor who is erecting/constructing a residence. Any such sign erected by a general contractor shall be approved by the Developer and comply with the standard lot sign that shows the name of the builder, the lot number and the building permit.

16. FUEL STORAGE: Fuel tanks or similar storage receptacles located on any lot shall not be exposed to public view when possible. Any such receptacles must be installed only within the main dwelling house, within an approved accessory building, within a screened area, or buried underground behind the dwelling.

19. ASSESSMENTS: The Association shall, in addition to all other powers granted to it herein and its charter and by-laws, have the power and authority to levy and collect assessments (regular and special) from each lot owner as follows: (a) The owner of each residential lot shall, by the acceptance of a deed or other conveyance for such lot, be deemed to covenant and agree and be obligated to pay the Association: (i) annual assessments, dues or charges, and (ii) special assessments for unexpected or unbudgeted expenses, 6 JACKSON, MILLS & CARTER, P.A.

Any special assessments shall be due and payable as determined in the sole discretion of the Association. Upon transfer of title to an owner, the new owner shall pay a working capital assessment fee of $150.00 to the Tidal Reach Association.

(c) All assessments or charges relating to a lot shall be fixed, established, levied and collected on a uniform basis for each lot as determined by the Association. However, expenses, costs and charges incurred by the Association for the benefit of specific lot(s) shall be borne by the owner of that lot(s) as set forth in subparagraph 19 (f) below.

No owner may waive liability for the assessments provided herein by non-use of the common area, nonuse or abandonment of his lot or for any other reason.

(d) Each annual special assessment or penalty, when due, shall become a lien against the lot against which such assessments are made and shall continue as lien against such lot and shall be deemed to with the land until such time as collected by the Association or paid in full. The lien of the assessments provided for herein shall be subordinate to the lien of any first mortgage on any lot.

(e) (f) The funds arising from said assessments or charges may be used for any or all of the following purposes: maintaining, operating, improving and replacing common areas, and the facilities and improvements located thereon, signage and landscaping and irrigation; protection of property; collecting and disposing of garbage, ashes, rubbish and the like; maintenance, improvement and lighting of the streets, roads, drives, rights of way, community land and facilities; employing watchmen;

Upon the failure of the owner of any lot to pay any assessment or charge, additional assessment, or installment thereof when due, the Association shall have the right to collect the amount thereof by an action at law against the owners as for a debt, and may bring and maintain such other suits and proceedings at law or at equity as may be available. Unpaid assessments or charges, additional assessments, or installments thereof, shall bear interest at the rate of one and one-half (1-1/2%) percent per month, or at the maximum legal rate, whichever is greater, from the due date thereof, until paid.

The Association shall not be obligated to spend in any collected one calendar year all of the sums during said year by way of assessments or charges or additional assessments and may carry forward to surplus any balance remaining. The Association shall not be obligated to apply any such surplus to the reduction of charges in the succeeding year.

The Association shall have authority, in its discretion, to borrow money to expend for the purposes set forth hereinabove upon such terms and security and for such periods as it may determine, and to repay interest said borrowings and the thereon from the assessments or charges or additional assessments provided for elsewhere in the Declaration. The Association shall provide for two (2) unrelated signature authorizations for all transactions.

20. DEVELOPER'S RIGHTS: (a) (b) The Declarant hereby reserves the right to subject to these restrictions other real property contiguous to Tidal Reach in order to extend the regulations of this Declaration to the other property to be developed and thereby bring such additional properties within the jurisdiction of the Association. Each additional parcel or tract of land, with the improvements thereon, or to be placed thereon, which is subjected to this Declaration shall be designated consecutively as an additional phase.

The rights reserved by Declarant in (a) above, include the right to change, alter or redesignate roads, utility and drainage facilities and easement, and to change, alter or redesignate such other present and proposed amenities or facilities as may, in the sole judgment of the Declarant, be

22. MEMBERSHIP AND VOTING RIGHTS: Every owner of a lot which is subject to assessment shall be a member of the Association.

Membership shall be appurtenant to and may not be separated from ownership of any lot which is subject to assessment.

(b) (၁) Association shall have two classes of voting CLASS "A". Class A members shall be all owners with the exception of the Declarant and shall be entitled to one vote for each lot owned. When more than one person holds an interest in any lot, all such persons shall be members. The vote for such lot shall be exercised as they among themselves determine, but in no event shall more than one (1) vote be cast with respect to any lot.

CLASS "B". Class B member(s) shall be the Declarant and shall be entitled to three (3) votes for each lot owned. The Class B membership shall cease and be converted to Class A membership on the happening of either of the following events, whichever occurs earlier: (1) when the total votes outstanding in Class A membership equals the total votes outstanding in the Class B membership, or (2) December 31, 2002 (or later in case the Developer or its successor and assigns expands development).

Properties shall be secured by the Board of Directors, or its designee on behalf of the Association with full authority which shall obtain such insurance against (1) loss or damage by fire or other hazards normally insured against, and (2) such other risks, including public liability insurance, as from time to time shall be customarily required by private institutional Mortgage Investors for projects similar in construction, location and use as the Properties and the improvements thereon all under such terms and conditions as the responsible authority shall determine. (4) Coverage will not be prejudiced by act or neglect of the lot owners when said act or neglect is not within the control of the Association or by any failure of the Association to comply with any warranty or condition regarding any portion of the property over which the Association has no control.

(5) The insurance coverage on the property cannot be cancelled, invalidated or suspended on account of the conduct of any one or more individual lot owners.
