Arrowhead Gateway is a commercial complex in Glendale, AZ, consisting of three lots (Lots 1, 2, and 3) governed by this Declaration of Easements, Covenants, Conditions & Restrictions. The rules apply to lot owners (the property owners) and their tenants/occupants. This is not a residential community; it's a commercial/retail center with shared common areas (parking, access, landscaping) maintained by the Declarant. Key features include reciprocal easements for parking and access, exclusive liquor-sale rights for Lot 3, and a proportionate-share assessment system for common expenses.
- Permitted & prohibited uses: Each lot may be used only for a 'Permitted Use'—any use allowed by law and not a 'Prohibited Use.' Prohibited uses include nuisances, manufacturing (except incidental), auto body repair, health/fitness clubs, adult uses, flea markets, and other restrictions from the Arrowhead REA. Uses that generate noise, dust, odor, or other nuisances are also banned.
- Exclusive liquor sale use (Lot 3): So long as Lot 3 primarily sells wines, spirits, and beer, Lots 1 and 2 are restricted: they cannot dedicate more than 100 sq. ft. to off-premises sale of beverages with >18% alcohol ('spirits'), nor generate >15% of gross sales from off-premises wine/beer. This exclusive use is enforceable by Declarant or Lot 3's owner/occupant.
- Common area maintenance & assessments: Declarant maintains common areas (parking, landscaping, lighting) and carries liability insurance ($2M minimum). Each owner pays a 'Proportionate Share' based on building square footage: Lot 1 = 8.6%, Lot 2 = 62.2%, Lot 3 = 29.2%. An annual budget is approved by owners; if disputed, an owner may opt to self-maintain its lot (except for repaving, lighting, insurance). Declarant must get competitive bids for expenses over $10,000.
- Parking: All owners and their customers have an easement to park in common surface parking areas. Employee parking is limited to the owner's own lot. Overnight parking allowed only for special events with Declarant's approval. Total parking spaces cannot fall below Arrowhead REA minimums. Declarant may reconfigure parking but must not unreasonably interfere with owners' rights.
- Insurance & indemnity: Each owner must maintain $2M commercial general liability insurance and all-risk casualty insurance covering improvements on their lot. Owners must name other owners as additional insureds for common-area claims. Each owner indemnifies Declarant and other owners for claims arising from their lot's use or occupancy.
- Signage (pylon sign): If Declarant builds a pylon sign, Lot 3's occupant gets sign panel space at least twice the size of the next largest occupant, subject to cost sharing if approved. Lot 3 must respond within 10 days of notice; if disapproved, Declarant may build at its own expense.
