Briarwood Five is a single-family home HOA in Phoenix, AZ. This document is the Association's Bylaws, which govern how the HOA is run — board elections, meetings, and assessments — but do not contain the main use restrictions (those are in the separate CC&Rs).
- Who this document covers: All lot owners and any occupant are subject to these Bylaws. Ownership or occupancy means you agree to comply.
- Board of Directors: The Board has 3 to 9 members, all of whom must be lot owners. Directors serve staggered three-year terms. The Board handles maintenance, assessments, rule enforcement, and architectural approvals.
- Meetings & Voting: Annual meetings are in March. Special meetings can be called by the President, Board, or a majority of owners. A quorum is 50% of lots; if not met, a second meeting requires 25%. Owners may vote by proxy.
- Assessments: Owners must pay annual and special assessments as set by the Declaration. The Board determines the amount each year and allocates it uniformly among lots.
- Record Inspection: Owners may inspect books, minutes, and member lists upon written request with at least five business days' notice, for a proper purpose related to their ownership.
- Indemnification & Director Liability: Directors are immune from liability for acts in good faith within their official capacity, unless willful/wanton or grossly negligent. The Association must indemnify directors, officers, and agents when permitted by law.
- What this document doesn't cover: These Bylaws do not contain use restrictions (e.g., pets, leasing, parking, architectural standards). Those rules are in the separate Declaration of Covenants, Conditions and Restrictions (CC&Rs), which take priority over the Bylaws.
