This is an ancillary commercial document — not a full community rulebook for homeowners. It is a declaration of covenants encumbering real property at Reay's Ranch in Red Rock, AZ, granting an exclusive use covenant in favor of a ground tenant (RRI). It restricts the owner from leasing or using any portion of the property as a convenience store, gasoline dispenser facility, or car wash facility.
- Exclusive use covenant: No space on the property may be leased, occupied, or conveyed to any other party for use as a convenience store, gasoline dispenser facility, or car wash facility for the duration of the ground lease.
- Term: The covenant lasts as long as the ground lease is in effect. It terminates when the ground lease ends, unless the tenant acquires fee title to the tract.
- Burden and enforceability: The covenant runs with, touches, and concerns the land, binding all owners and successors. It does not restrict the owner's right to sell, mortgage, or otherwise deal with the property, but no subordination of the declaration is allowed without RRI's written consent.
- Remedies for breach: If the covenant is breached, the ground tenant (RRI) may seek any legal or equitable remedy, including injunctive relief. The prevailing party in any dispute is entitled to recover attorneys' fees and expenses.
- What this document doesn't cover: This document does not contain any homeowner rules, pet restrictions, leasing limits (other than the commercial use restriction), assessments, or architectural standards. It applies only to the commercial restrictions between the developer and the ground tenant.
