This document is the bylaws of the Ballantrae Ridge Homeowners Association (HOA), a standard single-family home community in Scottsdale, AZ. The bylaws govern the internal operations of the association, including membership, board of directors, meetings, and assessments. They apply to all homeowners (Members), who automatically become members when they own a lot and remain so until they sell.
- Membership & voting: All lot owners are Class A Members; the developer is a Class B Member until turnover. Each Member has voting rights as defined in the Articles and Declaration. A quorum of 1/10 of the votes entitled to be cast is needed for meetings. Members may vote in person or by proxy (proxy valid up to 25 months). A majority of votes present decides questions.
- Annual & special meetings: Annual meetings are held the first Monday of February at 7:00 PM, typically at the Ballantrae Ridge clubhouse. Special meetings may be called by the President, a majority of directors, or by Members holding at least 2/5 of the votes. Notice of meetings must be given at least 10 days in advance. Special meetings may only transact business stated in the notice.
- Board of Directors: The Board consists of 3 Directors, each serving 1-year terms. Before turnover, all directors are appointed by the Declarant and need not be owners. After turnover, directors are elected by Members using cumulative voting and must be owners (or certain representatives). The Board administers the association, hires a manager, sets policies, and approves budgets. Directors serve without compensation unless Members approve.
- Assessments & budget: The Board creates an annual budget covering common expenses, reserves, and contingencies. Regular assessments are set by the Board and paid monthly, quarterly, or semi-annually. Members must pay on time regardless of use of their lot. Supplemental and special assessments may be made as provided in the Declaration. Unpaid assessments create a lien on the lot.
- Records & reports: The Board must keep detailed records of receipts and expenditures. A statement of receipts and expenditures is furnished to Members within 90 days after each fiscal year end. Members may inspect records at convenient hours and, upon 10 days' notice and payment of a reasonable fee, obtain a statement of their account.
- Amendments: These bylaws may be amended by a majority vote of the Board or by a majority of a quorum of Members at a Members meeting, provided amendments are not inconsistent with the Declaration. Amendments may be proposed by the Board or by petition of at least 1/4 of the Members.
