Scottsdale Marketplace is a mixed-use community in Scottsdale, AZ consisting of a multifamily tract (~6 acres) and a retail/office tract (~6 acres), governed by a master covenant between the property owners. This document establishes the framework for how each section can be developed, creates the Association that manages common areas and infrastructure, and sets obligations for the parcel owners—not individual residents. Resident rules, lease terms, and day-to-day living policies would be in separate lease or HOA documents.
- Land uses & development restrictions: For the first five years (through 2022), the multifamily tract is restricted to apartments only and the retail tract to retail/restaurant/office only. After that, each tract may add the other use type (e.g., retail on the residential side), provided it doesn't limit the other tract's permitted uses. All development must meet Scottsdale zoning requirements and 'A' class standards.
- Association governance & membership: All parcel owners automatically become members of a single Association governed by a four-member board—two seats designated by the multifamily owner, two by the retail owner. Voting power is allocated by acreage (one vote per acre, rounded); decisions require 51% approval with a quorum of 50% of total votes.
- Annual assessments & fees: Parcel owners must pay annual assessments to fund common-facility maintenance and Association operations, allocated 50/50 between the two tracts. Each owner must keep its parcel in safe, clean, attractive condition; manage construction-site cleanliness; prevent erosion and environmental damage; and indemnify the Association for damages resulting from its activities.
- Shared signage: Monument/pylon signs are shared: the multifamily tract is entitled to at least 25% of sign-panel surface area (at the lowest level); the retail tract controls the balance. The retail owner constructs, maintains, and illuminates the signs dusk to dawn. Each owner pays a proportional share of construction and maintenance costs based on its sign allocation.
