What Laveen Vistas HOA's governing documents say
This document is the Bylaws of the Laveen Vistas Community Association, a planned community HOA in St. Johns, AZ. It sets out the rules for how the association is governed—covering membership, board of directors, officers, meetings, recordkeeping, and amendments. These bylaws apply to all lot owners, who automatically become members. Key operational rules like use restrictions, assessments, and architectural standards are in the separate Declaration and rules.
- Membership & voting rights: Every lot owner is a member. Each lot has one vote (joint owners must agree or lose vote). Voting rights can be suspended for nonpayment of assessments (45+ days) or for rule violations (up to 60 days per infraction). Declarant controls voting until end of Declarant Control Period.
- Board of Directors: After Declarant control, board has 3–7 directors, each must be an owner with voting rights (only one per lot). Terms: initially some 1-year, others 2-year; thereafter 2-year terms. Directors can be removed by majority vote of members. Board manages the association, adopts budgets, collects assessments, and hires agents.
- Meetings & notice: Annual members meeting at least every 14 months. Quorum: 10% of eligible votes. Special meetings can be called by board or by 25% of eligible votes. Board meetings require 48 hours' notice to members (special: 48 hours unless emergency). Members can vote in person or by absentee ballot.
- Officers: Officers (President, Secretary, Treasurer, possibly VP) are elected annually by the board and must also be board members. President presides; Secretary keeps minutes; Treasurer handles finances and budgets. Officers can be removed with or without cause.
- Books & records access: Association must keep correct books and minutes. Members may inspect records (Declaration, Articles, Bylaws, rules, membership list, financials) within 10 business days of request, at reasonable cost. Exceptions include legal privileges, pending litigation, executive session minutes, personal info of members/employees.
- Amendments: Bylaws can be amended per Arizona Nonprofit Corporation Act (member vote). Board may amend to conform to law without member vote. Declarant must consent to changes affecting its rights. Certain provisions (e.g., Article IV, Paragraph 17) cannot be amended without Declarant consent.
- Indemnification & liability: Directors are immune from civil liability for acts in good faith within official capacity, unless willful/wanton/grossly negligent. Association must indemnify officers, directors, committee members, and agents to the extent permitted by law.
